Every incorporation, before it is filed
A CPA reviews the share structure, who is holding the shares, and the year-end date. Most of what goes wrong with a new corporation is decided in the twenty minutes before filing, not afterwards, and it is expensive to unwind. That review is included in the $35.00 rather than sold as an add-on.
Every page that names a fee or a rule
A CPA verifies the figure against the official registry or CRA page, not against another website, and signs the page with a visible reviewed-by line and a date. Where a figure cannot be confirmed on an official source, the page says so rather than publishing a number that looks confident.
What a CPA checks before you incorporate
Before your articles are filed, a Chartered Professional Accountant looks at the things that are cheap to fix now and costly to fix later.
The share structure comes first. A single class of shares held by one person forecloses dividend splitting and complicates any later sale, so we look at whether a second class belongs in the articles from day one. Who holds the shares matters just as much, and a spouse or adult child on the register is a tax-on-split-income question under section 120.4 of the Income Tax Act rather than a formality. We check whether a holding company belongs above the operating company now or later, because inserting one afterwards is a reorganization rather than a filing.
Then the dates and the registrations. The first fiscal year end is a free choice made once, and it sets the T2 deadline, the instalment pattern, and how much room there is to shift income between two tax years. HST registration is a timing decision, not just a threshold: the $30,000 small supplier test under the Excise Tax Act is one input, and whether you are recovering input tax credits on start-up costs is another. If you are paying yourself, the salary and dividend split is decided before the first payroll remittance rather than at year end. Where a profession is involved, we check eligibility with the governing college before the name is filed, because a professional corporation name is prescribed and a rejected name costs a refiling.
Where you are moving an existing unincorporated business in, we look at whether a section 85 rollover and a Form T2057 election belong in the plan, because transferring assets at fair market value without one can trigger tax you did not need to pay.
