Our Pricing Transparency Promise
Our fee to prepare and file your incorporation is $35.00, HST included. That is the number you pay us, it does not move, and it is the same $35.00 in every one of the eleven jurisdictions we serve: federal, Ontario, Alberta, British Columbia, Quebec, Manitoba, Saskatchewan, Nova Scotia, New Brunswick, Newfoundland and Labrador, and Prince Edward Island. What changes between them is the government fee, not our fee. Government filing fees are separate and are passed through at cost, because we do not mark them up. Open Corporation for $35 is a department of Gondaliya CPA. This page sets out what the $35.00 buys, what it does not buy, what the government charges on top, and the two guarantees we carry across from the parent firm: a 30-day money-back guarantee and a 60-day fee-matching policy. Nothing on this site is conditional on buying anything else.
Why we publish this page
Most people shopping for an incorporation cannot tell what they are being charged until the final screen. The professional fee, the government fee and the tax are blended into one figure, and the government portion is often quietly marked up.
We separate them. Our fee is ours. The registry's fee is the registry's. You can check the second one against the published fee schedule of the registry that will process your filing, whether that is Corporations Canada, the Ontario Business Registry, BC Registries and Online Services, the Registraire des entreprises du Quebec or any of the others, before you pay us anything.
What the $35.00 covers
What $35 includes
- A CPA review of your share structure, directors and registered office before anything is filed.
- Preparation of the incorporation documents for the registry you are filing with, in any of the eleven jurisdictions we serve. That is the articles of incorporation under the Canada Business Corporations Act federally, under the Business Corporations Act (Ontario), or under the equivalent provincial statute, and the Memorandum and Articles of Association in Nova Scotia.
- Submission of the filing and the certificate of incorporation returned to you.
- Your questions by phone and email while we do it. We do not bill for calls.
- HST. It is already inside the $35.00, not added on top.
What $35 does not include
- Government filing fees. These are set by the registry in the jurisdiction you incorporate in, they vary between jurisdictions, and they are charged to you at cost on a separate line. The table below shows the government fee for each of the eleven.
- The name search or name reservation where the jurisdiction requires one for a named corporation. In Ontario, Alberta and New Brunswick this is a NUANS report sold by a private search house at its own rate and it is not a government fee. In British Columbia, Manitoba, Saskatchewan, Nova Scotia, Newfoundland and Labrador and Prince Edward Island the registry runs it and charges its own fee.
- Extra-provincial registration in any province or territory where you carry on business.
- The minute book and corporate registers, including the register of individuals with significant control required by CBCA s. 21.1 federally and by the OBCA in Ontario.
- Bookkeeping, payroll, HST filing and your T2 corporate return. Those are separate engagements at separate fees.
- Legal advice. We are a CPA firm, not a law firm.
The eight promises, and how to hold us to them
| Promise | What it means | How to claim it | Time limit |
|---|---|---|---|
| Price shown is the price charged | The $35.00 you see is the full and final fee for the incorporation filing. It is not a deposit, not a retainer, and not a "starting from" figure reconciled against hours later. | Nothing to claim. It applies to every file. | No limit |
| HST included in our fee | HST sits inside the $35.00. We never add tax to the displayed number. | Nothing to claim. The tax is itemized on your invoice. | No limit |
| Government fees passed through at cost | Each registry sets its own fee, and the amount depends on the jurisdiction you incorporate in. We charge you what the registry charges, with no markup, in all eleven jurisdictions. | Compare your invoice line against that registry's published fee schedule. | No limit |
| No upsell during filing | We do not add services mid-file. A fee changes only if you ask to add or remove a service, and the new price is shown to you before any work starts. | Nothing to claim. Any change is quoted in writing first. | No limit |
| 30-day money-back guarantee | If the work is not what we said it would be, you raise it with us and we refund our $35.00 fee. | Email info@gondaliyacpa.ca or call 647-212-9559 and tell us what did not match. | 30 days from the day we confirm the filing is complete |
| 60-day fee matching | Bring us a comparable written quote from another licensed CPA firm for the same scope of work, and our fee-matching policy applies. | Send the written quote to info@gondaliyacpa.ca. | 60 days from the date you paid |
| No subscription | The incorporation is a one-time filing at a one-time fee. No monthly or annual plan is attached to it. | Nothing to claim. | No limit |
| No auto-renewal | We keep no card on file for automatic re-billing. Any later work is quoted and agreed separately. | Nothing to claim. | No limit |
The 30-day money-back guarantee covers our $35.00 fee. Government filing fees cannot be refunded once the registry has accepted the filing, because the registry keeps them. We tell you this before you pay, not after.
The $35.00 applies in every jurisdiction we serve
Our fee does not change with the province. The government fee does. Every figure in the Government incorporation fee column comes from the canonical government fee register and nothing else. Where that register records a figure as not confirmed, this table says so rather than substituting a number.
| Jurisdiction | Our fee, HST included | Government incorporation fee | HST or GST on the government fee | Total, numbered corporation | Who charges the government fee |
|---|---|---|---|---|---|
| Federal | $35.00 | $200.00 online | None | $235.00 | Corporations Canada |
| Ontario | $35.00 | $300.00 online and by mail | None | $335.00 | Ontario Business Registry |
| Alberta | $35.00 | not confirmed, reviewer to verify on the official registry page | not confirmed, reviewer to verify | not confirmed, reviewer to verify | Alberta Corporate Registry, filed through an authorized registry agent, whose separate service fee is also not confirmed |
| British Columbia | $35.00 | $350.00 for a BC limited company | None | $385.00 | BC Registries and Online Services |
| Quebec | $35.00 | $397.00 | None | $432.00 | Registraire des entreprises du Quebec |
| Manitoba | $35.00 | $350.00 | None | $385.00 | Manitoba Companies Office |
| Saskatchewan | $35.00 | $255.00 | not confirmed, reviewer to verify | $290.00 | Saskatchewan Corporate Registry, operated by Information Services Corporation |
| Nova Scotia | $35.00 | $200.00 | not confirmed, reviewer to verify | $235.00 | Registry of Joint Stock Companies |
| New Brunswick | $35.00 | $262.00 e-filed, which includes the mandatory $12.00 Royal Gazette publication fee | None | not confirmed, reviewer to verify, because a NUANS report is required and its price is set privately | Corporate Registry, Service New Brunswick |
| Newfoundland and Labrador | $35.00 | $270.00 electronic. $300.00 paper | None | $305.00 electronic | Registry of Companies, filed through Companies and Deeds Online |
| Prince Edward Island | $35.00 | not confirmed, reviewer to verify on the official registry page | not confirmed, reviewer to verify | not confirmed, reviewer to verify | Corporate Registry, Online Corporate and Business Registry |
A named corporation costs more than the numbered total in every jurisdiction that requires a name search, and the two worked examples below show how that line sits on the invoice.
Worked example: federal incorporation
Filed online with Corporations Canada under the CBCA.
| Item | Amount | HST | Total | Who charges it |
|---|---|---|---|---|
| Our incorporation fee | $35.00 | Included in the $35.00 | $35.00 | Open Corporation for $35, a department of Gondaliya CPA |
| Government fee, Articles of Incorporation, online | $200.00 | None added by us | $200.00 | Corporations Canada |
| Name search | $0.00 | None added by us | $0.00 | Corporations Canada. The search is built into the online incorporation application, so there is no separate NUANS purchase. |
| Total you pay | $235.00 | HST included in our fee | $235.00 |
Corporations Canada also offers an express online filing at $300.00 in total, being the $200.00 standard fee plus a $100.00 express surcharge. You choose it or you do not. We do not add it for you.
Worked example: Ontario incorporation
Filed online through the Ontario Business Registry under the OBCA.
| Item | Amount | HST | Total | Who charges it |
|---|---|---|---|---|
| Our incorporation fee | $35.00 | Included in the $35.00 | $35.00 | Open Corporation for $35, a department of Gondaliya CPA |
| Government fee, Articles of Incorporation, online | $300.00 | None added by us | $300.00 | Ontario Business Registry |
| Name search, Ontario-biased NUANS report | not confirmed, reviewer to verify on the official registry page | Set by the search house, not by us | not confirmed, reviewer to verify on the official registry page | A private NUANS search house. The ministry does not set or publish this price. |
| Total, numbered company | $335.00 | HST included in our fee | $335.00 | A numbered company needs no NUANS report |
| Total, named company | $335.00 plus the NUANS report | HST included in our fee | $335.00 plus the NUANS report |
An Ontario-biased report is required for a named company, a federal report is not accepted, and the report cannot be dated more than 90 days before the articles are filed.
How you pay
Two methods, and no others.
We do not take cash, cheque, wire transfer, cryptocurrency or any third-party payment app. There is no retainer to fund before we begin. Government fees are collected the same way and appear as their own line on your invoice, at the registry's amount.
No legal advice
We are a CPA firm, not a law firm. We prepare and file corporate documents and we provide accounting and tax advice. We do not provide legal advice. For legal advice, including advice on shareholder agreements, disputes between shareholders, or the legal effect of any document, consult a lawyer licensed in the relevant province.
Where to go next
