A Canadian business can incorporate federally under the Canada Business Corporations Act or in any one of the ten provinces under that province’s own statute. The choice sets your government filing fee, how the name is approved, what you file every year and whether your directors must live in Canada. Our fee is $35.00, HST included, in every jurisdiction, and every government fee is shown on its own line at cost. Open Corporation for $35 is a department of Gondaliya CPA.

Four Questions That Decide the Jurisdiction

Most owners should incorporate where they actually do business. The exceptions come down to four questions.

📍

Where do you operate?

A corporation that carries on business outside its home jurisdiction usually registers there as well. Incorporating where you operate avoids a second registration and a second annual filing. See extra-provincial registration.

🇨🇦

Do you need the name across Canada?

A federal corporation’s name is protected nationally and the government fee is $200 online. It still registers in each province where it carries on business.

👥

Where do your directors live?

Federal and Manitoba corporations need 25% resident Canadian directors. Ontario, Alberta, British Columbia, Quebec, New Brunswick, Newfoundland and Labrador, Nova Scotia and Prince Edward Island have no residency rule. Saskatchewan needs a Saskatchewan connection instead.

📝

What is your industry?

Some regulators decide for you. Ontario professional corporations, for example, are formed under the Business Corporations Act (Ontario). See incorporation by industry.

Check 3

The name

Whether you need a named company, the NUANS or name approval step in your jurisdiction, and the French name rules in Quebec.

Incorporate by Province FAQs

Should I incorporate federally or provincially?

Incorporate in the province where you do business if you operate in one province. Choose federal if you need the name protected across Canada or will operate in several provinces, knowing that a federal corporation still registers in each province where it carries on business.

Which province is cheapest to incorporate in?

Among the online government filing fees, federal and Nova Scotia are $200, Prince Edward Island $215 and Saskatchewan $255, against $300 in Ontario and $397 in Quebec. The cheapest choice is usually the province where you operate, because incorporating elsewhere adds an extra-provincial registration and a second annual filing.

Can I incorporate in a province where I do not live?

Yes. You can incorporate in any province, but if the corporation carries on business in another province it generally registers there too. Some provinces also need a local agent, such as a recognized agent in Nova Scotia.

Do my directors have to live in Canada?

For a federal or Manitoba corporation, at least 25% of directors must be resident Canadians. Ontario, Alberta, British Columbia, Quebec, New Brunswick, Newfoundland and Labrador, Nova Scotia and Prince Edward Island have no director residency rule. Saskatchewan needs a Saskatchewan-resident director or officer, or a Saskatchewan attorney.

Can I have a numbered company in every province?

Yes. Every jurisdiction lets you incorporate a numbered company, which skips the name search or reservation.

Is your $35 fee the same in every province?

Yes. Our preparation and filing fee is $35.00 with HST included wherever you incorporate. The government fee is separate and is shown at cost.

What is extra-provincial registration?

It is the registration a corporation files in a province other than the one it was incorporated in, when it carries on business there. Each province sets its own rules and fees.
