Incorporate in Alberta for $35, Prepared and Filed by a CPA Firm

Start your Alberta incorporation for $35.00, HST included. Alberta filings go through an authorized registry agent, so there is a $291.75 government fee and a separate agent fee, and we pass both through at cost as their own lines. A CPA reviews your share structure before anything is lodged.

AFFORDABLE Service to Incorporate a Business in Alberta

A numbered Alberta corporation costs our $35.00 fee with HST included, plus the $291.75 government fee and the registry agent’s own service fee. Alberta Corporate Registry does not accept filings from the public directly, so every incorporation goes through an authorized registry agent. Open Corporation for $35 is a department of Gondaliya CPA.

Alberta has no resident Canadian director requirement and no provincial sales tax, which is why many owners choose it. What a CPA firm adds is the part the registry never checks: share classes drafted for the ownership you expect, an agent for service in place, and every date that follows written down. Register your Alberta corporation online today for $35, HST included.

No Resident Director Rule

Alberta removed the 25 per cent resident Canadian director requirement on 29 March 2021, so the whole board may live outside Canada.

Alberta Incorporation Services

  • A Chartered Professional Accountant reviews your share structure, your directors, your agent for service and your Alberta addresses before anything is lodged with a registry agent.
  • Preparation of the Articles of Incorporation under the Business Corporations Act (Alberta), with the share classes, share transfer restrictions and any restrictions on the business set out in the articles.
  • Setting up either a numbered Alberta corporation or a named one, and telling you plainly which of the two costs less and why.
  • Checking your proposed name against the Alberta rules on the distinctive, descriptive and legal elements before you pay for a NUANS report, so you do not buy a search on a name that will be refused.
  • Telling you exactly which NUANS report to order, from whom, and the date by which it must be lodged so it is still less than 91 days old.
  • Preparation of the Notice of Address for the registered office and the records address, both of which must be physical locations in Alberta.
  • Preparation of the Notice of Directors and the Notice of Agent for Service, including the written consent your Alberta agent for service must sign.
  • Lodgement of the complete package with an authorized Alberta registry agent on your behalf, and delivery of the certificate of incorporation and your Alberta corporate access number to you by email.
  • A written itemization separating the government fee from the registry agent service fee, so you can see what the province charged and what the agent charged.
  • Written confirmation of your first annual return date, calculated from your anniversary of incorporation rather than your fiscal year end.
  • Your questions answered by phone and email while the filing is in progress. We do not bill for calls.

Incorporating a Business in Alberta the Right Way

Alberta is chosen for two reasons, and only one of them survives scrutiny. There is no director residency requirement, which is real. There is no provincial sales tax, which is also real but only helps if you actually sell in Alberta, because a corporation carrying on business in Ontario registers extra-provincially there and collects HST anyway. We settle where you will trade before we file.

The agent for service is the practical step people miss. That individual must be located in Alberta and must consent in writing, and the filing does not complete without it. The agent holds no shares and no control. Share classes are drafted next, for the partner or family shareholder you expect rather than the one you have, because once the articles are endorsed a new class means an amendment.

Everything an Alberta Incorporation Involves

Each step below is part of the filing we prepare, or a rule you live with once the corporation exists.

1

What It Costs to Incorporate in Alberta

Our fee is $35.00, HST included. The province charges a $291.75 government fee, and the registry agent adds its own service fee.

  • Our fee is $35.00, HST included
  • Why an Alberta incorporation carries two separate fees
  • What the $35.00 does not cover: government, agent and NUANS charges
  • Every outside fee is its own line, at cost
2

Why Alberta Filings Go Through a Registry Agent

Alberta Corporate Registry does not accept filings from the public directly. An authorized registry agent enters them into the registry system.

  • The government fee, set by the province
  • The registry agent service fee, set by each agent and not regulated
  • Why we itemize both on your invoice
  • Lodged with an authorized agent on your behalf
3

Choosing Your Alberta Corporate Name

A name is assessed in three parts before any search is bought.

  • The distinctive, descriptive and legal elements
  • Permitted legal endings, including ULC
  • Restricted words and the Professional Corporation limit
  • A numbered Alberta corporation needs no name search
4

The Alberta NUANS Report

A named Alberta corporation needs an Alberta-biased NUANS report, sold by a NUANS member or registry agent.

  • Who may issue a NUANS report and what it costs: set by the provider
  • The 90-day reservation and the 91-day rule
  • What a NUANS report does not do: it is not a trademark search
  • Not needed for a numbered corporation
5

Directors, the Agent for Service and Your Addresses

An Alberta corporation needs at least one director, an agent for service and two Alberta addresses.

  • One director minimum, and directors must be adults
  • Alberta removed the resident Canadian director requirement
  • The agent for service, an individual located in Alberta
  • The registered office and the records address
6

Share Structure Decided Before We File

Once the articles are endorsed, a new share class means an amendment.

  • Voting, non-voting and preferred classes
  • Family shareholdings and the tax on split income
  • Whether a holding company belongs in the structure now
  • Transfer restrictions set in the articles
7

How the Filing Is Made and What You Receive

We prepare the full package and lodge it with an authorized registry agent.

  • The package we prepare for the registry agent
  • Your certificate of incorporation and Alberta corporate access number
  • The federal business number that follows
  • Everything emailed to you the day we receive it
8

The Alberta Annual Return

Due on the anniversary of incorporation, not your fiscal year end.

  • Government fee: $53.05, plus the agent’s service fee
  • The top five shareholders you must report
  • Dissolution and revival if the return is missed
  • Separate from your T2 corporate income tax return
9

Records an Alberta Corporation Must Keep

The corporate records stay at your Alberta records address.

  • The minute book and the securities register
  • Why the records must sit at an Alberta address
  • Alberta and the transparency register: none required under the ABCA
  • Register of directors, minutes and accounting records

Free Alberta Incorporation Consultation

Case Studies: Alberta Incorporation

Calgary Engineer – A Co-Founder in the United States

The problem: A Calgary engineering consultant wanted to incorporate with a partner living in Texas and had read that a quarter of the directors had to be resident Canadians.

What we did: We explained that Alberta removed that rule in 2021, incorporated a numbered Alberta corporation with both partners on the board, and arranged an Alberta agent for service who signed the written consent before we lodged the package.

The result:

  • Numbered Alberta corporation incorporated
  • Both partners appointed as directors
  • Agent for service consent on file

Edmonton Contractor – Two Fees Explained

The problem: An Edmonton renovation contractor had been quoted a single price elsewhere and could not tell what the province charged and what the agent charged.

What we did: We itemized our $35.00, the $291.75 government fee and the registry agent’s service fee on separate lines, drafted voting and non-voting classes for a spouse joining later, and lodged the package the day it was approved.

The result:

  • Every fee shown on its own line
  • Share classes ready for a second shareholder
  • Annual return date confirmed in writing

Toronto Retailer – Expanding to Alberta

The problem: An Ontario online retailer opening a Calgary warehouse was unsure whether to register its Ontario corporation in Alberta or set up a separate Alberta corporation.

What we did: We compared extra-provincial registration with a new Alberta subsidiary, incorporated the subsidiary under the Ontario parent, and put the Alberta annual return and both T2 dates into one written calendar.

The result:

  • Alberta subsidiary incorporated
  • GST position reviewed before the first sale
  • One calendar for every filing date

What a CPA Checks Before You Incorporate

Start Your Intake Form

Alberta or federal incorporation, and where you will actually trade, are settled first.

No provincial sales tax only helps if you actually sell in Alberta.
Check 1

Where you will trade

A corporation carrying on business in Ontario registers extra-provincially there and collects HST anyway. We settle where you will trade before we file.

Check 2

Agent for service

The individual must be located in Alberta and consent in writing. The filing does not complete without it.

Check 3

Share classes

Drafted for the partner or family shareholder you expect. Once the articles are endorsed, a new class means an amendment.

Check 4

Family shareholdings

Tested under section 120.4 of the Income Tax Act, on age, hours worked and whether the shares carry at least 10 per cent of the votes and value.

Check 5

Two dates and GST

Your fiscal year end drives the T2 and instalments; the annual return runs on the anniversary. GST is mandatory above $30,000 over four consecutive calendar quarters.

Check 6

Money and structure

Salary against dividends, whether the $500,000 small business deduction is shared with an associated corporation, whether a holding company is worth a second return yet, and whether a section 85 rollover should move a proprietorship’s assets in.

Frequently Asked Alberta Incorporation Questions

How much does it cost to incorporate in Alberta?

Incorporating a numbered Alberta corporation costs $35.00 to us, with HST included, plus the $291.75 Alberta government fee and a separate registry agent service fee. Alberta states that the service provider processing your application will charge a government fee and a service fee. The government fee is set by the province; the service fee is set by each agent. A named corporation also needs an Alberta NUANS report. Our own fee never changes and is always shown as its own line.

Why does Alberta charge two fees when other provinces charge one?

Alberta charges two fees because you cannot lodge Articles of Incorporation with the government directly, so a private authorized registry agent files on your behalf and adds its own charge on top of the provincial fee. The province sets the government fee. Each agent sets its own service fee, which is not regulated and varies from agent to agent, which is why we itemize the two separately on your invoice.

Do I need a NUANS report to incorporate in Alberta?

You need an Alberta NUANS report for a named corporation, and it must be less than 91 days old when the incorporation details are submitted. The report reserves the proposed name for 90 days and the complete report must be lodged with the incorporation details. A numbered Alberta corporation needs no NUANS report at all, because Corporate Registry assigns the number itself.

Does an Alberta corporation need a Canadian resident director?

No. Alberta removed the Canadian residency requirement for directors, so the board of an Alberta corporation may be made up entirely of non-residents. The former rule required at least 25 per cent of directors to be resident Canadians, and the Red Tape Reduction Implementation Act, 2020 removed it effective 29 March 2021. Federal corporations under the Canada Business Corporations Act still carry the 25 per cent resident Canadian director rule.

What is an agent for service and do I have to appoint one?

An agent for service is an individual located in Alberta who accepts notices and documents on behalf of your corporation, and every Alberta corporation must appoint one. The agent must consent to the appointment, and an alternative agent may also be named. The agent does not need to be a lawyer, and this requirement replaced the old director residency rule as Alberta’s link to the province.

How many directors does an Alberta corporation need?

An Alberta corporation needs at least one director, and directors must be adults. Under the Business Corporations Act (Alberta) a person under 18 years of age, a person a court has found to be of unsound mind, and a person with the status of bankrupt are all disqualified. A director must be an individual, so another corporation cannot sit on the board.

Can I use my home address as the registered office of an Alberta corporation?

Yes, provided it is a physical location in Alberta, because the registered office must be a physical location in the province so legal documents can be delivered. A post office box on its own is not sufficient. You must also keep a records address physically located in Alberta. Both addresses appear on the public register.

When is my Alberta annual return due?

The Alberta annual return is due on the anniversary of incorporation, not your fiscal year end, and Alberta Corporate Registry sends a reminder to the registered office one month beforehand. It is filed through an authorized service provider, with a $53.05 government fee plus the provider’s service fee. The return lists the names, addresses and percentages of issued voting shares of your top five shareholders.

What happens if I miss the Alberta annual return?

If the annual return is not filed, your corporation may be dissolved, and a dissolved corporation must then be revived before it can carry on business again. Revival is a separate filing with its own government fee and its own registry agent service fee. A dissolved corporation loses its legal existence, which affects bank accounts, contracts and Canada Revenue Agency accounts. The annual return is entirely separate from your T2 corporate income tax return.

Should I incorporate in Alberta or federally?

Incorporate in Alberta when your business operates only in Alberta, because a single Alberta registration covers you and there is no director residency requirement to satisfy. Federal incorporation under the Canada Business Corporations Act costs $200 online with Corporations Canada, protects your name across Canada, requires that at least 25 per cent of directors be resident Canadians, and still needs extra-provincial registration in Alberta on top. A CPA weighs where you actually carry on business before you pay either fee.

Can an Alberta corporation register in other provinces at the same time?

Yes. Alberta’s incorporation process lets you register in British Columbia, Manitoba or Saskatchewan at the same time under the New West Partnership. Coming the other way, there is no cost for a British Columbia, Manitoba or Saskatchewan corporation to register in Alberta through Alberta’s online extra-provincial registration. Any other out-of-province corporation must lodge proof of incorporation and current status and appoint an Alberta agent for service.

Does an Alberta corporation need a register of individuals with significant control?

No. The Business Corporations Act (Alberta) does not require corporations to keep a register of individuals with significant control, unlike federal, Ontario and British Columbia corporations. You must still keep the securities register, the register of directors, the minutes and the accounting records at your Alberta records address.

10 Smart Alberta Incorporation Tips That Save You Money

Start numbered if you need a bank account fast

A numbered Alberta corporation needs no NUANS report, because Corporate Registry assigns the number itself.

Lodge the NUANS report inside 90 days

The report must be less than 91 days old when the incorporation details are submitted. Let it lapse and you buy another.

Ask for both fees in writing

The government fee is fixed by the province; the agent’s fee is not regulated. Seeing them separately lets you compare.

Line up your agent for service early

The filing cannot complete until an individual located in Alberta signs the written consent.

Draft three share classes on day one

Voting common, non-voting common and preferred cost nothing extra at incorporation and save an amendment later.

Use a physical Alberta address

The registered office and records address must both be physical locations in Alberta. A post office box alone is not enough.

Diary the annual return by anniversary

It is due on the anniversary of incorporation, not after your fiscal year end, and a missed return can lead to dissolution.

Check where you will actually sell

No provincial sales tax helps only on Alberta sales. Trading in Ontario means registering there and collecting HST.

Register for GST when it pays

Registration is mandatory above $30,000 over four consecutive calendar quarters, and registering earlier recovers tax on start-up costs.

Use the New West Partnership

An Alberta corporation can register in British Columbia, Manitoba or Saskatchewan at the same time it incorporates.
