An Etobicoke business pays the same $300.00 registry fee as any other Ontario business, so location changes nothing about the cost. Our side is $35.00 with the HST already inside it. Where money is actually made or lost is the structure.

Etobicoke changes which questions matter most. Pearson sits on the doorstep, so freight, customs and import accounts come up constantly. A board with a director living outside Canada rules out a federal filing. A workshop with staff needs WSIB settled on day one.

Affordable Incorporation in Etobicoke for $35

We file for Etobicoke owners in Rexdale, Thistletown, Kipling, Islington Village, Richview, Eatonville, Markland Wood, The Queensway, Mimico, New Toronto and Long Branch. Etobicoke is part of the City of Toronto, so an Ontario corporation needs nothing further registered.

Logistics operators, importers, trades and workshops make up most of the filings here. Each changes a different clause in the articles, which is why the structure is talked through rather than assumed.

Ontario or federal leads, and the answer often turns on who sits on the board rather than on where the customers are.

Full-Service Incorporation Support for Etobicoke Businesses

The same seven services in full detail, so nothing about the filing is a surprise once you have ordered it.

1

NUANS Name Search Report in Etobicoke

  • Ontario takes an Ontario-biased report only. The same search house will sell a Canada-biased one, and the registry will refuse it.
  • A surname paired with one trade word is the classic collision, so three candidates are tested before a report is paid for.
  • Corporate names, registered business names and trademarks on file all show up in the results.
  • A granted name is not an owned name. Trademark rights come from the Trademarks Act and from use in the market.
  • Ninety days and the report is spent. File after that and the search is bought twice.
2

Incorporation Service in Etobicoke

  • The articles decide which classes exist, how many directors are permitted and whether transfers are restricted.
  • A range beats a fixed number, because a second or third director can then join without an amendment.
  • By-law number one, the opening resolutions and the share subscriptions are drawn with the filing, not months later.
  • A company key comes with the Ontario certificate, and no later filing can be made against the record without it.
  • Online, the certificate issues on submission. Posted, the ministry allows 15 business days.
3

Registered Office Address Service in Etobicoke

  • Ontario needs a real address in the province, and ministry notice ON00224E excludes a post office box on its own.
  • The address filed on the articles is public immediately and stays searchable after it is replaced.
  • A move goes in as a notice of change, which the registry records free of charge.
  • Registry and Canada Revenue Agency post is taken in at the Etobicoke office and sent on to you.
  • The address service fee is published on our pricing page with HST already inside it.
4

Payroll Service in Etobicoke

  • The RP account is attached to the business number before the first wage is paid.
  • Regular remitters pay by the 15th of the month after the pay period.
  • T4 slips and the summary go in by the last day of February.
  • Salary creates RRSP room and CPP credits where a dividend creates neither, so the split is chosen on purpose.
  • Construction work triggers compulsory WSIB coverage, payroll or no payroll.
5

One Window Service for Corporation in Etobicoke

  • One person owns the articles, the business number and every account that follows.
  • RC, RT and RP are opened in the order the business genuinely needs them.
  • HST registration is compulsory above $30,000 of taxable supplies across four consecutive calendar quarters.
  • The first year end is chosen inside 53 weeks, and Canada Revenue Agency approval is needed to move it later.
  • The minute book, the share registers and the transparency register are built at the start rather than reconstructed under pressure.
6

Corporate Annual Filing in Etobicoke

  • Ontario's Annual Return falls six months after the year end and costs nothing.
  • The federal annual return falls within 60 days of the anniversary date and costs $12.00 online.
  • An annual return is corporate law and goes to the registry. A T2 is tax and goes to Canada Revenue Agency. One never covers the other.
  • Enough missed returns and the registry dissolves the corporation, which must then be revived before trading again.
  • Since 1 January 2023 Ontario has required a register of individuals with significant control, kept at the corporation rather than filed.
7

Corporate Tax Filing in Etobicoke

  • The T2 goes in six months after the year end with GIFI statements attached.
  • Tax is paid two months after the year end, or three where the small business deduction applies.
  • Within the $500,000 business limit, combined Ontario tax on active business income is 12.2 percent.
  • Machinery, vehicles and fit-out are written down on Schedule 8, not expensed in the year of purchase.
  • Fees open at $300.00 with HST inside, and the figure is confirmed in writing before any work starts.

What We Handle on a Etobicoke Incorporation

Ten questions decide what the corporation costs to run. All ten are answered before the articles are drafted.

1

Ontario or federal

  • Federal holds the name nationally.
  • Ontario suffices for provincial trade.
  • Without a resident Canadian director, federal is out.
  • A federal corporation still files Ontario's Initial Return.
2

Crossing a provincial line

  • Operating in another province means registering there.
  • A federal name is recognised everywhere in Canada.
  • An Ontario name has no force elsewhere.
  • Freight and distribution cross lines most often.
3

Named or numbered

  • A numbered company needs no search.
  • A named company needs the report first.
  • A trading name can sit above a number.
  • Signage on a unit argues for a name.
4

Share classes

  • How many classes belong in the articles now.
  • Votes separated from value where that earns something.
  • A preferred class ready for a freeze.
  • A transfer restriction written in at the outset.
5

Who holds the shares

  • Whether a spouse should hold shares at all.
  • The excluded business test in section 120.4 of the Income Tax Act.
  • A trust while the children are minors.
  • The lifetime capital gains exemption on a sale.
6

Directors

  • One director is enough in Ontario.
  • Ontario's residency rule went on 5 July 2021.
  • A quarter of a federal board must be resident Canadian.
  • Consent to act precedes any valid appointment.
7

The registered office

  • A physical Ontario address, not a box.
  • Public, and searchable after any change.
  • A unit, a yard or a workshop can serve.
  • Our Etobicoke office is available instead.
8

The Initial Return

  • Due 60 days from incorporation in Ontario.
  • Mandated by the Corporations Information Act.
  • The registry charges $0.00 to file it.
  • Directors and officers are reported, not shareholders.
9

Minute book and registers

  • The OBCA requires the records to be kept and produced.
  • Shares, directors, officers and resolutions go inside.
  • The transparency register is held with it.
  • Any buyer or lender asks to see it.
10

Business number, HST and the year end

  • The business number comes after the certificate.
  • HST starts at $30,000 of taxable supplies.
  • The first year end sits inside 53 weeks.
  • No instalments below $3,000 of tax owing.

Case Studies

Three Etobicoke files, each showing what the owner had in mind and what changed before the registry saw anything.

Residency Test Redirected a Pearson Freight Filing

Problem

A freight forwarder near Pearson wanted a federal corporation, with both proposed directors living outside Canada.

Solution

The board failed the resident Canadian test in section 105(3) of the Canada Business Corporations Act, so the filing went to Ontario instead, where no residency rule applies. The name was cleared and the certificate issued the same day.

Results

  • Numbered Ontario corporation filed at $335.00
  • Residency problem identified before filing
  • Certificate issued the same business day

Year End Timed Around Equipment in Rexdale

Problem

A small manufacturer in Rexdale was about to buy $180,000 of equipment in the same month it planned to incorporate.

Solution

The year end was set so the equipment lands in the first fiscal period and the capital cost allowance claim is useful. Three share classes were authorised at the same registry fee.

Results

  • Equipment landed inside the first fiscal period
  • Three classes authorised at no extra registry cost
  • Capital cost allowance claimed in year one

Payroll and WSIB Opened for a Kipling Auto Shop

Problem

An auto repair shop off Kipling had taken on two mechanics before any CRA account existed and with no WSIB account open.

Solution

The RP account was opened ahead of the first pay run and the WSIB registration was completed in the same week. HST was registered voluntarily so the tax on parts and tooling became recoverable.

Results

  • RP account live before the first pay run
  • WSIB registration completed the same week
  • HST on parts and tooling recoverable
Before Anything Is Filed

How a Etobicoke Filing Is Prepared

Start Your Intake Form

No one at the registry reads your articles against your business. The form is checked for completeness, endorsed, and every consequence is left with you.

Draft articles come once all six are settled.
Step 1

Where the work actually goes

Selling only inside Ontario makes an Ontario filing the sensible answer at $300.00. Selling across provinces, or wanting the name held nationally, points federal at $200.00, with $80.00 to register extra-provincially in Ontario.

Step 2

Residency on the board

Section 105(3) of the Canada Business Corporations Act requires a quarter of a federal board to be resident Canadians, and at least one director where there are fewer than four. Ontario has no such rule.

Step 3

Classes authorised for later

One class and three classes cost the same to authorise. Doing it at the start avoids a $200.00 amendment on the day a partner, a spouse or a holding company arrives.

Step 4

Shareholdings tested

Shares in the hands of a spouse or an adult child are tested under section 120.4 of the Income Tax Act. The rate applied to a dividend depends on the facts, so this is settled before any share is issued.

Step 5

Office, year end and HST

An Ontario address that physically exists is required, and ministry notice ON00224E rules out a post office box used alone. The address is public and remains searchable after a change.

Step 6

Filed, then diarised

Filed online, the Ontario Business Registry processes the articles on submission and the certificate issues that day. Posted articles are allowed 15 business days.

These Google reviews belong to the firm and run across everything it does, not incorporation alone.

Etobicoke Incorporation FAQs

How much does it cost to incorporate a business in Etobicoke?

Numbered in Ontario it is $335.00 in total, being $300.00 to the registry and $35.00 to us with HST inside. Named, the Ontario-biased NUANS report adds $25.00 and the total is $360.00. Numbered federally it is $235.00, because Corporations Canada charges $200.00. Our cost guide covers every jurisdiction.

Do you have an office in Etobicoke?

Yes. The Etobicoke office is at 60 Stevenson Road, Suite 1601, Etobicoke, Ontario M9V 2B4, in the Rexdale area. No visit is needed, because the Ontario Business Registry and Corporations Canada both accept electronic filings and nothing is signed in person. The line is open 9:00 AM to 8:30 PM, Monday to Sunday, on 647-212-9559.

Should a Etobicoke trucking company incorporate federally?

Only if the board can satisfy section 105(3) of the Canada Business Corporations Act, which requires a quarter of directors to be resident Canadians. Federal is otherwise attractive for freight, because the name is protected in every province and the government fee is $200.00 against Ontario at $300.00. A board with no resident Canadian has to file in Ontario, which sets no residency test.

How long does a Etobicoke incorporation take?

The Ontario Business Registry issues the certificate on submission for an online filing, and the ministry allows 15 business days for posted articles. One to two business days before that go on drafting the articles and a Chartered Professional Accountant reading them. Three business days from intake form to certificate is normal. Our how to incorporate guide sets out each step.

Can I use a commercial address as my registered office?

Yes, and in most cases it is the better answer. Ontario requires a physical address in the province and ministry notice ON00224E rules out a post office box on its own. Whatever goes on the articles is published and stays searchable afterwards, which is why a home address is best avoided. A unit, a workshop or our Stevenson Road address all work.

Which parts of Etobicoke do you cover?

Rexdale, Thistletown, Kipling, Islington Village, Richview and Eatonville are covered. So are Markland Wood, The Queensway, Mimico, New Toronto, Long Branch and the rest of the City of Toronto. The filing does not change with the address, because the registry charges $300.00 everywhere in Ontario. Toronto and Mississauga have their own pages, and every office is on our service areas page.

What is due after the certificate is issued?

An Initial Return is due to the Ontario Business Registry within 60 days under the Corporations Information Act, free of charge. The corporation is then organized: shares issued, officers appointed, by-laws adopted and the minute book opened. Ontario then wants an Annual Return six months after each year end, while a federal corporation pays $12.00 within 60 days of its anniversary date.

Can I change the corporate name later?

Yes, through articles of amendment. A named corporation needs a fresh Ontario-biased NUANS report before the amendment is filed, and the registry fee applies separately. The previous name stays on the public record and remains searchable. Screening three candidates at the start is cheaper than amending afterwards.

Do I need to register for HST straight away?

Not always. It becomes compulsory once taxable supplies exceed $30,000 over four consecutive calendar quarters, and is voluntary before that. Registering early makes the HST on tooling, equipment and landed import costs recoverable. A corporation invoicing other registered businesses usually registers at once, since its customers reclaim the tax.

Do I need a minute book, and what goes in it?

Yes. The OBCA requires an Ontario corporation to keep its corporate records, and the minute book is where they sit. It holds the articles, the by-laws, the directors and shareholders resolutions, the share register, the director and officer registers and the certificates. The register of individuals with significant control is kept with them. Our minute book guide sets out the retention periods.
