Incorporation by Industry in Canada for

Every business incorporates under the same statute, but the rules around it change by industry. Pick your industry below, then start your corporation for , HST included. Government fees are separate, and a CPA checks your industry’s rules before we file. Open Corporation for is a department of Gondaliya CPA.

Your industry decides four things before the articles are filed: whether a regulator must authorize the corporation, who may own its shares, how HST applies to what you sell, and which contracts or licences must sit in the corporation’s name. Each guide below sets those out for one industry, with the exact cost. Our fee is $35.00, HST included, and every government fee is shown on its own line at cost. Open Corporation for $35 is a department of Gondaliya CPA.

Which Businesses Should Incorporate

Incorporation pays when the business earns more than you spend personally, carries risk you want kept away from your home, or deals with customers who will only contract with a company.

💰

Profit you leave in the company

Active business income inside the $500,000 federal business limit is taxed at 9% federally and 3.2% in Ontario, a combined 12.2%, where the company is a Canadian-controlled private corporation. The same dollar earned personally can face an Ontario marginal rate reaching 53.53%.

🛡️

Risk kept in the company

A corporation is a separate person, so a supplier claim, a lease default or a customer dispute is the company’s, not yours. It never shields a director from unremitted payroll deductions or HST.

🤝

Customers who want a company

Franchisors, agencies, hospitals, general contractors and marketplaces often contract only with a corporation that holds a business number, and some industries need a licence held in the corporation’s name.

⚠️

Where it pays less

A one-client contractor can be a personal services business taxed at close to the top rate, and dividends to family members run through the tax on split income rules. Both are tested before we file, not after.

Three Ways an Industry Incorporates

Most businesses file an ordinary corporation. A regulated profession files a professional corporation, and a few licensed industries use a special entity instead.

Route Who uses it Authorization before trading Who may own shares Examples
Ordinary corporation Any business without a college None from a regulator. Municipal or provincial licences may still apply in the corporation’s name Anyone, including family members and a holding company Cleaning, restaurants, e-commerce, IT consulting, manufacturing
Professional corporation Members of a regulated health or legal profession A certificate of authorization from the college or law society Members of the profession only. Ontario Regulation 665/05 lets family members hold non-voting shares in medicine and dentistry alone Physicians, dentists, chiropractors, physiotherapists
Licensed entity Professions whose regulator licenses a corporation in another way Set by the regulator: a PREC must meet Ontario Regulation 536/20, an engineering firm needs a PEO Certificate of Authorization Set by the regulator. A PREC’s voting shares belong to the registrant alone Real estate agents, engineers, insurance brokers, mortgage brokerages

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

The same six checks run for every industry. The answers are what change.

Nothing is filed until you approve the draft.
Check 1

The regulator

Whether a college, law society or licensing body must authorize the corporation first, and whether its name must follow a set form such as “Professional Corporation”.

Check 2

Who may own shares

Whether family members, a business partner or a holding company may hold shares, and which classes each should hold.

Check 3

Ontario or federal

Whether the business needs name protection across Canada, and whether its regulator requires an Ontario corporation.

Check 4

HST

Whether what you sell is taxable at 13%, zero-rated or exempt, when registration becomes compulsory at $30,000, and whether the quick method helps.

Check 5

Tax traps

The personal services business test for one-client contractors, the tax on split income for family dividends, and control of a Canadian-controlled private corporation.

Check 6

Licences and contracts

Which licences, leases and contracts must be issued or signed in the corporation’s exact legal name, and in what order.

Incorporation by Industry FAQs

Does my industry change how I incorporate?

Yes. The statute is the same, but a regulated profession needs a certificate of authorization and limits who may own shares, and many other industries need licences, WSIB coverage or HST registration set up in the corporation’s name. Each industry guide sets those steps out.

What is a professional corporation in Ontario?

A professional corporation is a corporation under the Business Corporations Act (Ontario) that practises a regulated profession, such as medicine, dentistry, chiropractic or physiotherapy. The college must issue a certificate of authorization, the shareholders must be members of the profession, and the name must end with the words Professional Corporation.

Can my spouse own shares in my professional corporation?

Only in medicine and dentistry. Ontario Regulation 665/05 lets a spouse, child or parent of a physician or dentist hold non-voting shares. Other health professions, such as chiropractic and physiotherapy, allow members only.

Which businesses should incorporate?

A business that earns more than its owner spends, carries risk the owner wants kept apart, or has customers who contract only with companies. Active business income inside the $500,000 limit is taxed at a combined 12.2% in Ontario, against personal rates reaching 53.53%.

Should I incorporate in Ontario or federally?

An Ontario corporation suits a business trading in Ontario and is required by some regulators, such as the College of Physicians and Surgeons of Ontario. A federal corporation protects the name across Canada and costs $200 online, against $300 for Ontario.

What if my industry is not listed yet?

Every industry can incorporate through the same intake form for $35, HST included. A CPA reviews your industry’s licences, share rules and HST before anything is filed, and a free consultation is available.

How much does it cost to incorporate in Ontario?

A numbered Ontario corporation costs $335.00 in total: our $35.00 fee, HST included, and the $300.00 Ontario Business Registry fee. A named Ontario corporation adds a $25.00 NUANS report, for $360.00. A federal corporation costs $235.00, because Corporations Canada charges $200.00 online.

Do I need a NUANS report to incorporate?

Only for a named Ontario corporation. A numbered company needs no name search, and the federal online filing includes its own name search. A named Ontario corporation needs an Ontario-biased NUANS report dated within 90 days of filing, which we order for $25.00.

When does my new corporation have to register for HST?

Registration is compulsory once taxable supplies exceed $30,000 in a single calendar quarter or over four consecutive calendar quarters, and you must register within 29 days. Many industries register earlier on purpose, to recover HST on start-up costs, while exempt supplies such as most health care do not count toward the threshold.

Can a newcomer or non-resident incorporate in Ontario?

Yes. Ontario removed its resident Canadian director requirement effective 5 July 2021, so an Ontario corporation may have directors who live anywhere. A federal corporation still needs at least 25% of its directors to be resident Canadians, and your immigration status decides whether you may work in the business.
