✅ REGISTERED CPA FIRM – VERIFY NOW

The registry charges a North York business the same $300.00 it charges anybody else in Ontario, so the postal code changes nothing about the price. Our fee is $35.00 and the HST is already in it. The structure is the part worth spending time on.

What North York changes is the kind of question that comes up. A realtor needs a personal real estate corporation named the way RECO requires. A clinic runs into professional corporation share rules. A restaurant needs payroll and HST registered before it opens the doors.

Affordable Incorporation in North York for $35

We file for North York owners in Willowdale, Yonge and Sheppard, North York Centre, Don Mills, Bayview Village, York Mills, Lawrence Manor, Downsview, Flemingdon Park and Parkwoods. North York is part of the City of Toronto, so an Ontario corporation covers it with nothing further to register.

Realtors, clinics, consultants and restaurant operators make up most of the work here. Each of them needs a different line in the articles, which is why the structure is agreed in conversation rather than guessed from a form.

Ontario or federal comes first, and a business that trades only in the GTA is almost always better off in Ontario.

Full-Service Incorporation Support for North York Businesses

The same seven services in full detail, so nothing about the filing is a surprise once you have ordered it.

1

NUANS Name Search Report in North York

  • Only an Ontario-biased report is accepted here. A Canada-biased report is refused even though the same search house produces both.
  • Names made of a surname and a single trade word are the ones that collide, so three options are tested before any report is bought.
  • The results cover corporate names, registered business names and trademarks already on file.
  • Being granted a name is not owning it. Trademark rights arise under the Trademarks Act and from use, not from a registry endorsement.
  • A report lasts 90 days. File later than that and the search is paid for twice.
2

Incorporation Service in North York

  • The articles set which classes may exist, how many directors are allowed and whether share transfers are restricted.
  • A minimum and a maximum is the normal answer, so a second director can be added without touching the articles.
  • By-law number one, the opening resolutions and the share subscriptions are drafted with the filing rather than after it.
  • Ontario issues a company key with the certificate, and nothing can be filed against the record without it.
  • Online, the certificate is issued on submission. By post, the ministry allows 15 business days.
3

Registered Office Address Service in North York

  • Ontario requires a real address in the province, and ministry notice ON00224E excludes a post office box used on its own.
  • The address on the articles is public from the day it is filed, and it stays searchable after any change.
  • A move is recorded as a notice of change, which the registry does not charge for.
  • Registry and Canada Revenue Agency post is taken in at the North York office and sent on to you.
  • The fee for the address service is on our pricing page, with HST inside the quoted figure.
4

Payroll Service in North York

  • The RP account goes onto the business number before anybody is paid.
  • A regular remitter remits by the 15th of the month following the pay period.
  • T4 slips and the summary are filed by the last day of February each year.
  • Salary generates RRSP room and CPP credits, a dividend generates neither, and the balance between them is a decision rather than a default.
  • WSIB coverage is compulsory for construction work, with or without anyone on the payroll.
5

One Window Service for Corporation in North York

  • The articles, the business number and the accounts that follow all sit with one person.
  • RC, RT and RP are opened as the business needs them rather than all at once.
  • HST registration is compulsory once taxable supplies exceed $30,000 over four consecutive calendar quarters.
  • The first year end sits within 53 weeks of incorporation, and changing it afterwards needs Canada Revenue Agency approval.
  • The minute book, the share registers and the transparency register are created at the start, which is far cheaper than reconstructing them.
6

Corporate Annual Filing in North York

  • Ontario's Annual Return is due six months after the year end and costs $0.00.
  • Corporations Canada wants its annual return within 60 days of the anniversary date, at $12.00 online.
  • The annual return is corporate law and goes to a registry. The T2 is tax and goes to Canada Revenue Agency. Filing one does not satisfy the other.
  • Miss enough returns and the registry dissolves the corporation, after which it has to be revived before it can trade again.
  • Ontario has required a register of individuals with significant control since 1 January 2023. It is kept at the corporation, not filed.
7

Corporate Tax Filing in North York

  • The T2 is filed six months after the year end, with GIFI statements attached.
  • Tax is payable two months after the year end, or three where the small business deduction applies.
  • Combined Ontario tax inside the $500,000 business limit runs at 12.2 percent on active business income.
  • Equipment, fit-out and vehicles are written down on Schedule 8 rather than claimed in full in year one.
  • Fees begin at $300.00 including HST, and the figure is confirmed in writing before work starts.

What We Handle on a North York Incorporation

Ten questions decide what the corporation costs to run. All ten are answered before the articles are drafted.

1

Ontario or federal

  • Federal protects the name coast to coast.
  • Ontario covers a business trading inside the province.
  • Federal needs a resident Canadian on the board.
  • Federal corporations file Ontario's Initial Return too.
2

Crossing a provincial line

  • Business in another province is registered there.
  • A federal name holds in every jurisdiction.
  • An Ontario name stops at the provincial line.
  • Consultants with out-of-province clients cross it most.
3

Named or numbered

  • A number avoids the search altogether.
  • A name requires the report before filing.
  • A registered trading name can front a number.
  • A brand or a storefront argues for a name.
4

Share classes

  • How many classes to put in the articles today.
  • Separating votes from value where it earns its keep.
  • A preferred class ready for a freeze.
  • A transfer restriction in place from the first day.
5

Who holds the shares

  • Whether a spouse takes shares at all.
  • Section 120.4 of the Income Tax Act and the excluded business test.
  • A trust while any child is under 18.
  • The lifetime capital gains exemption when you sell.
6

Directors

  • One director is enough in Ontario.
  • Ontario's residency rule ended on 5 July 2021.
  • Federally the board is a quarter resident Canadian.
  • A consent to act precedes a valid appointment.
7

The registered office

  • A real address in Ontario, not a box.
  • Published, and searchable even after it changes.
  • An office or a leased suite can serve.
  • Our North York office is available instead.
8

The Initial Return

  • Filed within 60 days in Ontario.
  • Required by the Corporations Information Act.
  • The registry charges $0.00 to file it.
  • Directors and officers only, no shareholdings.
9

Minute book and registers

  • The OBCA requires the records to exist and be available.
  • Shares, directors, officers and resolutions sit inside.
  • The transparency register is kept with them.
  • Any buyer or lender asks to see it.
10

Business number, HST and the year end

  • The business number arrives after the certificate.
  • HST begins at $30,000 of taxable supplies.
  • The first year end lands inside 53 weeks.
  • No instalments while tax owing is under $3,000.

Case Studies

Three North York files, each showing where the owner started and what was changed before anything went to the registry.

A PREC Drafted to the RECO Rules in Willowdale

Problem

A Willowdale realtor was about to incorporate a numbered company and start invoicing commissions through it, with no RECO filing in hand.

Solution

The articles were drafted to the personal real estate corporation rules, with the controlling shares held by the registrant and family shares set as non-voting. The name was built to the form RECO requires before anything was filed.

Results

  • Numbered Ontario corporation filed at $335.00
  • Controlling shares held by the registrant
  • Name built to the form RECO requires

Classes Opened for a Holding Company in Don Mills

Problem

A Don Mills software consultant held one class of common shares and was retaining profit in the operating company with no plan for it.

Solution

Three classes were authorised at incorporation so a holding company can be placed above later without an amendment. The year end was set to spread the first tax payment across two calendar years.

Results

  • Three classes authorised for a future holdco
  • Year end set to split the first tax payment
  • No amendment needed when the holdco goes in

Payroll and HST Set Up Before a Yonge Street Opening

Problem

A restaurant opening near Yonge and Sheppard had signed a lease and hired four staff before the corporation had any CRA accounts.

Solution

The RT and RP accounts were opened before the first pay run, and the HST on the fit-out was recovered as an input tax credit. The WSIB position was settled in the same week.

Results

  • RT and RP accounts live before the first pay run
  • HST on the fit-out recovered in full
  • WSIB position settled in the same week
Before Anything Is Filed

How a North York Filing Is Prepared

Start Your Intake Form

The registry does not read your articles to see whether they fit the business. It checks the form is complete, endorses it, and leaves the consequences to you.

The draft articles follow once all six are settled.
Step 1

Where the work actually goes

A business selling only in Ontario can file here for $300.00. One selling across provinces, or wanting its name protected nationally, usually files federally at $200.00 and adds $80.00 to register extra-provincially in Ontario.

Step 2

Residency on the board

A federal board must be a quarter resident Canadian under section 105(3) of the Canada Business Corporations Act, and at least one where there are fewer than four directors. Ontario imposes no residency test.

Step 3

Classes authorised for later

Authorising three classes costs exactly what authorising one costs. Doing it now avoids a $200.00 amendment the day a spouse, a holding company or an investor is added.

Step 4

Shareholdings tested

Shares held by a spouse or an adult child are tested under section 120.4 of the Income Tax Act. Whether the dividend is taxed at their rate or the top rate depends on the facts, so it is settled before the shares go out.

Step 5

Office, year end and HST

A physical address in Ontario is required, and ministry notice ON00224E makes clear a post office box on its own will not do. The address is published and remains searchable later.

Step 6

Filed, then diarised

An online filing is processed by the Ontario Business Registry on submission, so the certificate arrives the same day. Posted articles are given 15 business days.

North York Incorporation FAQs

How much does it cost to incorporate a business in North York?

A numbered Ontario corporation comes to $335.00 all in, which is our $35.00 fee with HST included plus $300.00 to the Ontario Business Registry. Give it a name and the Ontario-biased NUANS report adds $25.00, HST included, taking it to $360.00. Filed federally and numbered, it is $235.00, because Corporations Canada charges $200.00 where Ontario charges $300.00. Our guide to what it costs to incorporate in Canada covers every jurisdiction.

Do you have an office in North York?

Yes. The North York office is at 150 Graydon Hall Drive, Suite 912, North York, Ontario M3A 3B2, off Don Mills Road. No visit is needed either way, because the Ontario Business Registry and Corporations Canada both accept electronic filings and nothing has to be signed in person. The line is open 9:00 AM to 8:30 PM, Monday to Sunday, on 647-212-9559.

Should a North York business incorporate federally?

Only where it sells outside Ontario or wants national name protection. A federal corporation under the CBCA carries its name into every province, while an Ontario corporation has no name protection outside Ontario and registers extra-provincially wherever it carries on business. Corporations Canada charges $200.00 against Ontario's $300.00. The catch is section 105(3) of the Canada Business Corporations Act, which puts a quarter of the board in resident Canadian hands.

How long does a North York incorporation take?

The Ontario Business Registry issues the certificate on submission for an online filing, against 15 business days for posted articles. Before that, one to two business days go on drafting the articles and having a Chartered Professional Accountant read them. Three business days from intake form to certificate is the normal run. Our how to incorporate guide walks through each step.

Can I use a commercial address as my registered office?

Yes, and most owners should. Ontario requires a physical address in the province, and ministry notice ON00224E confirms a post office box alone will not do. The address goes on the public register and stays searchable after it is changed, which is the reason a home address is worth avoiding. A leased office or suite works, and our Graydon Hall Drive address is available as an alternative.

Which parts of North York do you cover?

Willowdale, Yonge and Sheppard, North York Centre, Don Mills, Bayview Village and York Mills are covered. So are Lawrence Manor, Downsview, Flemingdon Park, Parkwoods and the rest of the City of Toronto. The filing itself does not vary by address, because the Ontario Business Registry charges the same $300.00 across the province. Toronto and Mississauga each have their own page, and every office appears on our service areas page.

What is due after the certificate is issued?

The Initial Return is due within 60 days of incorporation under the Corporations Information Act, and the registry charges nothing for it. Organizing the corporation follows: shares issued, officers appointed, by-laws adopted, minute book opened. After that, Ontario wants an Annual Return six months past each year end, and a federal corporation pays $12.00 within 60 days of its anniversary date.

Can I change the corporate name later?

Yes, by articles of amendment. A named corporation needs a new Ontario-biased NUANS report before the amendment is filed, and the registry fee applies on top of our work. The old name remains on the public record and stays searchable. Testing three names at the start costs less than amending later.

Do I need to register for HST straight away?

Not immediately. It becomes mandatory once taxable supplies pass $30,000 across four consecutive calendar quarters, and is voluntary below that. Early registration recovers HST on fit-out, equipment and professional fees. A corporation invoicing other registered businesses usually registers at once, because its customers claim the HST back.

Do I need a minute book, and what goes in it?

Yes. The OBCA requires the corporate records to be kept, and the minute book holds them. Inside it are the articles, the by-laws, the directors and shareholders resolutions, the share register, the director and officer registers and the share certificates. The register of individuals with significant control sits with them. Our minute book guide covers what is required and for how long.
