Incorporate a Pharmacy Professional Corporation in Ontario for $35
Start your pharmacy professional corporation for $35, HST included, with registry and College fees shown separately at cost. A CPA reviews your shares, name and year end before we file.
Two certificates matter here, and confusing them is the usual error. A Certificate of Authorization from the Ontario College of Pharmacists lets a professional corporation practise pharmacy. A Certificate of Accreditation lets the pharmacy itself operate, under the Drug and Pharmacies Regulation Act. We prepare and file the articles first, for $35.00, HST included, with College and registry charges shown at what each body charges. Open Corporation for $35 is a department of Gondaliya CPA.
A Chartered Professional Accountant sets the share classes and checks that front shop stock is not coded as dispensary sales.
Why Pharmacists and Pharmacy Owners Incorporate
Active business income within the $500,000 federal business limit is taxed at 9% federally and 2.2% in Ontario from 1 July 2026, a combined 11.2%. Money left in the corporation is taxed once, at that rate.
Inventory is why that rate matters more here. A pharmacy carries six figures of drug stock on an operating line, and the corporation repays it from income taxed at 11.2%.
Buying a store is usually the trigger. Pharmacies often change hands as share sales, and lenders advance acquisition debt to a corporation, so it must exist before closing.

Professional Corporation and Pharmacy Ownership Rules
The regulator is the Ontario College of Pharmacists, under the Pharmacy Act, 1991, the Regulated Health Professions Act, 1991 and the Drug and Pharmacies Regulation Act. The professional corporation and the company that owns the store follow different rules.
Tell the College within 30 days. Changes to directors, the share structure or the corporate name must reach the College within 30 days of taking effect, with signed share certificates for every registered shareholder. Our professional corporations guide compares the rules across the regulated professions.
Typical Share Structure for a Pharmacist and a Store
| Share class | Who holds it | Voting | Dividend entitlement | Why it is there |
|---|---|---|---|---|
| Class A common, professional corporation | The pharmacist | Yes | Discretionary | Control, and the only holder the rules allow |
| Class A common, store company | The pharmacist or their professional corporation | Yes | Discretionary | The majority section 142 requires |
| Class A common, store company | A second pharmacist partner | Yes | Discretionary | Buy-in on a shared store |
| Class A common, store company | A spouse or investor who is not a pharmacist | Yes | Discretionary | The permitted minority interest |
| Class B preferred, store company | The pharmacist, on a freeze | No | Fixed, redeemable | Locks in value before a sale or a partner buy-in |
Section 120.4 of the Income Tax Act decides whether the minority holding pays off. The excluded shares exception is closed to a professional corporation as the Act defines it, which lists accountants, dentists, lawyers, physicians, veterinarians and chiropractors but not pharmacists. A store company that earns most of its revenue from goods can therefore qualify.
The holder must be 25 or older and own shares carrying at least 10% of the votes and 10% of the value, so a non-voting class does not work for this exception. A CPA tests the store company against it, and against the excluded business test, before any dividend is declared.
HST for Pharmacies
A pharmacy is a mixed business, unlike every other health practice. Prescription drugs dispensed by a pharmacist are zero-rated under Part I of Schedule VI to the Excise Tax Act, so no tax is charged but input tax credits are still claimed. Front shop goods are taxable at 13% in Ontario.
Common CRA Issues for Pharmacy Corporations
Front shop sales coded as dispensary sales
A point-of-sale system maps taxable stock to the zero-rated code. The Canada Revenue Agency assesses the uncollected tax, plus interest.
Gross margin outside the normal range
Cost of goods sold does not reconcile to a physical count, and unsupported shrinkage is added back to income.
Manufacturer rebates and allowances
Rebates netted against cost of goods sold are reassessed as income when they are receivable.
Shareholder benefits
Stock taken for family use, a vehicle, or personal costs run through the store are assessed under subsection 15(1) of the Income Tax Act.
Personal services business
An incorporated locum billing one pharmacy with no staff or premises can be a personal services business and lose the small business deduction. Our personal services business guide sets out the tests.
One business limit for both companies
A professional corporation and a store company controlled by the same pharmacist are associated, so they share one $500,000 business limit.
First-Year Compliance Calendar
| When | What is due | Who files it | What happens if it is late |
|---|---|---|---|
| Within 60 days of incorporation | Initial Return under the Corporations Information Act, no fee | Us or your CPA | Non-compliance under that Act |
| Week one to two | Business number and RC0001 corporate tax account | Your CPA | Nothing to file the T2 against |
| Before dispensing through the corporation | Certificate of Authorization | The pharmacist, to the College | The corporation may not practise pharmacy |
| Before the pharmacy opens | Certificate of Accreditation | The owner, to the College | The pharmacy may not operate |
| Before the first sale | HST registration | Your CPA | Tax on front shop sales assessed, plus interest |
| 15th of the following month | Payroll source deductions for pharmacists, technicians and cashiers | The corporation | Penalty of 3% to 10%, 20% on a repeat |
| Within 30 days of a change | Director, share or name change reported to the College | The corporation | A College compliance matter |
| Within 53 weeks of incorporation | First fiscal year end chosen | Your CPA | Difficult to change afterwards |
| 3 months after year end | Corporate tax balance for a CCPC claiming the small business deduction | The corporation | Interest at the prescribed rate |
| 6 months after year end | T2 return, and the Ontario Annual Return in the Ontario Business Registry | Your CPA | Late filing penalty, and non-compliance under the Corporations Information Act |
| On or before 10 March each year | Certificate of Authorization renewal | The professional corporation | The certificate lapses |
| By 10 May each year | Pharmacy accreditation renewal | The owner | The pharmacy may not operate |
Two corporations and two certificates make this one of the most structured files we handle.
Which certificate each company needs
The professional corporation needs a Certificate of Authorization. The store company needs a Certificate of Accreditation. We map both before a share is issued.
Ownership under section 142
Pharmacists hold the majority of every class and most of the board. Where a spouse or investor holds a minority, we give them voting shares sized for the excluded shares test, then work section 120.4 before the dividend, not after.
HST from the first day
Prescriptions are zero-rated, the front shop is taxable, and zero-rated sales still earn input tax credits, so registration usually belongs before opening rather than at $30,000.
The year end
We set it against the inventory count rather than the calendar, so the store is not counted twice a year.
The money
Salary against dividends, the payroll account, the shared $500,000 business limit, whether a holding company belongs above both companies, and on a purchase, shares or assets and what a section 85 election does to the opening balance sheet.
AFFORDABLE Incorporation Pricing for Pharmacists
Our fee is $35.00 with HST included. Every registry and College fee is its own line, at the amount that body charges.
| Item | Amount | HST | Total | Who charges it |
|---|---|---|---|---|
| Incorporation preparation and filing | $35.00 | Included | $35.00 | Open Corporation for $35 |
| Ontario Articles of Incorporation, filed online | $300.00 | Not applicable | $300.00 | Ontario Business Registry |
| Ontario NUANS name search report | $25.00 | Included | $25.00 | Ordered through us |
| Certificate of Authorization application | Set by the College’s fee schedule | As charged | Confirmed before you apply | Ontario College of Pharmacists |
| Certificate of Authorization annual renewal | As on the College form | Included | $512.90 | Ontario College of Pharmacists |
| Community pharmacy accreditation annual renewal, 2025 | $1,388.70 | $180.53 | $1,569.23 | Ontario College of Pharmacists |
The College amounts come from its own renewal form and its 2025 accreditation renewal notice, and the accreditation fee rises with inflation each year. We confirm the current application and accreditation fees with the College before you apply. Minute book, bookkeeping, payroll and the T2 are quoted on request.

Case Studies: Pharmacists and Pharmacy Owners
Three Ontario pharmacy files, each showing where the owner started and what changed before anything went to the registry or the College.
Brampton Pharmacist – Buying a Retiring Owner’s Store
The problem: A staff pharmacist agreed to buy an independent store and the lender wanted a corporation in place before closing.
What we did: We incorporated the professional corporation first, then structured the store company so the professional corporation held the majority required by section 142.
The result:
- Two corporations ready before closing
- Section 142 majority in place
- Lender advanced to the store company
Toronto Owner – Front Shop Coded Wrong
The problem: A new owner’s point-of-sale system had mapped vitamins and cosmetics to the zero-rated dispensary code.
What we did: We remapped the codes before the first HST return, registered the store from the day it opened, and claimed the tax on the fit-out and opening stock.
The result:
- Front shop taxed correctly from day one
- Tax on the fit-out recovered
- No reassessment exposure
Hamilton Partners – A Spouse as Investor
The problem: Two pharmacists wanted one partner’s spouse, who is not a pharmacist, to invest in the store.
What we did: We kept the spouse out of the professional corporation and gave them a minority of voting common shares in the store company, sized for the excluded shares test.
The result:
- Section 142 majority kept
- Spouse holding structured for section 120.4
- First T2 prepared by the same firm

Incorporating a Pharmacy Across Ontario
We incorporate pharmacists and pharmacy owners from thirteen Ontario offices, and the filing is electronic, so no visit is needed. A pharmacy professional corporation is formed under the Business Corporations Act (Ontario) and authorized by the Ontario College of Pharmacists, so the practice must be in Ontario.
