✅ REGISTERED CPA FIRM – VERIFY NOW

Being in Toronto does not change the price. The Ontario Business Registry charges the same $300.00 for articles of incorporation whether they are filed from Queen Street or from Thunder Bay, and Corporations Canada charges $200.00 for a standard online CBCA filing. Our fee is $35.00, HST included. Open Corporation for $35 is a department of Gondaliya CPA.

What a Toronto address does change is which jurisdiction suits you, because a business selling across the country sits differently from one serving Scarborough. A Chartered Professional Accountant settles that, the share structure and the year end before the articles are drafted.

Affordable Incorporation in Toronto for $35

Open Corporation for $35 incorporates businesses across Toronto, from the financial district out to Scarborough and Etobicoke. We are a department of Gondaliya CPA Professional Corporation, registered with CPA Ontario under firm registration number 61330051. A Chartered Professional Accountant reads the articles before they reach the registry.

We work with founders, licensed professionals and owner-managed corporations. The work covers the jurisdiction decision, the share provisions, the first directors and the registered office. The Initial Return, the minute book and the registers follow once the certificate is issued.

Ontario and federal filings both run from the same intake form, and a named corporation needs a name search report where a numbered one does not.

Full-Service Incorporation Support for Toronto Businesses

The same seven services above, set out in full, so you can see what is done and what each filing is for before you order anything.

1

NUANS Name Search Report in Toronto

  • An Ontario-biased NUANS report is ordered for a named Ontario corporation, because the Ontario Business Registry refuses a Canada-biased report.
  • The report is valid for 90 days, so the articles have to be filed inside that window or a fresh search is needed.
  • We read the report before filing, because getting a NUANS search does not mean the examiner will approve the name.
  • Three name choices are screened for the distinctive element, the descriptive element and the legal ending before any search is paid for.
  • The price is $25.00 with HST included, and a numbered corporation needs no NUANS report at all.
2

Incorporation Service for Toronto Businesses

  • Articles of incorporation are drafted with voting common, non-voting common and preferred classes, so the corporation can pay a dividend or admit an investor later without an amendment.
  • A Chartered Professional Accountant reads the share provisions, the director details and the registered office before anything is submitted to the registry.
  • Ontario articles are filed through the Ontario Business Registry at a government fee of $300.00, and federal articles go to Corporations Canada at $200.00.
  • Our professional fee is $35.00 with HST included, and the government fee is itemised separately at cost with no mark-up.
  • The first directors, the registered office and the share issuance are recorded on incorporation, which is what the Initial Return and the minute book are built from.
3

Registered Office Address Service in Toronto

  • A commercial registered office address at 55 Queen St E, Suite 1205 is available for owners who would rather not publish a home address.
  • Every Ontario corporation must hold a registered office at a physical Ontario address, and Ontario ministry notice ON00224E confirms a post office box alone is not accepted.
  • The registered office appears on the public register, so a home address used on the articles stays searchable afterwards.
  • Registry mail and ministry notices are received at the Queen Street East office and forwarded to you.
  • The address service is priced on our pricing page and quoted with HST included.
4

Payroll Service in Toronto

  • An RP payroll account is opened with Canada Revenue Agency under the corporation’s business number.
  • Source deductions are calculated each pay run and remitted by the 15th of the following month for a regular remitter.
  • T4 slips and the T4 summary are filed by the last day of February for the preceding calendar year.
  • Owner salary against dividends is tested before the first pay run, because the mix changes what the corporation and the shareholder pay.
  • WSIB registration and Ontario Employer Health Tax are checked, because both depend on payroll size rather than on incorporation.
5

One Window Service for Corporation in Toronto

  • Incorporation, the business number, HST registration and the first year of filings run through a single point of contact.
  • The business number is obtained from Canada Revenue Agency once the certificate is issued, then the RT, RP and RC accounts are opened as needed.
  • HST registration becomes mandatory once taxable supplies pass $30,000 over four consecutive calendar quarters, and voluntary registration is available before that.
  • The fiscal year end is chosen within 53 weeks of incorporation, and changing it afterwards needs Canada Revenue Agency approval.
  • The minute book, share certificates, registers and the transparency register are opened on incorporation rather than at the first year end.
6

Corporate Annual Filing in Toronto

  • The Ontario Annual Return is filed within six months of the fiscal year end, at a government fee of $0.00.
  • The federal annual return is filed within 60 days of the anniversary date, at a government fee of $12.00.
  • A corporation that stops filing can be dissolved administratively, and reviving it costs more than the returns would have.
  • Director, officer and registered office changes are filed as they happen, so the public register matches the minute book.
  • The register of individuals with significant control is reviewed each year, which the Ontario Business Corporations Act requires.
7

Corporate Tax Filing in Toronto

  • The T2 corporate income tax return is due six months after the fiscal year end, with GIFI financial statements attached.
  • Corporate tax is payable two months after the year end, or three months where the small business deduction applies.
  • Schedule 50 shareholder details, Schedule 8 capital cost allowance and Schedule 4 loss carryovers are prepared from the bookkeeping rather than estimated.
  • Shareholder loan balances are reconciled before filing, because subsection 15(2) of the Income Tax Act brings an unrepaid balance into income.
  • Fees start at $300.00 with HST included, and the exact figure is confirmed in writing before any work begins.

What We Handle on a Toronto Incorporation

Twelve pieces of work sit behind the certificate. These are the ones that decide what the corporation costs to run.

1

Choosing the jurisdiction

  • Ontario at $300.00 against federal at $200.00.
  • Where the business actually carries on trade.
  • Whether a national name matters to you.
  • Extra-provincial registration if you cross a border.
2

Named or numbered

  • A numbered corporation needs no NUANS report.
  • A named corporation adds $25.00, HST included.
  • A business name can be registered separately.
  • Three name choices screened before any search.
3

The NUANS report

  • Ontario accepts only an Ontario-biased report.
  • A Canada-biased report is refused outright.
  • Valid for 90 days before the articles are filed.
  • Ordered and reviewed by us, not by you.
4

Share structure

  • How many classes the articles need.
  • Voting separated from value where it should be.
  • Room to issue a new class without an amendment.
  • Preferred shares included at no extra cost.

  • Spouse and adult child holdings tested first.

  • Full legal name and residential address filed.
  • Federal boards need 25 percent resident Canadians.
  • Ontario removed its rule on 5 July 2021.
  • Changes reported within 15 days.
7

Registered office

  • A physical Ontario address, never a box alone.
  • It becomes a permanent public record.
  • Our Toronto address available as a service.
  • Where the minute book is kept by default.
8

The Initial Return

  • Due within 60 days of incorporation.
  • Filed under the Corporations Information Act.

12

HST and the year end

  • Mandatory once supplies pass $30,000.
  • Measured over four consecutive calendar quarters.

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

Share structure is the constraint that shapes everything else. The registry endorses what you file, and a change afterwards is an amendment with its own fee, so the classes are settled before the articles are drafted rather than after.

We say that at the first meeting rather than after the certificate arrives.
Step 1

Jurisdiction before price

Ontario costs $300.00 and federal $200.00, but a board with no resident Canadian cannot file federally under section 105(3) of the Canada Business Corporations Act. The residency answer often settles the question before the fee is compared.

Step 2

Classes drafted for the ownership you expect

Voting common for the founder, non-voting common where someone will join later, and a preferred class so accrued value can be frozen before a buy-in. None of them costs anything to include on day one.

Step 3

Family shareholdings tested first

A dividend to a spouse or an adult child works only where it survives section 120.4 of the Income Tax Act. The excluded business and excluded share tests are applied before the shares exist, not after a reassessment.

Step 4

Registered office settled

A physical Ontario address, never a post office box alone, and it becomes a permanent public record. Owners working from a Toronto condo usually take a commercial address instead.

Step 5

Year end and HST mapped

A first year end can be any date within 53 weeks of incorporation, and changing it later needs Canada Revenue Agency approval. HST becomes mandatory once taxable supplies pass $30,000 over four consecutive calendar quarters.

Step 6

Articles filed and the clock started

Articles filed online through the Ontario Business Registry are processed immediately. The Initial Return follows within 60 days, and the minute book and transparency register are opened on incorporation.

Toronto Incorporation FAQs

How much does it cost to incorporate a business in Toronto?

Incorporating a numbered Ontario corporation from Toronto costs $335.00 in total, being a $35.00 professional fee with HST included plus the $300.00 government fee charged by the Ontario Business Registry. The Ontario fee is the same across the province, so a Toronto address changes nothing about the price. A named corporation also needs a NUANS report at $25.00, HST included, which brings the total to $360.00. A federal filing costs $235.00 numbered, because Corporations Canada charges $200.00 rather than $300.00.

Do I need to come to your Toronto office to incorporate?

No visit is required, because every incorporation is prepared by email and filed electronically with the registry. The office at 55 Queen St E, Suite 1205 is open 9:00 AM to 8:30 PM, Monday to Sunday, for owners who would rather settle the share structure in person. Both Corporations Canada and the Ontario Business Registry accept an electronic filing, so nothing has to be signed in person.

Should a Toronto business incorporate in Ontario or federally?

Incorporate in Ontario if the business operates in Ontario, and federally if you want the corporate name protected across Canada. Ontario charges $300.00 for articles of incorporation and Corporations Canada charges $200.00, so federal is cheaper at the registry by $100.00. Section 105(3) of the Canada Business Corporations Act requires at least 25 percent of directors to be resident Canadians, while Ontario removed its residency requirement on 5 July 2021.

How long does it take to incorporate in Toronto?

Articles filed online through the Ontario Business Registry are processed immediately and the certificate is issued the same day. The Ministry of Public and Business Service Delivery and Procurement publishes 15 business days for articles filed by mail. Preparation and CPA review take one to two business days before the filing is submitted, so the certificate usually arrives within three business days of the intake form.

Can I use your Toronto address as my registered office?

A registered office address service is available from the Queen Street East office and it is priced on our pricing page. Every Ontario corporation must hold a registered office at a physical Ontario address, and Ontario ministry Notice ON00224E confirms that a post office box alone is not accepted. The registered office appears on the public register, which is why owners working from home often use a commercial address instead.

Do you serve areas outside downtown Toronto?

North York, Scarborough and Etobicoke are all served from the downtown office, and the registry filing is identical wherever in the city the business sits. Gondaliya CPA also has offices in Mississauga, Brampton, Vaughan, Markham and Oshawa for owners outside the city. The Ontario Business Registry charges the same $300.00 government fee across the province regardless of address.

What falls due after the certificate is issued?

An Ontario corporation files an Initial Return within 60 days of incorporation under the Corporations Information Act, at a government fee of $0.00. The corporation is then organized, meaning shares issued, officers appointed, by-laws adopted and the minute book opened, which section 20 of the Canada Business Corporations Act requires. An Ontario Annual Return follows within six months of the fiscal year end, and a federal annual return costs $12.00 within 60 days of the anniversary date.

Do I need a lawyer to incorporate in Toronto?

No. Articles of incorporation are filed by the incorporator, and neither the Ontario Business Corporations Act nor the Canada Business Corporations Act requires a lawyer to do it. We are a CPA firm rather than a law firm, and we prepare and file the corporate documents. A shareholder agreement is a different matter, because it is a contract between shareholders and it is legal work. Where one is needed we say so, and you take it to a lawyer licensed in Ontario.

At what income does incorporating start to pay?

Incorporation rarely pays below about $60,000 of net business income, because little is left in the corporation to defer tax on. Active business income inside the $500,000 business limit is taxed at 12.2 percent combined in Ontario, against personal rates that climb much higher. The saving is a deferral rather than a discount, and it exists only on income you leave in the corporation. Liability, contracts and credibility often decide the question before tax does.

Is the $35.00 your only charge?

Yes, for the incorporation itself. The $35.00 is our professional fee with HST included. It covers preparing the articles, drafting the share provisions, recording the first directors and filing with the registry. Government fees are separate, shown on their own line and passed on at cost with no mark-up. A named corporation adds the $25.00 NUANS report, HST included. Payment is by Interac e-Transfer to info@gondaliyacpa.ca, and the security question is Not Applicable because auto-deposit is enabled.
