✅ REGISTERED CPA FIRM – VERIFY NOW

Corporation Centre, which now trades as CorpCentre, is a filing service founded and operated by Canadian lawyers and running since 2001. It advertises its cheapest incorporation package at $99 plus filing fees. What we ask for the same drafting and submission is $35.00, with the HST already counted in that amount and nothing added afterwards. Government fees are passed straight through on their own line at cost: $200.00 to Corporations Canada under the Canada Business Corporations Act, or $300.00 to the Ontario Business Registry under the Business Corporations Act (Ontario), as set out in the Gondaliya CPA incorporation cost breakdown. Open Corporation for $35 is a department of Gondaliya CPA. Both offers are unpicked below, item by item.

The short answer

Open Corporation for $35 suits anyone who wants a licensed CPA firm to file the corporation and stay responsible for the tax work that follows. Corporation Centre suits anyone who wants a lawyer-founded filing service with a long record, a published price for nearly every corporate change, and a compliance plan that keeps the corporate records up to date.

On the professional fee we are $64.00 lower than their $99 Essential package, and our figure already has HST inside it. They are cheaper on a sole proprietorship, they publish prices for corporate changes we quote on request, and their higher packages bundle a name search and a minute book. The difference that matters most is who answers the Canada Revenue Agency in year two: their compliance plan covers corporate filings, not tax filings.

Where they win

Corporation Centre wins

They have been filing since 2001 and say they have helped more than 150,000 businesses. That is a longer record than ours, and experience counts when a filing is rejected.

Corporation Centre wins

They are founded and operated by Canadian lawyers, so they can take on legal work a CPA firm must decline.

Corporation Centre wins

They are cheaper on a sole proprietorship, from $49 plus filing fees, and they publish prices for work we quote on request: annual returns at $99, tax accounts from $50, share transactions from $99 and articles of amendment from $249.

Corporation Centre wins

Their higher packages bundle more into one published price: a comprehensive name search in the $299 Standard package, and a corporate minute book in the $399 Complete package. Their compliance plan is free for the first year.

Where we win

Open Corporation for $35 wins

The fee line. $35.00 with HST already inside it, against $99 plus filing fees, is a $64.00 gap on the cheapest package and $239.00 against their $299 Standard package with its name search.

Open Corporation for $35 wins

The total, shown honestly. Our Ontario numbered total is $335.00. Theirs is $399, because the $99 headline sits beside the $300 Ontario Business Registry fee that is charged on top. Our Ontario incorporation guide sets out that fee.

Open Corporation for $35 wins

The accountability row. CPA Ontario firm registration number 61330051 sits behind the tax return that gets signed. A lawyer’s licence does not cover that work.

Open Corporation for $35 wins

The rows after filing. Bookkeeping, the first T2 return from $300 and someone to call in a CRA audit are ours. Their compliance plan covers corporate filings, not tax filings, so the return those tax accounts create is filed by someone else.

Professional corporation for a doctor, dentist, pharmacist or engineer Open Corporation for $35 College approval and share ownership limits must be settled before the articles are drafted. See our professional corporation guide
Converting a sole proprietorship that already holds assets or goodwill Open Corporation for $35 A section 85 rollover has to be planned and elected with the Canada Revenue Agency
You want the lowest all-in cost with HST included Open Corporation for $35 $335.00 for an Ontario numbered corporation, against $399

What a CPA checks before you incorporate

A filing agent checks the name. Nobody checks the shareholders, and that is the gap this page is about.

A name search confirms nothing is confusingly similar on the register. It does not consider that two corporations under common control are usually associated, which means one $500,000 small business deduction shared between them. That is a decision with a tax consequence, and it is made before the articles are filed.

The share provisions get the same treatment. A standard single class is accepted and processed. Whether you needed voting common, non-voting common and a preferred class is not a question a filing service asks, and adding a class afterwards is an amendment and a further government fee. Our share structure guide explains the choices.

Who will hold those shares is where section 120.4 of the Income Tax Act applies. A spouse, parent or adult child on the register can receive dividends taxed at the top rate unless an exclusion is met, and the excluded business test looks at hours actually worked in the business, which no registry sees.

The rest never comes up at all. A first fiscal year end within 53 weeks of incorporation, which fixes the T2 and the instalments. HST registration once taxable sales pass $30,000. Salary against dividends, and when the first payroll remittance falls due. Whether a holding company is worth a second annual filing. And a section 85 election where an existing business is being folded in.

Case studies

A founder comparing $99 with $35

The situation: A consultant starting a numbered Ontario company had the $99 package open in another tab and asked what the real total would be.

What we did: We showed both totals side by side, set up the share classes with room for a spouse later, and filed the articles the same day for $35.00 plus the $300.00 registry fee.

The result:

  • Corporation filed for $335.00 in total
  • Share classes ready for a family member later
  • Year end and HST timing set at the start

A named company and a name search

The situation: A retailer wanted a named Ontario corporation and was weighing a $299 package that included a name search.

What we did: We ordered a $25.00 NUANS report, checked the name for association with a corporation the owner already held, and filed the articles.

The result:

  • Named corporation filed for $360.00 in total
  • Associated corporation rules explained before filing
  • HST account registered by us

A sole proprietor with equipment

The situation: A trades business owner with a truck, tools and a client list wanted to incorporate and had only been quoted for the filing.

What we did: We incorporated the company and prepared the section 85 election so the assets moved in without a taxable gain.

The result:

  • Assets transferred with no gain reported
  • Election filed on time
  • First T2 prepared by the same firm

Frequently asked questions

How much does Corporation Centre charge to incorporate a business in Canada?

Corporation Centre lists three incorporation packages: $99 Essential with regular processing, $299 Standard with priority processing and a comprehensive name search, and $399 Complete with express processing and a corporate minute book. Each is plus filing fees, so the government fee is added on top.

Does the $99 Corporation Centre package include government fees?

No. Their incorporation prices are shown plus filing fees. The government fee is $200 for a federal corporation and $300 in Ontario, so the cheapest Ontario total is $399.

Is Open Corporation for $35 cheaper than Corporation Centre?

Yes on the professional fee: $35.00 with HST included against $99 plus filing fees, a difference of $64.00. Government fees are the same on both sides, because neither of us marks up the $200.00 Corporations Canada fee or the $300.00 Ontario Business Registry fee. We are not cheaper on everything: their sole proprietorship registration starts at $49.

Does Corporation Centre file my corporate tax return?

Their compliance plan covers corporate filings and updates, not tax filings. They open tax accounts such as the business number, GST/HST and payroll from $50, but the T2 corporation income tax return, due within six months of your fiscal year end, is prepared elsewhere. We prepare it from $300.

Is the Corporation Centre compliance plan free?

For the first year. After that it is $249 a year, bundled with a digital minute book. We sell no compliance subscription, so nothing renews after we file.

Can I incorporate federally with either service?

Yes. Both file federal corporations with Corporations Canada for the $200 government fee. Our federal incorporation guide sets out the steps and the annual return due within 60 days of each anniversary.
