Sole Proprietorship Registration in Ontario, Prepared and Reviewed by a CPA Firm

Register your Ontario sole proprietorship with a CPA firm that will first tell you whether you should be incorporating instead. The Ontario Business Registry charges $60 for a business name registration, and we pass that through at cost as its own line. The registration lasts five years and gives you no liability protection. If a corporation is the better answer on your numbers, we say so before you pay anything. Open Corporation for $35 is a department of Gondaliya CPA.

Ontario Sole Proprietorship Registration, With an Honest Second Opinion

A sole proprietorship is the cheapest way to start a business in Ontario. Registering the business name costs $60 at the Ontario Business Registry, and the Canada Revenue Agency charges nothing for a business number. Open Corporation for $35 is a department of Gondaliya CPA.

It is also the most expensive structure to stay in for too long. Every dollar of profit is taxed at your personal rate, and everything the business owes, you owe personally. That is why a Chartered Professional Accountant looks at your numbers first, and tells you plainly if a corporation, at $335.00 in total with us, would serve you better.

Sole Proprietorship Registration Services

  • A Chartered Professional Accountant reviews whether a sole proprietorship is the right structure for you at all, and tells you plainly if a corporation would serve you better on your numbers.
  • Confirmation of whether you must register under the Business Names Act, because trading under your own full legal name is treated differently from trading under a business name.
  • A search of the Ontario Business Registry for identical and closely similar names, with a written note on anything that looks like a conflict.
  • A written warning where your name resembles a registered trademark, because a business name registration gives you no ownership of the name.
  • Preparation and filing of the business name registration, with the business activity described the way you actually work.
  • Your registration confirmation, Business Identification Number and company key by email, with a note on why the company key must stay private.
  • Your Canada Revenue Agency business number and only the program accounts you need: RT for HST, RP for payroll and RM for import and export.
  • A written answer on HST: whether you must register now against the $30,000 small supplier threshold, or whether registering early is worth it.
  • A deadline calendar with your expiry date five years out, the renewal window, 15 June, 30 April and any instalment dates.
  • A written note on Canada Pension Plan contributions on self-employment earnings, so the first tax bill is not a surprise.
  • A plain list of the records and receipts you must keep.
  • Your questions answered by phone and email while the registration is in progress. We do not bill for calls.

What a sole proprietorship actually is

An unincorporated business owned by one individual

A sole proprietorship is a business owned and run by one person, with no company behind it. There are no shares, no directors and no separate tax return for the business.

Why the business and the owner are the same person in law

The Canada Revenue Agency states that a sole proprietor does not have separate legal status from the business. Everything the business owns, you own. Everything it owes, you owe.

What you are registering, which is a name and not a company

In Ontario you register a business name under the Business Names Act, R.S.O. 1990, c. B.17. It records the name on a public register. It does not create a company.

When Ontario requires you to register a business name

The rule under the Business Names Act

Subsection 2(2) of the Business Names Act says an individual must not carry on business, or identify the business to the public, under a name other than their own unless that name is registered.

Carrying on business under your own full legal name

If you trade under nothing but your own full legal name, such as Priya Sharma, the registration rule does not apply. Add anything to it, such as Priya Sharma Design, and you must register.

What happens if you trade under an unregistered name

Trading under an unregistered name is an offence under the Act, and an unregistered business can be blocked from suing in an Ontario court over a contract until it registers. Banks will also ask for the registration before they open a business account.

What it costs to register a sole proprietorship in Ontario

The $60 government fee charged by the Ontario Business Registry

The Ontario Business Registry charges $60 to register a sole proprietorship business name, and $60 again to renew it every five years.

Our service fee, shown as a separate line

Our service fee is confirmed to you in writing before anything is filed, and it is always shown separately from the $60 government fee. See every fee, ours and the registry’s, in one table.

What the Canada Revenue Agency charges, which is nothing

A business number and the RT, RP and RM program accounts cost nothing to open.

The five-year term and the renewal you will forget

Registration expires five years from the date it is filed

The Ontario Business Registry states that a business name registration expires every five years. The province does not chase you for it.

The renewal window, six months before expiry to 60 days after

You can renew from six months before the expiry date until 60 days after it. The renewal fee is $60, the same as a new registration.

What happens once the 60 days pass

After 60 days you cannot renew. You file a brand new registration and receive a new Business Identification Number and a new company key, and your bank and the Canada Revenue Agency may hold the old one.

The amended registration you must file within 15 days of a change

A change of address or business activity is filed as an amended registration within 15 days. There is no government fee for it.

Unlimited personal liability, in plain terms

Your house, your car and your savings are business assets in law

A business creditor can pursue your personal property, because there is no separate company standing between the debt and you.

Contracts, leases and employee claims land on you personally

Sign a commercial lease, hire someone or take on a supply contract, and you sign it personally. If the business cannot pay, you do.

What insurance covers and what it does not

Insurance covers some claims, such as an injury on your premises. It does not cover an unpaid lease, a supplier debt or a contract that goes wrong.

How a sole proprietorship is taxed

Business income goes on Form T2125 with your T1 return

You report business income on Form T2125, Statement of Business or Professional Activities, with your personal T1 return, and pay tax at your personal marginal rate on the net profit.

The 15 June filing deadline and the 30 April payment deadline

Your return is due 15 June if you were self-employed, but any balance owing is due 30 April. Interest runs from 1 May. A proprietorship’s fiscal period ends on 31 December in most cases.

Canada Pension Plan contributions on self-employment earnings

You pay both halves: 11.90 percent in 2026 on earnings between $3,500 and $74,600, a maximum of $8,460.90, plus 8 percent on earnings between $74,600 and $85,000.

The $30,000 HST small supplier threshold under the Excise Tax Act

You must register for GST/HST once taxable supplies pass $30,000 in a single calendar quarter or over four consecutive calendar quarters. See how to register for HST, at Gondaliya CPA.

How we prepare and file your registration

The intake form and the name check

You complete the intake form. A CPA reviews the structure question first, then we search the registry for conflicting names.

Filing with the Ontario Business Registry and your company key

We file the registration online, where it is processed immediately, and send you the confirmation, your Business Identification Number and your company key.

Your Canada Revenue Agency business number and program accounts

We open your business number and only the program accounts you need.

The point at which incorporating becomes the better answer

When your profit exceeds what you need to draw personally

A corporation pays the small business rate on active business income up to the $500,000 limit and lets you leave the rest in the company. See incorporate in Ontario for $35 plus the $300 registry fee.

When a customer, landlord or lender asks for a corporation

Many commercial customers, landlords and lenders will only contract with a corporation. That request usually settles the question.

When you take on a first employee, a lease or real risk

Each of these creates a personal obligation in a proprietorship. In a corporation it sits with the company.

When a second owner joins, because a proprietorship has only one

A proprietorship has one owner. Two owners are a partnership or a corporation. See corporation against partnership.

Moving a sole proprietorship into a corporation

Transferring the business on a tax-deferred basis under section 85

Section 85 of the Income Tax Act lets you transfer business assets, including goodwill and equipment, into a corporation without triggering an immediate gain, provided the election is filed with the Canada Revenue Agency and the values are set correctly.

What happens to the business name registration afterwards

The registration does not move across. The corporation registers the name itself, and the proprietorship registration is cancelled at no government fee.

What it costs to incorporate in Ontario instead

$335.00 in total: our $35.00 fee with HST included plus the $300 government fee. See what is due after your certificate arrives.

Sole proprietorship against a corporation, side by side

Cost, term and paperwork compared

A proprietorship costs $60 and is renewed every five years. A corporation costs $335.00 with us, never expires, and files an annual return and a T2 each year. A numbered company needs no NUANS report.

Liability and tax compared

A proprietor carries unlimited personal liability and pays personal rates on all profit. A corporation limits liability and pays the small business rate on retained active income.

Which one a CPA recommends, and when

A proprietorship for testing an idea with little risk and modest profit. A corporation once profit, risk or a second owner arrives.

Case Studies: Sole Proprietorship or Corporation

Toronto Designer – A Proprietorship First

The problem: A Toronto graphic designer was starting part time under a studio name and expected modest income in the first year.

What we did: We confirmed a proprietorship was the right start, registered the studio name for $60, opened the business number and set out the HST threshold in writing.

The result:

  • Business name registered online
  • Expiry date and renewal window diarised
  • HST position in writing

Mississauga Contractor – Incorporate Instead

The problem: A Mississauga renovation contractor asked to register a business name, but was about to sign a commercial lease and hire a helper.

What we did: We explained the personal liability on the lease and the employee, and incorporated in Ontario instead for $335.00 in total.

The result:

  • Corporation, not a proprietorship
  • Lease signed by the company
  • Payroll account opened

Brampton Consultant – Moving Across

The problem: A Brampton IT consultant had run a proprietorship for three years and was earning far more than they drew.

What we did: We incorporated, transferred the equipment and client goodwill under section 85, and cancelled the old business name registration.

The result:

  • Tax-deferred transfer
  • Profit retained in the company
  • Old registration cancelled

What a CPA Checks Before You Incorporate

Start Your Intake Form

A sole proprietorship is the cheapest structure to start and the most expensive one to stay in too long, so these checks tell you when that second point starts to apply.

Check 1

The number

A proprietorship pays your personal rate on every dollar of profit. A corporation pays the small business rate on active income up to $500,000.

Check 2

Exposure

A lease, a staff hire or a supply contract puts unlimited liability on you personally.

Check 3

Fiscal period

A proprietorship generally ends on 31 December. A corporation picks any first year end within 53 weeks.

Check 4

HST

Registered against the $30,000 threshold in either structure, but the account moves from you to the company.

Check 5

Family and holding

Share classes for a spouse or adult child under section 120.4 of the Income Tax Act, and a holding company once profits are retained.

Check 6

Moving across

Salary against dividends, and a section 85 rollover for goodwill and equipment.

Sole Proprietorship FAQs

What is a sole proprietorship?

A sole proprietorship is an unincorporated business owned by one individual, and the Canada Revenue Agency states that the owner does not have separate legal status from the business. There is no company, no shares and no separate taxpayer. In Ontario the business name is registered under the Business Names Act, R.S.O. 1990, c. B.17, for $60. Everything the business owns, you own, and everything it owes, you owe.

Do I have to register a sole proprietorship in Ontario?

You must register a business name in Ontario if you carry on business under any name other than your own full legal name, under subsection 2(2) of the Business Names Act. The Ontario Business Registry charges $60. Trading strictly under your own full name does not require registration. Registration is a filing requirement, not a licence to carry on a particular trade.

How long does an Ontario sole proprietorship registration last?

An Ontario business name registration lasts five years and costs $60 to renew. The Ontario Business Registry states that it must be renewed within six months before to 60 days after the expiry date. Filed online, both the registration and the renewal are processed immediately.

What happens if I let my business name registration expire?

If it has been expired for more than 60 days you cannot renew it and must file a new registration, which issues a new Business Identification Number and a new company key. Your bank and the Canada Revenue Agency may hold the old number. The new registration costs the same $60.

Does registering a sole proprietorship protect my personal assets?

No. A sole proprietorship gives you no liability protection, so a business creditor can pursue your savings, your vehicle and your home. Only a corporation creates a separate legal person. Articles of Incorporation in Ontario cost $300 filed online through the Ontario Business Registry.

How is a sole proprietorship taxed in Ontario?

You report business income on Form T2125 with your personal T1 return and pay tax at your own marginal rate on the net profit, whether you withdraw it or not. There is no separate corporate return. The fiscal period generally ends on 31 December. Business losses can generally be applied against your other income.

When is my tax return due if I am self-employed?

Your return is due 15 June if you or your spouse or common-law partner were self-employed, but any balance owing is due 30 April. Interest runs on unpaid tax from 1 May. If you owe enough two years running, the Canada Revenue Agency asks for quarterly instalments, due 15 March, 15 June, 15 September and 15 December.

When do I have to register for HST as a sole proprietor?

You must register once your taxable supplies exceed $30,000, the small supplier threshold. Pass $30,000 in a single calendar quarter and you register from the supply that took you over. Pass it over four consecutive calendar quarters and you register from your first supply after you stop being a small supplier. Registering earlier can be worth it for input tax credits.

Do I pay Canada Pension Plan contributions on self-employment income?

Yes, and you pay both halves: 11.90 percent in 2026 on earnings between the $3,500 basic exemption and $74,600, a maximum of $8,460.90. A second contribution of 8 percent applies on earnings between $74,600 and $85,000. Employment Insurance is not automatic for the self-employed and needs a separate opt-in.

When should I incorporate instead of staying a sole proprietor?

Incorporating usually becomes the better answer once the business earns materially more than you need to draw, or once you take on a lease, an employee or a signed customer contract. A corporation pays the small business rate on its first $500,000 of active business income. Incorporating in Ontario costs $335.00 in total with us: our $35.00 fee with HST included plus the $300 government fee.

Can I move my sole proprietorship into a corporation later?

Yes. Section 85 of the Income Tax Act allows business assets, including goodwill and equipment, to be transferred into a corporation on a tax-deferred basis. It needs an election filed with the Canada Revenue Agency and correctly set values. Your business name registration does not move across; the corporation registers separately.

Does a sole proprietor still get a Master Business Licence?

No. Ontario replaced the old process with the Ontario Business Registry on 19 October 2021, and a sole proprietor now receives a business name registration confirmation. The Ontario Business Registry still uses the old name when explaining that the registration expires every five years. If your bank asks for a Master Business Licence, the registration confirmation and your Business Identification Number are what they need.
