Numbered Company Incorporation for $35, Prepared and Filed by a CPA Firm

Start your numbered company for $35.00, HST included. There is no name search to buy and no NUANS report to wait for. The Ontario Business Registry charges $300 for the Articles of Incorporation and Corporations Canada charges $200, and we pass whichever applies through at cost as a separate line. A CPA reviews your share structure before anything is filed.

AFFORDABLE Numbered Company Incorporation

A numbered Ontario corporation costs $335.00 in total: our $35.00 fee with HST included, plus the $300 Ontario Business Registry fee. A numbered federal corporation costs $235.00: our $35.00 plus the $200 Corporations Canada fee. There is no name search on top in either case. Open Corporation for $35 is a department of Gondaliya CPA.

A numbered company, such as 1234567 Ontario Inc., is a full corporation with the same limited liability and tax treatment as a named one. It suits owners who need the corporation open now and have not settled on a brand, and it can take a word name later by articles of amendment. A CPA checks what goes inside the articles before anything is filed.

What a numbered company actually is

The registry assigns the number, you do not choose it

The Ontario Business Registry or Corporations Canada assigns the next available number. You cannot select, reserve or request a particular one, and the Ontario Corporation Number issued with the certificate stays the same even if the name changes later.

1234567 Ontario Inc. and 12345678 Canada Inc.

An Ontario numbered company reads like 1234567 Ontario Inc.; a federal one like 12345678 Canada Inc. The jurisdiction word comes from the registry and the legal ending is your choice.

A numbered company is a full corporation, not a lesser one

It has exactly the same legal status, limited liability and tax treatment as a corporation with a word name. The only difference is the name on the certificate.

What a numbered company costs

Our fee is $35.00, HST included

One fee for the CPA review, the articles and the filing, whichever registry you use.

The $300 Ontario fee and the $200 federal fee

The Ontario Business Registry charges $300 for Articles of Incorporation; Corporations Canada charges $200 online. Incorporate in Ontario for $35 plus the $300 registry fee, or incorporate federally for $35 plus the $200 registry fee.

What you avoid by not buying a name search

A named Ontario corporation needs an Ontario-biased NUANS report. A numbered one needs none, so there is no report to buy and no wait for it.

Why a numbered company skips the name search step

The Ontario-biased NUANS report and the 90-day rule

For a word name, Ontario requires an Ontario-biased NUANS report dated no more than 90 days before filing. A numbered filing has no name to search, so the rule does not apply. See why a numbered company needs no NUANS report.

The federal name search is now built into the filing

Corporations Canada has built the name search into the online incorporation application, and a numbered federal filing does not need it at all.

What the registry still checks on a numbered filing

The registry still checks the articles themselves: the legal ending, the share provisions, the directors and the registered office address.

When a numbered company is the right choice

You need the corporation open before a fixed date

With no name to clear, an Ontario online filing is processed immediately and a federal standard filing in one business day.

Holding corporations, real estate corporations and single-purpose corporations

Nothing is ever marketed under these names, so a number does the job and costs nothing extra.

You have not settled on the brand name yet

Incorporate now, trade under a registered business name, and adopt a word name later if you want one.

When a named corporation is the better answer

When customers will search for you by name, when the name goes on a sign, a vehicle or a domain, or when a regulatory college requires a surname in a professional corporation’s name.

Putting a business name on top of the number

How a trade name sits on top of the corporation

A numbered corporation can register a business name, also called a trade or operating name, and use it on signs, invoices and advertising while the legal name stays the number.

Registering the business name in Ontario for a five-year term

In Ontario the registration is made through the Ontario Business Registry under the Business Names Act, costs $60 and runs for five years before it must be renewed.

A business name is not a trademark and gives no name protection

A business name registration gives no exclusive right to the name. Brand protection comes from a trademark registered with the Canadian Intellectual Property Office.

What your invoices, contracts and bank account must show

Contracts, the bank account and tax filings run through the corporation’s legal name, the number, with the business name added as a trade name where one is registered.

Changing to a named company later

Articles of amendment under the OBCA and the CBCA

A numbered company takes a word name by filing articles of amendment. Federally this is expressly allowed by paragraph 173(1)(a) of the Canada Business Corporations Act. A named Ontario corporation then needs its Ontario-biased NUANS report.

The special resolution your shareholders must pass

The name change must be approved by a special resolution of the shareholders before the articles of amendment are filed.

What changes and what stays the same

Only the name changes. The corporation keeps its incorporation date, its corporation number, its tax accounts and its history.

What the change costs when you make it

Articles of amendment cost $150 through the Ontario Business Registry and $200 filed online with Corporations Canada, plus a NUANS report for an Ontario word name.

How we prepare and file your numbered company

The intake form and the share structure conversation

You complete the intake form and a CPA talks through your share classes and who will hold them.

Directors, officers and the registered office

We confirm your directors, officers and registered office in writing, and prepare each first director’s consent.

Filing, the certificate and your corporation number

We file the same business day you approve and email you the certificate and your corporation number.

What is due after the certificate arrives

See what is due after your certificate arrives.

The Ontario Initial Return within 60 days

An Ontario corporation files its Initial Return under the Corporations Information Act within 60 days of incorporation, at no government fee. We file it for you.

The federal annual return within 60 days of the anniversary

A federal corporation files its annual return with Corporations Canada within 60 days after each anniversary of incorporation, at $12.

CRA business number and HST at $30,000

HST registration is required once taxable supplies pass $30,000 over four consecutive calendar quarters.

The minute book and the register of individuals with significant control

The corporation keeps a minute book and a register of individuals with significant control. Private Ontario corporations have had to keep that register since 1 January 2023.

Numbered against named, side by side

Cost, speed and name protection compared

A numbered company has no name search cost and no name step to wait for. A named company carries the NUANS report in Ontario and protects nothing more than the corporate name; neither gives trademark protection.

How each one reads to customers, suppliers and banks

Banks open accounts for numbered corporations every day. Customers see the business name you register on top, so the number rarely appears outside contracts and filings.

Which one a CPA recommends, and when

A number for holding, real estate and single-purpose corporations, or when speed matters. A word name when the corporate name itself is the brand. More in numbered company against named company.

  • Share classes ready for a freeze
  • Second T2 diarised

Brampton Founder – Named a Year Later

The problem: A Brampton founder incorporated a numbered federal corporation to start trading, then settled on a brand a year later.

What we did: We filed articles of amendment with Corporations Canada for $200 after a special resolution, keeping the incorporation date, corporation number and tax accounts.

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

A numbered company gets its name from the registry, so the only thing left to get right is what is inside the articles.

Nothing about a numbered filing slows you down enough to think, so we do the thinking first.
Check 1

Share classes

Holding, real estate and single-purpose corporations each want a preferred class and a non-voting class in place from the start.

Check 2

Holding company position

Whether a holding company belongs above or below the numbered company, weighed against a second T2 every year.

Check 3

Family shareholdings

A numbered company often exists to hold family shares, so section 120.4 of the Income Tax Act is the first thing we work through.

Check 4

Year end

Your first fiscal year end can fall anywhere within 53 weeks of incorporation and it sets the T2 cycle.

Check 5

HST

Registration is required once taxable supplies pass $30,000, within 29 days of the day you pass it.

Check 6

Money and structure

Salary against dividends, the shared $500,000 small business limit, a section 85 rollover, and whether a professional corporation needs a word name instead.

Numbered Company FAQs

What is a numbered company?

A numbered company is a corporation whose legal name is a number assigned by the registry, followed by the jurisdiction and a legal ending, such as 1234567 Ontario Inc. under the Business Corporations Act (Ontario) or 12345678 Canada Inc. under the Canada Business Corporations Act. It is a complete corporation with exactly the same legal status, limited liability and tax treatment as a corporation with a word name. The only difference is the name on the certificate.

How much does it cost to incorporate a numbered company?

A numbered Ontario corporation costs $335.00 in total: our fee of $35.00 with HST included, plus the $300 government filing fee charged by the Ontario Business Registry. A numbered federal corporation costs $235.00 in total: our $35.00 plus the $200 fee charged by Corporations Canada for a standard online filing. There is no name search cost on top in either case.

Do I need a NUANS report for a numbered company?

No. A numbered corporation needs no NUANS name search report, in Ontario or federally. In Ontario an Ontario-biased NUANS report dated no more than 90 days before filing is required only when you choose a word name. Federally, Corporations Canada has built the name search into the online application. Skipping the search is the main reason a numbered company files faster than a named one.

Can I choose my own number?

No. The registry assigns the next available number and you cannot select, reserve or request a particular one. What you do choose is the legal ending: Limited, Limitée, Incorporated, Incorporée or Corporation, or the abbreviations Ltd., Ltée, Inc. or Corp. The Ontario Corporation Number issued with the certificate stays the same even if the corporate name changes later.

Can a numbered company trade under a business name?

Yes. A numbered corporation can register a business name, also called a trade name or operating name, and use it on signs, invoices and advertising while the legal name remains the number. In Ontario the registration is made through the Ontario Business Registry, costs $60 and runs for five years before it must be renewed. Contracts, the bank account and tax filings still run through the numbered corporation.

Does a business name registration protect my brand?

No. A business name registration gives you no exclusive right to the name and no protection against another business using something similar. Protection of a brand comes from a trademark registered with the Canadian Intellectual Property Office, which is a separate application, and a NUANS report is not a trademark search.

Can I add a name to my numbered company after it is incorporated?

Yes. You add a name by filing articles of amendment after a special resolution of the shareholders, which federally is expressly permitted by paragraph 173(1)(a) of the Canada Business Corporations Act. Articles of amendment cost $150 through the Ontario Business Registry and $200 filed online with Corporations Canada. The corporation keeps its incorporation date, its corporation number and its history.

Will the registry ever make me change my numbered name?

Federally, subsection 12(4) of the Canada Business Corporations Act allows the Director to direct a corporation with a designating number as its name to change to a word name. In practice this is rare and does not affect an ordinary small business. The far more common reason to change is commercial: the owner settles on a brand and wants it on the certificate.

Is a numbered company a problem when opening a bank account?

No. Canadian banks open accounts for numbered corporations every day, in the corporation’s legal name, with the business name added where one is registered. The bank asks for the certificate of incorporation, the articles, identification for the directors and signing officers, and increasingly the information behind your register of individuals with significant control, which private Ontario corporations have had to keep since 1 January 2023.

How long does it take to incorporate a numbered company?

A numbered Ontario corporation filed online through the Ontario Business Registry is processed immediately, and the registry states 15 business days for articles filed by mail. Corporations Canada states one business day for a standard online federal incorporation and four business hours for the express option, which adds $100 to the $200 fee. Our own preparation takes one business day once your share structure is settled.

Does a numbered company have fewer filings to make each year?

No. A numbered corporation carries the same annual obligations as a named one. An Ontario corporation files the Initial Return within 60 days of incorporation and an annual return within six months of its fiscal year end, both at no government fee, and reports changes of directors, officers or registered office within 15 days. A federal corporation files its $12 annual return within 60 days after each anniversary.

Should I choose a numbered company or a named company?

Choose a numbered company for a holding, real estate or single-purpose corporation, or when you need to incorporate before a fixed date and have not settled on a brand. Choose a named company when customers will search for you by name, when the name goes on a sign, a vehicle or a domain, or when a regulatory college requires a surname in the corporate name. A numbered company can become a named one later by articles of amendment.
