✅ REGISTERED CPA FIRM – VERIFY NOW

Ontario Business Central has been a ministry-licensed service provider for the Ontario Business Registry since 1992, and it charges $54.99 plus HST for an Ontario incorporation. We ask $35.00 for the same drafting and submission, with the HST already inside the figure, and a Chartered Professional Accountant reads your share structure before anything reaches the registry. Government fees are never bundled into our fee and are billed at cost: $300.00 to the Ontario Business Registry under the Business Corporations Act (Ontario), or $200.00 to Corporations Canada under the Canada Business Corporations Act, as set out in the Gondaliya CPA incorporation cost breakdown. Open Corporation for $35 is a department of Gondaliya CPA. The difference that lasts is who answers your tax question next April.

The short answer

Ontario Business Central is a registry filing agent. Open Corporation for $35 is a department of a licensed CPA firm that also files. Choose Ontario Business Central for a fast standalone filing from a ministry-licensed agent when you already have an accountant. Choose Open Corporation for $35 when the filing starts a relationship with the firm that later registers your HST, runs payroll and prepares your first T2.

Our fee is lower, $35.00 with HST included against $62.14 once HST is added to their $54.99, but the real difference is which of the two has a CPA answerable afterwards.

Where we win

Open Corporation for $35 wins

The government fee, published. We show the $300.00 Ontario fee and the $200.00 federal fee on their own lines, at cost. Our Ontario incorporation guide sets out every registry fee.

Open Corporation for $35 wins

A CPA is accountable for what is filed, and the work afterwards stays with one firm. That is the share structure row, the CRA audit row and the T2 row.

Open Corporation for $35 wins

The Annual Return. Ontario charges no government fee for it, and it is filed in the Ontario Business Registry within six months of your fiscal year end. We remind you and file it alongside your year-end work.

What a CPA checks before you incorporate

Speed is a real feature. It is also the reason decisions get skipped, because a same-day filing leaves no gap in which anyone asks what the articles should say.

Sequence is what we add. The share classes are settled before the articles are submitted, not after, because the class list is fixed on the day the certificate issues and a new class later means an amendment and a further government fee. Voting common, non-voting common and a preferred class cost nothing extra to include now. Our share structure guide explains the choices.

Who holds each class is settled next, and it is a tax question rather than a registry one. Section 120.4 of the Income Tax Act taxes split income at the top rate unless an exception applies, so we test hours worked in the business and the votes and value on the shares before a family member is added.

Then the dates. Your first fiscal year end can be any date within 53 weeks of incorporation and fixes both the T2 and the instalments. The Ontario Initial Return is due within 60 days of incorporation and the Annual Return within six months of each year end.

Then the money. HST registration once taxable sales pass $30,000. Salary against dividends and the payroll account a salary needs. Whether the $500,000 small business deduction is shared with a company you already own. Whether a holding company yet justifies a second T2. Whether your college permits a professional corporation. And whether a section 85 election should carry a proprietorship across.

Case studies

Two quotes, one with HST missing

The situation: A consultant compared a $54.99 quote with ours and assumed the gap was under $20.

What we did: We showed both totals with HST included, set up the share classes with room for a spouse later, and filed a numbered Ontario company the same day.

The result:

  • Corporation filed for $335.00 in total
  • HST difference made visible before paying
  • Year end and HST timing set at the start

A named company for a retailer

The situation: A retailer wanted a named Ontario corporation and had been quoted a NUANS report plus the filing fee plus HST.

What we did: We ordered a $25.00 NUANS report, checked the name, set the share classes and filed the articles.

The result:

  • Named corporation filed for $360.00 in total
  • Initial Return filed within 60 days
  • HST account registered by us

A sole proprietor with goodwill

The situation: A contractor with an established client list wanted to incorporate quickly and move the business across.

What we did: We incorporated the company and prepared the section 85 election so the goodwill moved in without a taxable gain.

The result:

  • Goodwill transferred with no gain reported
  • Election filed on time
  • First T2 prepared by the same firm
