Vaughan is a city of contractors, manufacturers and small firms: construction is the largest employer, and most businesses here have fewer than 20 employees. If you are a renovator, landscaper or contractor, the City also wants a licence in the company’s name, so the corporation has to come first.

Why Vaughan Business Owners Incorporate

Construction is Vaughan’s largest employer, with 17.0 percent of jobs in 2022 according to the City, and 15.2 percent of businesses are construction firms. A contractor bidding on commercial or institutional work is usually asked for a corporation, a business number, an HST number, a WSIB clearance and liability insurance in the company’s name.

The City adds its own layer. Under Business Licensing By-law 122-2022, renovators, fence installers, pavers, landscapers, pool installers and snowplow contractors must be licensed and carry $2 million of commercial general liability insurance. When a corporation applies, the name on the licence must match its Articles of Incorporation, and every director and officer provides government identification. A contractor who incorporates after applying ends up applying twice.

Manufacturing and logistics are the other anchors. Manufacturing was 14.7 percent of Vaughan’s jobs in 2022, and the City’s Official Plan points to its provincial highways, two large rail yards and its closeness to Pearson airport. A manufacturer or distributor here usually needs a share structure ready for a partner and an import-export account from the start.

Most Vaughan businesses are small: 87 percent have fewer than 20 employees. For an owner-operator, the real question is whether to incorporate yet at all, and how to pay yourself once you do.

Municipal Licence Requirements in Vaughan

Consultant, accountant, engineer or software firm No Not applicable No category applies, but zoning still governs where the business may operate

A Vaughan business licence and an Ontario or federal corporation are separate things, and one never replaces the other. The corporation is created under the Business Corporations Act (Ontario) through the Ontario Business Registry, or under the Canada Business Corporations Act through Corporations Canada. The licence is the City’s permission to carry on one listed activity, issued under By-law 122-2022.

The order matters. The City asks a corporate applicant for a name that matches its Articles of Incorporation, identification for every director and officer, and, for a business at a fixed location, a zoning search issued within the past year. Someone applying for the company needs an agent authorization form. So the corporation must exist before the licence file is complete.

Applications go through the City’s online Licensing Portal. We prepare the corporate documents the City asks for. The licence application itself is yours to submit.

Case Studies: Vaughan Incorporations

Woodbridge Renovator – Licence in the Company’s Name

The problem: A Woodbridge renovator had applied for a City licence as a sole proprietor and then wanted to incorporate.

What we did: We incorporated first, then prepared the Articles and director details the City asks a corporate applicant to file, so the licence was issued once, in the corporation’s name.

The result:

  • Articles filed online
  • Licence file complete
  • WSIB and HST set up

Concord Distributor – Partner Joining

The problem: A Concord distributor was bringing in a partner and starting to import stock.

What we did: We incorporated with two voting classes and a preferred class, opened the import-export account and registered for HST before the first container.

The result:

  • Share classes ready for the partner
  • Import-export account opened
  • HST registered before the first import

Maple Consultant – Not Yet

The problem: A Maple IT consultant drawing everything she earned asked whether to incorporate.

What we did: We showed that the deferral would not cover the yearly cost of a T2 yet, and set a revenue point to revisit it.

The result:

  • Honest advice
  • No unnecessary corporation
  • Plan to revisit

What It Costs to Incorporate in Vaughan

Our fee is the same everywhere. Government fees depend on whether you incorporate in Ontario or federally, and each one is shown on its own line at cost. See the full fee table or every 2026 government registry fee.

Item Amount HST Total Who charges it
Incorporation prepared and filed $35.00 Included $35.00 Open Corporation for $35, a department of Gondaliya CPA
Ontario Articles of Incorporation, filed online $300.00 None $300.00 Ontario Business Registry
Federal Articles of Incorporation, filed online $200.00 None $200.00 Corporations Canada
Ontario NUANS report, named Ontario corporations only $25.00 Included $25.00 Ordered through us
Ontario Initial Return and Annual Return $0.00 None $0.00 Ontario Business Registry
Federal annual return $12.00 None $12.00 Corporations Canada

A numbered Ontario corporation costs $335.00 in total and a named one $360.00. A federal corporation costs $235.00, because the federal online filing includes its own name search. City of Vaughan licence fees are set by the City and are separate. Open Corporation for $35 is a department of Gondaliya CPA.

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

The same checks run on every file. In Vaughan the answers usually turn on contractor licensing, partners and equipment.

Check 1

Ontario or federal

Federal suits a business that trades across provinces under one protected name, but it needs 25 percent resident Canadian directors. Ontario has no such rule.

Check 2

Share structure

One class of common shares suits a solo contractor. A manufacturer or distributor bringing in a partner needs separate classes from the start.

Check 3

Who holds the shares

Dividends to a spouse are tested against the tax on split income rules before any share is issued.

Check 4

Year end and HST

A year end away from your busiest season, and HST registration at the $30,000 threshold or earlier.

Check 5

Salary or dividends

This decides RRSP room, Canada Pension Plan contributions and whether a payroll account is needed on day one.

Check 6

Moving an existing business

Where a sole proprietorship is being converted, a section 85 rollover moves trucks, tools and goodwill across without tax.

A Vaughan example. A Vaughan landscaper asked us to incorporate after the City had already issued a licence in his own name. Because the City licenses the legal entity, the corporation needed its own licence. We filed the articles, prepared the documents the City asks a corporate applicant for, and moved the insurance into the company’s name before the new licence was issued.

Vaughan Incorporation FAQs

Do I need a City of Vaughan business licence as well as a corporation?

Only if your business falls in a category the City licenses under By-law 122-2022, such as eating establishments, personal services, renovators, landscapers, pavers, pet shops or driving schools. Consultants, accountants and software firms need no City licence. Where a licence is needed, the applicant name must match the Articles of Incorporation, so incorporate first.

Should a Vaughan business incorporate federally or in Ontario?

Incorporate in Ontario unless you need one protected name across several provinces. A federal corporation costs $200 online against $300 for Ontario, but at least 25 percent of its directors must be resident Canadians, while Ontario removed its residency rule in 2021. A federal corporation trading in Ontario also registers here as an extra-provincial corporation.

I am a contractor in Vaughan. What do I need besides the corporation?

A City contractor licence if you are a renovator, fence installer, paver, landscaper, pool installer or snowplow contractor, with $2 million of commercial general liability insurance. You will usually also need WSIB coverage, a business number and an HST number.

Can I run my new corporation from my Vaughan home?

Often yes, within the home occupation rules of Zoning By-law 001-2021. Personal service businesses run from home still need a City licence. Your home address can also serve as the registered office, which is public on the Ontario Business Registry.

Is there free start-up help in Vaughan?

Yes. The Vaughan Business and Entrepreneurship Centre at Vaughan City Hall, 2141 Major Mackenzie Drive, offers free consultations on business plans, cash flow, permits and licences.

Can I meet a CPA in person at your Vaughan office?

Yes. Our Vaughan office is at 19 Cabinet Crescent, Woodbridge, open 9:00 AM to 8:30 PM, Monday to Sunday, by appointment on 647-212-9559. Most Vaughan incorporations are completed by email without a visit, because the articles are filed electronically.

How long does it take to incorporate a Vaughan business?

Once your intake form is complete, we prepare the articles in about one business day. Ontario articles filed online with the Ontario Business Registry are processed immediately, and federal articles filed online with Corporations Canada are usually issued within one business day.

Do I need a NUANS report to incorporate in Ontario?

Only for a named Ontario corporation, which needs an Ontario NUANS report. We order it for $25.00, HST included. A numbered corporation needs no name search, and a federal online filing includes its own name search, so it needs no separate report.

Do I have to register for HST when I incorporate?

Registration becomes mandatory once your taxable sales pass $30,000 over four consecutive calendar quarters. Many new corporations register earlier anyway, so they can recover the HST paid on start-up costs. Your business number comes with the incorporation, and HST is added as a program account.

What does my corporation have to file every year?

An Ontario corporation files an annual return in the Ontario Business Registry within six months after its fiscal year end, at $0.00, and a T2 corporation income tax return with the Canada Revenue Agency within six months after its year end. A federal corporation files a $12.00 annual return with Corporations Canada instead of the Ontario one.
