Your Ontario chiropractic professional corporation is formed under section 3.2 of the Business Corporations Act (Ontario), and we prepare and file the articles for $35.00, HST included. The Ontario Business Registry charge and any College fee are itemized at cost with no mark-up added. Open Corporation for $35 is a department of Gondaliya CPA.

Every issued share must be held legally and beneficially by a registered chiropractor, because the family share exception in the Ontario health profession corporation regulation covers medicine and dentistry and not chiropractic (O. Reg. 665/05, Health Profession Corporations, under the Business Corporations Act (Ontario)). A Chartered Professional Accountant sets the Article 5 restriction so the College of Chiropractors of Ontario does not return your articles.

Why Chiropractors Incorporate

Active business income inside the $500,000 federal business limit is taxed at 9% federally and 3.2% in Ontario, a combined 12.2%. Money left in the company is taxed once at that rate.

It only helps an owner who does not spend everything billed. A clinic owner billing $420,000 and living on $160,000 compounds the difference for years. Associates are the opposite case. Taking home nearly all of a percentage split buys timing, not tax saved.

Equipment decides it for many clinics. Tables, a decompression unit, laser and a build-out are financed over five to seven years, and the corporation services that debt with 12.2% dollars. Multi-disciplinary space is the second reason. Once rooms are sublet to massage therapists, rent sits beside exempt treatment revenue and is taxed differently.

Buying in is usually the trigger, because vendors sell shares and lenders lend to corporations. Selling is the other. The lifetime capital gains exemption applies to shares of a qualified small business corporation and not to a proprietorship’s goodwill, tested over 24 months.

Professional Corporation Rules for Chiropractors

Chiropractic is a regulated health profession under the Regulated Health Professions Act, 1991 and the Chiropractic Act, 1991, so this is a health profession corporation formed under section 3.2 of the Business Corporations Act (Ontario). You cannot practise through it until the College of Chiropractors of Ontario issues a certificate of authorization under sections 85.8 to 85.14 of the Health Professions Procedural Code, Schedule 2 to the Regulated Health Professions Act, 1991.

👥

Every share held by a chiropractor

All issued and outstanding shares must be owned legally and beneficially by members of the same profession, so a spouse, parent or adult child who is not a registered chiropractor may hold no shares of any class.

The family share exception in O. Reg. 665/05 covers medicine and dentistry, not chiropractic.

💼

Directors and officers

Every director and officer must be a shareholder holding current College registration.

Whether a holding company owned entirely by chiropractors may hold shares is unsettled.

📝

Name and articles

The name must carry a shareholder’s surname exactly as the College register shows it, indicate chiropractic, and end with “Professional Corporation”.

Article 5 restricts the corporation to chiropractic and ancillary activities, including the investment of surplus funds. Article 8 bars share transfers to anyone who is not a registered chiropractor.

📅

Yearly certificate renewal

The certificate of authorization is renewed with the College every year.

The 2026 renewal was due by 6 January 2026. Billing through the corporation before the certificate is issued leaves the income personal.

Typical Share Structure for a Chiropractic Professional Corporation

Your classes are drafted for the buy-in you expect, and every class is held by a registered chiropractor.

Share class Who holds it Voting Dividend entitlement Why it is there
Class A common Founding chiropractor Yes Discretionary Control, growth, capital gains exemption
Class B common Second chiropractor on buy-in Yes Discretionary Divides future growth
Class C non-voting Associate chiropractor No Discretionary Equity without control
Class D preferred Founding chiropractor No Fixed rate Freezes value before a buy-in
Family non-voting Not permitted No None Every share must be owned by a chiropractor

Tax on split income still applies. Section 120.4 of the Income Tax Act still applies even though family shares are closed off. Where two chiropractor spouses hold shares, a dividend to the less active spouse is tested under the tax on split income.

A chiropractic practice corporation cannot use the excluded shares exception, because that definition is closed to a professional corporation. That leaves the excluded business test, met at an average of 20 hours a week, and a CPA records those hours before the dividend is declared.

HST for Chiropractors

Chiropractic services rendered to an individual by a practitioner are exempt under section 7 of Part II of Schedule V to the Excise Tax Act, so most clinics never register. The Canada Revenue Agency will not usually register a person making only exempt supplies, and its $30,000 threshold, measured over four consecutive calendar quarters, counts taxable supplies only.

🩺

Treatment is exempt

Chiropractic services rendered to an individual by a practitioner are exempt supplies. No HST is charged and no input tax credits are claimed on them.

🛒

Two streams are taxable

Supplements and retail goods are taxable, and reports for an insurer or a lawyer are usually not a qualifying health care supply under section 1.2 of that Part.

🦶

Orthotics need their own line

A device made to order for an individual is zero-rated under section 23 of Part II of Schedule VI, but a stock brace is zero-rated only on the written order of a specified professional, and a chiropractor is not within that definition.

Register voluntarily only where that revenue is real, because credits must be apportioned against exempt billings. The quick method is open below $400,000 on Form GST74, and chiropractors are not on the CRA excluded list, but it rarely pays.

Common CRA Issues for Chiropractic Clinics

1

Retail and report income never registered

Triggered when supplement, brace and insurer report revenue crosses $30,000 over four quarters and the clinic treats it as exempt.

2

Credits claimed against exempt billings

Triggered by claiming input tax credits on the whole clinic overhead instead of the taxable share.

3

Associate treated as an employee

Triggered by a CPP and EI ruling after an associate leaves, where the clinic set the hours and fees and supplied the equipment.

4

Personal services business

Triggered by an incorporated associate at one clinic with no staff and no equipment, which loses the small business deduction.

5

Shareholder benefits under subsection 15(1)

Triggered by the clinic vehicle, travel attached to a seminar, or family costs run through the corporate account.

6

One business limit across associated corporations

Triggered by a second corporation under common control, since the $500,000 limit is allocated on Schedule 23.

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

The share register is the constraint that shapes everything else here. Every share of an Ontario chiropractic professional corporation must be owned by a member of the College of Chiropractors of Ontario, so the spouse dividend plan that works for a consultant is simply not available.

We say that at the first meeting rather than after the articles are drafted.
Step 1

Family planning goes elsewhere

That pushes family planning into a second, non-professional company, and section 120.4 of the Income Tax Act then governs it. A supplement and orthotics company owned partly by a spouse is taxed on split income unless the excluded business or excluded shares test is met, so we run both before a share is issued.

Step 2

The business limit is shared

Two corporations means the $500,000 small business deduction is shared under the association rules, which is a cost, not a bonus. We price that before recommending the structure.

Step 3

Classes drafted for the buy-in

Class A voting for you, Class C non-voting for an associate chiropractor, and Class D preferred so accrued value can be frozen before a second practitioner joins.

Step 4

HST mapped by revenue stream

Treatment is exempt, but supplements, braces, orthotics and insurer reports are taxable supplies. Registration follows once those pass $30,000 in four consecutive quarters, credits are apportioned against exempt billings, and the quick method is open below $400,000.

Step 5

Year end, pay mix and transfer

We finish with the year end against the clinic cash cycle, the salary and dividend mix, and a section 85 election where an existing practice is moving in.

Step 6

Articles filed as the College expects

We prepare your articles, the Article 5 restriction and the name in the form the College of Chiropractors of Ontario expects, and file them in the Ontario Business Registry.

Chiropractic Professional Corporation FAQs

Can a chiropractor incorporate in Ontario?

Yes, a chiropractor registered with the College of Chiropractors of Ontario may incorporate a health profession corporation under section 3.2 of the Business Corporations Act (Ontario). You cannot practise through it until the College issues a certificate of authorization under sections 85.8 to 85.14 of the Health Professions Procedural Code, Schedule 2 to the Regulated Health Professions Act, 1991. The College charges $52.00 to apply for the certificate and $625.00 when it is issued.

Can my spouse own shares in my chiropractic professional corporation?

No, every issued and outstanding share must be owned by a member of the same profession, so a spouse who is not a registered chiropractor cannot hold shares of any class. The family share route in the Ontario health profession corporation regulation is open to medicine and dentistry only (O. Reg. 665/05, Health Profession Corporations).

What does it cost to incorporate as a chiropractor in Ontario?

It costs $35.00 for our preparation and filing, HST included, plus the $300.00 Ontario government fee for articles filed online in the Ontario Business Registry. The College of Chiropractors of Ontario then charges $52.00 to apply for the certificate of authorization and $625.00 when it is issued, paid directly to the College.

Do chiropractors charge HST?

No, chiropractic services rendered to an individual by a practitioner are exempt under section 7 of Part II of Schedule V to the Excise Tax Act. Supplements, retail goods and insurer reports are taxable, and a clinic registers once those supplies pass $30,000 in four consecutive quarters.

Are custom orthotics zero-rated for HST?

Yes, a device made to order for an individual is zero-rated under section 23 of Part II of Schedule VI to the Excise Tax Act. The Canada Revenue Agency does not treat a chiropractor as a specified professional, so a stock brace sold on your order is generally taxable.

When is my certificate of authorization renewed?

The certificate is renewed with the College of Chiropractors of Ontario every year, and the 2026 renewal was due by 6 January 2026. The yearly renewal fee is $210.00 per corporation.

Should a chiropractor incorporate federally or in Ontario?

Incorporate in Ontario, because a health profession corporation is created under section 3.2 of the Business Corporations Act (Ontario) and the articles must carry the College’s restriction wording. The fee is $300.00.

When is my chiropractic professional corporation Ontario annual return due?

Your chiropractic professional corporation files its Ontario annual return under the Corporations Information Act within six months of the fiscal year end, and it carries no fee, so it sits alongside the separate annual certificate of authorization renewal with the College of Chiropractors of Ontario. Since 15 May 2021 the Canada Revenue Agency no longer accepts it with the T2, so it is filed in the Ontario Business Registry.
