✅ REGISTERED CPA FIRM – VERIFY NOW

A Mississauga address does not change the registry fee. The Ontario Business Registry charges $300.00 for articles of incorporation filed under the OBCA, and Corporations Canada charges $200.00 for a standard online CBCA filing. Our fee is $35.00 with HST included, and Open Corporation for $35 is a department of Gondaliya CPA.

What a Mississauga address does change is the jurisdiction question, because a freight business working out of Malton trades differently from a clinic serving Erin Mills. A Chartered Professional Accountant settles that, the share classes and the fiscal year end before the articles are drafted.

Affordable Incorporation in Mississauga for $35

Open Corporation for $35 incorporates businesses across Mississauga, from Port Credit and Cooksville out to Streetsville and Meadowvale. We are a department of Gondaliya CPA Professional Corporation, which holds CPA Ontario firm registration number 61330051. Every set of articles is read by a Chartered Professional Accountant before the registry sees it.

Our clients here are owner-managed corporations, licensed professionals and first-time founders. The work starts with the jurisdiction and the share classes, then the first directors and the registered office. It carries on through the Initial Return and the registers the corporation has to keep.

The choice comes down to Ontario or federal, and the director residency rule usually settles it before the fee comparison does.

Full-Service Incorporation Support for Mississauga Businesses

The same seven services, set out in full, so you can see what each filing is for before you order anything.

1

NUANS Name Search Report in Mississauga

  • Ontario requires an Ontario-biased report, and the Ontario Business Registry rejects a Canada-biased one outright.
  • A corporate name needs three parts, a distinctive element, a descriptive element and a legal ending such as Inc., Ltd. or Corp.
  • The registry applies a deceptively similar test, so a name differing by one word can still be refused.
  • Reserved and prohibited words, including anything suggesting a government connection, are screened before the search is ordered.
  • The report runs for 90 days, and that is the window the articles have to be filed in.
2

Incorporation Service for Mississauga Businesses

  • The articles set the share classes, the number of directors and any restriction on transferring shares.
  • Each first director has to consent to act, and that consent is kept in the minute book rather than filed.
  • By-laws, the first directors’ resolutions and the share subscriptions are prepared alongside the articles.
  • The Ontario Business Registry issues a company key, which is what allows later filings against the corporation.
  • Articles filed online are processed immediately, while the ministry publishes 15 business days for a filing sent by mail.
3

Registered Office Address Service in Mississauga

  • The registered office has to be a physical Ontario address, and ministry notice ON00224E confirms a post office box alone is not accepted.
  • The address is published on the public register and remains searchable after it is changed.
  • A move is filed as a notice of change, not as an amendment to the articles.
  • Mail from the registry and from Canada Revenue Agency is received at the Cooksville office and forwarded to you.
  • The service is priced on our pricing page and quoted with HST included.
4

Payroll Service in Mississauga

  • An RP account is opened under the corporation’s business number before the first pay run.
  • A new employer is normally a regular remitter, with source deductions due by the 15th of the following month.
  • T4 slips and the T4 summary are due by the last day of February for the previous calendar year.
  • The salary and dividend mix is tested first, because only salary creates RRSP room and CPP contributions.
  • WSIB coverage and Ontario Employer Health Tax are checked separately, since neither follows from incorporating.
5

One Window Service for Corporation in Mississauga

  • The incorporation, the business number and the HST registration all run through one point of contact.
  • An RT account for HST, an RP account for payroll and an RC account for corporate tax are opened as they are needed.
  • HST registration becomes mandatory once taxable supplies pass $30,000 over four consecutive calendar quarters.
  • The first fiscal year end is chosen within 53 weeks of incorporation, and changing it later needs Canada Revenue Agency approval.
  • The minute book, the share registers and the register of individuals with significant control are opened at the start.
6

Corporate Annual Filing in Mississauga

  • The Ontario Annual Return is due within six months of the fiscal year end, at a government fee of $0.00.
  • The federal annual return is due within 60 days of the anniversary date, at a government fee of $12.00.
  • Ontario moved the annual return off the T2 return on 15 May 2021, and corporations filing it that way often stopped without noticing.
  • A corporation that stops filing can be dissolved by the registry, and a revival costs more than the returns it replaced.
  • The register of individuals with significant control has been required in Ontario since 1 January 2023, with penalties reaching $200,000.
7

Corporate Tax Filing in Mississauga

  • The T2 return is due six months after the fiscal year end, with GIFI financial statements attached.
  • The balance is due two months after the year end, or three months where the small business deduction applies.
  • Active business income within the $500,000 business limit is taxed at 12.2 percent combined in Ontario.
  • A shareholder loan left unpaid can be added to income under subsection 15(2) of the Income Tax Act.
  • Fees start at $300.00 with HST included, and the figure is confirmed in writing before any work begins.

What We Handle on a Mississauga Incorporation

Ten decisions sit behind the certificate. These are the ones that set what the corporation costs to run afterwards.

1

Ontario or federal

  • A federal filing protects the name in every province.
  • An Ontario filing suits a business trading only in Ontario.
  • Director residency decides it where no director is a resident Canadian.
  • A federal corporation still files an Ontario Initial Return.
2

Named or numbered

  • A numbered corporation takes the number the registry assigns.
  • A named corporation needs the NUANS report first.
  • A business name can be registered over a numbered corporation.
  • Three choices are screened before a search is paid for.
3

The NUANS report

  • Ontario accepts only an Ontario-biased report.
  • It lists corporate names, business names and trademarks.
  • Listing a trademark is not the same as clearing it.
  • Valid for 90 days from the search date.
4

Share classes

  • How many classes the articles should authorise.
  • Voting separated from economic value where that matters.
  • A preferred class for a freeze before a buy-in.
  • Transfer restrictions written into the articles.
5

Who holds the shares

  • Whether a spouse or adult child should hold directly.
  • The excluded business test under section 120.4 of the Income Tax Act.
  • A family trust where the children are minors.
  • The lifetime capital gains exemption on a later sale.
6

Directors

  • At least one director for an Ontario corporation.
  • Ontario removed its residency requirement on 5 July 2021.
  • Section 105(3) of the CBCA requires 25 percent resident Canadians.
  • Each director consents before the appointment holds.
7

The registered office

  • A physical Ontario address, not a post office box.
  • It appears on the public register.
  • A home address stays searchable once it is used.
  • Our Cooksville office can serve as the address.
8

The Initial Return

  • Filed within 60 days of incorporation in Ontario.
  • Required by the Corporations Information Act.
  • The government fee is $0.00.
  • Director and officer details are reported, not share details.
9

Minute book and registers

  • The OBCA requires the corporate records to be kept.
  • Share registers, director registers and resolutions sit in it.
  • The register of individuals with significant control is separate.
  • A buyer’s lawyer asks for it before a sale closes.
10

Business number, HST and the year end

  • The business number follows the certificate.
  • HST registration at $30,000 of taxable supplies.
  • The year end chosen within 53 weeks of incorporation.
  • No instalments where tax owing stays under $3,000.

Case Studies

Three Mississauga files, each showing what the owner arrived with and what changed before the filing went in.

Jurisdiction Settled for a Mississauga Freight Broker

Problem

The owner moved loads into the United States and across three provinces, but had been told to file in Ontario only, leaving the corporate name unprotected outside the province.

Solution

Director residency checked against section 105(3) of the Canada Business Corporations Act, then a named federal corporation filed with the Ontario Initial Return submitted at the same time.

Results

  • Named federal corporation filed at $260.00 in total
  • Corporate name protected across Canada
  • Ontario Initial Return filed at a fee of $0.00

Share Classes Fixed Before Filing for a Mississauga Dental Practice

Problem

A professional corporation was about to be filed with one class of common shares, which left no route for the non-voting shares family members are permitted to hold.

Solution

Articles drafted with voting shares held by the dentist and a non-voting class available to family members, within the limits the governing college sets for a dentistry professional corporation.

Results

  • Named Ontario professional corporation filed at $360.00
  • Non-voting class in place from the first day
  • No articles of amendment and no second registry fee

Registered Office Moved Off a Home Address in Erin Mills

Problem

The owner had used a home address on the articles, so it sat on the public register and could be found by anyone searching the corporation.

Solution

A notice of change filed to move the registered office to our Cooksville address, with the corporate records moved to match the new address.

Results

  • Registered office changed at a government fee of $0.00
  • Home address no longer the current record
  • Registry and CRA mail now received at the office
Before Anything Is Filed

How a Mississauga Filing Is Prepared

Start Your Intake Form

The registry endorses what it is handed. It does not test whether the classes work, so the order of the questions below is what keeps a corporation out of an amendment in its second year.

Each step happens before the draft articles are sent to you for approval.
Step 1

Residency checked before the fee is compared

Federal articles cost $100.00 less than Ontario articles, but section 105(3) of the Canada Business Corporations Act requires a quarter of the board to be resident Canadians. A board without one leaves Ontario as the only route.

Step 2

Share classes set before the draft

Voting common for the founder, non-voting common for whoever joins later, and a preferred class so value can be frozen. Adding a class at incorporation costs nothing, while adding one afterwards is an amendment.

Step 3

Who holds the shares, decided first

A spouse holding shares directly is tested against the excluded business test under section 120.4 of the Income Tax Act. Where the children are minors, a family trust is usually the route rather than direct holdings.

Step 4

Registered office chosen

Ontario requires a physical address in the province and ministry notice ON00224E rules out a post office box on its own. Owners working from home in Meadowvale or Streetsville often use our Cooksville address instead.

Step 5

Year end set against the trading cycle

The first year end can be any date within 53 weeks of incorporation, and moving it later needs Canada Revenue Agency approval. HST registration becomes mandatory at $30,000 of taxable supplies over four consecutive calendar quarters.

Step 6

Filed and the deadlines diarised

Articles filed online through the Ontario Business Registry are processed immediately. The Initial Return follows within 60 days, and the minute book, share registers and transparency register are opened on incorporation.

Mississauga Incorporation FAQs

How much does it cost to incorporate a business in Mississauga?

A numbered Ontario corporation filed from Mississauga costs $335.00 in total, being our $35.00 professional fee with HST included plus the $300.00 government fee charged by the Ontario Business Registry. A named corporation adds an Ontario-biased NUANS report at $25.00, HST included, bringing it to $360.00. A numbered federal corporation costs $235.00, because Corporations Canada charges $200.00 rather than $300.00. Our guide to what it costs to incorporate in Canada sets out every jurisdiction.

Do I need to visit your Mississauga office to incorporate?

No visit is needed. Both the Ontario Business Registry and Corporations Canada accept an electronic filing, so nothing has to be signed in person. The office at 2100 Camilla Rd, Suite 716 is open 9:00 AM to 8:30 PM, Monday to Sunday, for owners who would rather settle the share classes across a table. Most Mississauga files are completed by email within two business days of the intake form.

Should a Mississauga business incorporate in Ontario or federally?

Incorporate federally if the corporate name needs protecting outside Ontario, and in Ontario if the business trades only in the province. Corporations Canada charges $200.00 against the Ontario fee of $300.00, so federal is cheaper at the registry. Federally, a quarter of the directors must be resident Canadians under section 105(3) of the Canada Business Corporations Act. Ontario dropped its own residency rule on 5 July 2021, so a board with no Canadian resident is left with Ontario. A federal corporation trading here still files an Ontario Initial Return.

How long does a Mississauga incorporation take?

The Ontario Business Registry processes an online filing immediately, so the certificate is issued on the day the articles go in. A mailed filing takes 15 business days, which the ministry publishes as its service standard. Drafting the articles and having a CPA read them needs one to two business days first, so most Mississauga certificates land within three business days of the intake form. Our guide to how to incorporate in Canada walks through each step.

Can I use your Mississauga address as my registered office?

An address service is available from the Cooksville office and it is priced on our pricing page. Every Ontario corporation must hold a registered office at a physical Ontario address, and ministry notice ON00224E confirms that a post office box alone is not accepted. The registered office is published on the public register, which is why owners working from home in Erin Mills or Streetsville often use a commercial address instead.

Which parts of Peel Region do you serve?

Cooksville, Streetsville, Meadowvale, Erin Mills, Port Credit, Malton and the Square One area are all served from the Mississauga office, and Brampton and Etobicoke sit within reach of it. The registry filing is identical wherever the business sits, because the Ontario Business Registry charges the same $300.00 government fee across the province. Gondaliya CPA also has offices in Toronto, Brampton, Vaughan and Markham, and the parent firm sets out its wider Mississauga work on its own Mississauga accounting page.

What has to be filed after the certificate arrives?

Three things follow the certificate. The Initial Return goes to the Ontario Business Registry within 60 days under the Corporations Information Act, at no government charge. The corporation is then organized, which means issuing shares, appointing officers, adopting by-laws and opening the minute book. After that, the Ontario Annual Return falls due six months after each fiscal year end. A federal corporation pays $12.00 for its annual return within 60 days of the anniversary date. Ontario has required a register of individuals with significant control since 1 January 2023.

Can a non-resident incorporate an Ontario corporation?

Yes. Ontario removed its director residency requirement on 5 July 2021, so a board with no Canadian resident can incorporate under the OBCA. Federally it is different, because section 105(3) of the Canada Business Corporations Act requires at least 25 percent of directors to be resident Canadians. A non-resident still needs a registered office at a physical Ontario address, and a business number for HST and payroll. Opening the bank account is usually the harder step, not the filing.

What is the register of individuals with significant control?

It is a list of the people who own or control 25 percent or more of the corporation, by shares or by votes. Ontario has required it since 1 January 2023 and the penalties reach $200,000. It is kept with the corporate records rather than filed with the registry, and it has to be reviewed at least once each financial year. Name, address, date of birth, jurisdiction of tax residence and the date control began all go into it.

Can I add a shareholder after the corporation exists?

Yes, provided the articles already authorise a class that suits the new shareholder. Issuing shares out of an authorised class is a directors’ resolution and costs nothing at the registry. Creating a new class means articles of amendment, which carries its own government fee and takes time. That is why we authorise voting common, non-voting common and a preferred class at incorporation, since none of them costs anything on day one.
