Incorporating from Scarborough costs exactly what it costs from anywhere else in Ontario, because the Ontario Business Registry charges $300.00 regardless of postal code. Our fee is $35.00 with HST already inside it. What changes from one business to the next is the structure, and the structure is where money is won or lost.

Scarborough shifts the weight of the questions rather than the price. A dental or medical practice runs into professional corporation share rules. A grocery importer needs an import account before the first container lands. A consultant billing one client needs the personal services business test answered honestly.

Affordable Incorporation in Scarborough for $35

Open Corporation for $35 incorporates Scarborough businesses from Agincourt, Malvern, Woburn, Bendale, Dorset Park, Wexford, Guildwood, Birch Cliff, Highland Creek and the Scarborough Town Centre area. Scarborough sits inside the City of Toronto, so an Ontario filing covers it with nothing extra to register.

Clinics, food and grocery businesses, trades and software consultants make up most of what we file here. Each one changes a different line in the articles, which is why the structure is settled in a conversation rather than on a form.

Ontario or federal is the first question, and for a business trading only inside the GTA the Ontario route is usually the cheaper and simpler answer.

Full-Service Incorporation Support for Scarborough Businesses

The same seven services in full detail, so nothing about the filing is a surprise once you have ordered it.

1

NUANS Name Search Report in Scarborough

  • Ontario accepts only an Ontario-biased report, and turns away a Canada-biased one even though both come from the same search house.
  • Clinic and grocery names built on a surname plus a trade word collide most often, so three choices are screened before anything is ordered.
  • Corporate names, registered business names and trademarks already on file all appear in the results.
  • A granted name is not a protected name. Trademark rights come from the Trademarks Act and from use in trade, not from the registry.
  • Ninety days is the whole life of a report, and a filing made after that needs the search run again.
2

Incorporation Service in Scarborough

  • The articles settle the classes that may exist, the range of directors allowed and any restriction on transferring shares.
  • A range rather than a fixed number of directors is normal, so a second or third director can join without an amendment.
  • By-law number one, the opening directors' resolutions and the share subscriptions are prepared alongside the filing itself.
  • A company key is issued with the certificate in Ontario, and every later filing against the record needs it.
  • Filed online, the certificate is issued on submission. Articles sent by post are given 15 business days by the ministry.
3

Registered Office Address Service in Scarborough

  • A physical Ontario address is required, and ministry notice ON00224E rules out a post office box standing on its own.
  • The address on the articles becomes public, and it remains findable long after it has been changed.
  • Changing the office is a notice of change, and the registry charges nothing to record it.
  • Registry and Canada Revenue Agency post is taken in at the Scarborough office and sent on to you.
  • What the address service costs is on our pricing page, quoted with HST already inside it.
4

Payroll Service in Scarborough

  • The RP account is attached to the business number before the first employee is paid anything.
  • A regular remitter pays by the 15th of the month after the pay period it relates to.
  • T4 slips and the summary are due by the last day of February for the year just finished.
  • Salary creates RRSP room and CPP credits and a dividend creates neither, so the mix is decided deliberately.
  • Construction work makes WSIB coverage compulsory, whether or not anybody is on payroll yet.
5

One Window Service for Corporation in Scarborough

  • A single person carries the articles, the business number and every account that follows from them.
  • RC for corporate tax, RT for HST and RP for payroll are opened in the order the business actually needs them.
  • HST registration becomes compulsory once taxable supplies pass $30,000 across four consecutive calendar quarters.
  • The first year end is chosen within 53 weeks of incorporation, and Canada Revenue Agency must agree to any later change.
  • The minute book, the share registers and the transparency register are opened at the start rather than rebuilt years later.
6

Corporate Annual Filing in Scarborough

  • Ontario takes its Annual Return within six months of the year end and charges $0.00 for it.
  • Corporations Canada takes its annual return within 60 days of the anniversary date and charges $12.00 online.
  • An annual return is a corporate law filing to a registry. A T2 is a tax return to Canada Revenue Agency. They are not the same thing.
  • Enough missed returns and the registry can dissolve the corporation, which then has to be revived before it can trade.
  • A register of individuals with significant control has been required in Ontario since 1 January 2023, and it is kept rather than filed.
7

Corporate Tax Filing in Scarborough

  • The T2 is due six months after the year end, with GIFI financial statements attached to it.
  • Tax owing is payable two months after the year end, or three where the small business deduction applies.
  • Inside the $500,000 business limit, combined Ontario tax on active business income is 12.2 percent.
  • Equipment and fit-out are written down through capital cost allowance on Schedule 8 rather than expensed in one year.
  • Fees start at $300.00 with HST included, and the exact figure is confirmed in writing before any work begins.

What We Handle on a Scarborough Incorporation

Ten questions decide what the corporation costs to run. All ten are answered before the articles are drafted.

1

Ontario or federal

  • A federal name travels into every province.
  • Ontario is enough for a business trading only here.
  • No resident Canadian on the board rules out federal.
  • A federal corporation still files the Ontario Initial Return.
2

Crossing a provincial line

  • Trading in another province means registering there too.
  • Federal name rights apply across the country.
  • An Ontario name carries no weight beyond Ontario.
  • Wholesale and online sellers cross lines most often.
3

Named or numbered

  • A number means no search at all.
  • A name means the NUANS report comes first.
  • A trading name can sit over a numbered company.
  • A storefront or a clinic sign argues for a name.
4

Share classes

  • How many classes to authorise now rather than later.
  • Keeping votes apart from value where it helps.
  • A preferred class ready for a freeze.
  • A transfer restriction written in from day one.
5

Who holds the shares

  • Whether a spouse holds shares directly or not at all.
  • The excluded business test in section 120.4 of the Income Tax Act.
  • A trust where any child is still a minor.
  • The lifetime capital gains exemption on a future sale.
6

Directors

  • One director is enough in Ontario.
  • Ontario removed its residency rule on 5 July 2021.
  • A federal board must be a quarter resident Canadian.
  • Consent to act is signed before an appointment holds.
7

The registered office

  • A genuine Ontario address, not a box number.
  • Public on the register, and searchable after a change.
  • A leased unit or storefront can serve as the address.
  • Our Scarborough office is available instead.
8

The Initial Return

  • Due within 60 days of incorporating in Ontario.
  • Required by the Corporations Information Act.
  • The registry charges $0.00 to file it.
  • It reports directors and officers, never shareholdings.
9

Minute book and registers

  • The OBCA requires the records kept and produced on request.
  • Shares, directors, officers and resolutions all live in it.
  • The transparency register sits alongside it.
  • Any buyer or lender asks to see it.
10

Business number, HST and the year end

  • The business number follows the certificate.
  • HST registration starts at $30,000 of taxable supplies.
  • The first year end must fall inside 53 weeks.
  • No instalments while tax owing stays below $3,000.

Case Studies

Three Scarborough files, each showing the position the owner arrived in and what was changed before anything was filed.

Share Rules Fixed for a Scarborough Dental Practice

Problem

Two associate dentists were ready to file a named Ontario corporation using a trading name, with both of them and a spouse down as equal common shareholders.

Solution

The share provisions were rebuilt so the voting shares sit only with the licensed practitioners, and non-voting shares were authorised for family. The name was then screened against the college naming rules before any search was ordered.

Results

  • Named Ontario corporation filed at $360.00
  • Voting shares held only by the licensed practitioners
  • Name cleared against the college naming rules

Import and HST Accounts Opened for an Agincourt Grocer

Problem

A grocery importer in Agincourt had articles with a single class of common shares and no HST or import account, with the first container already on the water.

Solution

Three classes were authorised at incorporation, and the RT account was registered so the HST on the shipment was recoverable. The RM import account was opened before the goods cleared customs.

Results

  • RT and RM accounts opened before the container cleared
  • Three classes authorised at no extra registry cost
  • HST on the shipment recoverable as an input tax credit

A Single-Client Consultant Reviewed in Dorset Park

Problem

A software consultant in Dorset Park was invoicing a single client through a numbered corporation, with no written contract and no second class of shares.

Solution

The personal services business test was worked through against how the work is actually controlled, and the contract terms were documented. A second class was authorised so a spouse can join once the client base widens.

Results

  • Control and contract terms documented from the start
  • Second class ready for a future co-owner
  • Transparency register in place from incorporation
Before Anything Is Filed

How a Scarborough Filing Is Prepared

Start Your Intake Form

Nobody at the registry reads your articles to see whether they suit the business. They check the form is complete, endorse it, and leave every consequence with you.

Draft articles reach you only once all six are settled.
Step 1

Where the work actually goes

A business serving only the GTA can file in Ontario at $300.00. One that sells across provinces or wants its name protected nationally is usually better federally at $200.00, with $80.00 to register extra-provincially in Ontario.

Step 2

Residency on the board

Section 105(3) of the Canada Business Corporations Act puts a quarter of a federal board in resident Canadian hands, and at least one where there are fewer than four directors. Ontario sets no residency requirement at all.

Step 3

Classes authorised for later

Three classes at incorporation cost the same as one. Authorising voting common, non-voting common and a redeemable preferred class now avoids a $200.00 amendment the first time a family member or an investor is added.

Step 4

Shareholdings tested

A spouse or adult child holding shares is tested under the split income rules in section 120.4 of the Income Tax Act. Whether a dividend is taxed at their rate or the top rate turns on the facts, so it is settled before the shares are issued.

Step 5

Office, year end and HST

Ontario requires a physical address in the province, and ministry notice ON00224E confirms a post office box on its own is not accepted. The address is public and stays searchable after it changes.

Step 6

Filed, then diarised

An online filing through the Ontario Business Registry is processed on submission, so the certificate is issued the same day. The ministry publishes 15 business days for articles sent by post.

Scarborough Incorporation FAQs

How much does it cost to incorporate a business in Scarborough?

A numbered Ontario corporation is $335.00 all in, being $300.00 to the Ontario Business Registry and our $35.00 fee with HST inside it. Add a name and the Ontario-biased NUANS report takes it to $360.00. Filed federally and numbered it is $235.00, because Corporations Canada charges $200.00. Our guide to what it costs to incorporate in Canada breaks down every jurisdiction.

Do you have an office in Scarborough?

Yes. The Scarborough office is at 24 Clementine Square, Scarborough, Ontario M1G 2V7, in the Woburn area. No visit is needed either way, because the Ontario Business Registry and Corporations Canada both accept electronic filings and nothing has to be signed in person. The line is open 9:00 AM to 8:30 PM, Monday to Sunday, on 647-212-9559.

Should a Scarborough business incorporate federally?

Only where it sells outside Ontario or wants its name protected nationally. A federal corporation under the CBCA carries its name into every province, while an Ontario corporation has no name protection outside Ontario and registers extra-provincially wherever it carries on business. Corporations Canada charges $200.00 against Ontario's $300.00. The catch is section 105(3) of the Canada Business Corporations Act, which puts a quarter of the board in resident Canadian hands.

How long does a Scarborough incorporation take?

Filed online, the Ontario Business Registry issues the certificate the same day. Articles sent by post are given 15 business days. Drafting the articles and having a Chartered Professional Accountant read them takes one to two business days, so most certificates land within three business days of the intake form. Our guide to how to incorporate in Canada takes it step by step.

Can I use a commercial address as my registered office?

Yes, and most owners should. Ontario requires a physical address in the province, and ministry notice ON00224E confirms a post office box alone will not do. The address goes on the public register and stays searchable after it is changed, which is the reason a home address is worth avoiding. A leased unit or storefront works, and our Clementine Square address is available as an alternative.

Which parts of Scarborough do you cover?

Agincourt, Malvern, Woburn, Bendale, Dorset Park, Wexford, Guildwood, Birch Cliff, Highland Creek and the Scarborough Town Centre area are all covered, along with the rest of the City of Toronto. The filing itself does not vary by address, because the Ontario Business Registry charges the same $300.00 across the province. Toronto and Mississauga each have their own page, and every office is listed on our service areas page.

What is due after the certificate is issued?

An Initial Return is due to the Ontario Business Registry within 60 days under the Corporations Information Act, at no charge. The corporation is then organized: shares issued, officers appointed, by-laws adopted and the minute book opened. Ontario then wants an Annual Return six months after each year end. A federal corporation pays $12.00 for its annual return within 60 days of the anniversary date.

Can I change the corporate name later?

Yes, through articles of amendment. A named corporation needs a fresh Ontario-biased NUANS report before the change goes in, and the registry fee for the amendment applies on top. The former name stays on the public record and remains searchable. Screening three name choices at the outset is cheaper than amending later.

Do I need to register for HST straight away?

Not always. Registration is mandatory once taxable supplies pass $30,000 over four consecutive calendar quarters, and voluntary below that. Registering early lets the corporation recover HST on start-up costs, equipment and fit-out. A business invoicing other registered businesses usually registers immediately, because its customers recover the HST it charges.

Do I need a minute book, and what goes in it?

Yes. The OBCA requires every Ontario corporation to keep corporate records, and the minute book is where they sit. It holds the articles, the by-laws and the directors and shareholders resolutions, along with the share register, the director and officer registers and the share certificates. The register of individuals with significant control is kept alongside. Our minute book guide sets out what has to be kept and for how long.
