Corporate Compliance Subscription for Federal and Ontario Corporations

One annual plan for the filings a corporation must make every year: the annual return, notice of change filings, minute book maintenance and a written compliance calendar. A CPA confirms every deadline from the registry record before you pay anything. Open Corporation for $35 is a department of Gondaliya CPA.

What a Corporate Compliance Subscription Covers

Every corporation has four recurring obligations to stay on the register in good standing: the annual return, notice of change filings when directors, officers or the registered office change, an up-to-date minute book, and the dates that tie them together. The plan handles all four for a federal corporation, an Ontario corporation, or one of each. Open Corporation for $35 is a department of Gondaliya CPA.

Good standing is what a bank, a lender or a buyer checks first. The plan suits any corporation that would rather not track filing dates itself. A corporation that is about to be wound up does not need it.

What the Annual Plan Includes

  • The federal annual return filed online with Corporations Canada each plan year, with the anniversary date taken from the registry record.
  • The Ontario annual return filed in the Ontario Business Registry each plan year, with the deadline worked out from your fiscal year end.
  • Individuals with significant control information filed with the federal annual return, after a review of the register itself.
  • Notice of change filings for changes of director, officer and registered office address you report during the year, up to the number set in your engagement letter.
  • A written compliance calendar for the year: annual return date, fiscal year end, T2 filing date and the 15-day change rule.
  • Two written reminders before each filing deadline.
  • Annual resolutions of the directors and shareholders, approval of the financial statements, appointments, and dividend resolutions where a dividend is declared.
  • Updated registers of directors, officers, securities and individuals with significant control.
  • A yearly check of the public record against what you confirm is true today, with a notice of change filed where they differ.
  • The Ontario register of ownership interests in land kept current where the corporation owns Ontario property.
  • A written confirmation of every filing, and one review call with a CPA each plan year.

The annual return, federal and Ontario

Federal: 60 days after the anniversary

Section 263 of the Canada Business Corporations Act requires an annual return. It is filed within 60 days after the anniversary of incorporation, amalgamation or continuance, at $12.00 online.

Ontario: six months after year end

An Ontario corporation files its annual return under the Corporations Information Act in the Ontario Business Registry within six months of its fiscal year end, at $0.00. The CRA stopped accepting it with the T2 on 15 May 2021.

It is not your T2

The annual return is a corporate registry filing. The T2 is a separate income tax return to the CRA. See our corporate annual return guide and the annual filing service.

Notice of change filings during the year

Within 15 days

A change of director, officer or registered office address is reported within 15 days, federally under the Canada Business Corporations Act and in Ontario under the Corporations Information Act. Online, the government fee is $0.00 in both.

What goes wrong when it goes stale

Registry notices go to an old address, a departed director still appears on the record, and a bank or buyer finds a mismatch. See our corporate changes service.

Minute book maintenance

The records the statute requires

Section 20 of the Canada Business Corporations Act requires the articles, by-laws, shareholder minutes and resolutions, director notices and a securities register to be kept, and accounting records for six years after the end of the financial year. See what belongs in a minute book.

Annual resolutions

Section 133 requires an annual meeting within 18 months of incorporation, then within 15 months of the last one and no later than six months after the financial year end. Section 155 requires financial statements to be placed before the shareholders. Most private corporations do this by written resolution, which we prepare.

Significant control registers

Section 21.1 requires the federal register of individuals with significant control, filed with Corporations Canada with the annual return and within 15 days of a change. Ontario private corporations have kept their own register since 1 January 2023; it is not public but must be produced on request.

Ontario land register

Since 10 December 2016 an Ontario corporation keeps a register of its ownership interests in Ontario land.

The plan year

Onboarding

We review the registry record, the minute book and the fiscal year end, then issue the written calendar.

The filing months

The federal and Ontario returns usually fall on different dates, because one runs from the anniversary and the other from the year end.

The year-end review

Before renewal we confirm what was filed and whether anything in the structure has changed.

Case Studies: Corporate Compliance

Toronto Consultant – Two Dates Confused

The problem: An owner assumed the federal annual return was due at year end and missed the 60-day window two years running.

What we did: We filed the outstanding returns, put both dates on a written calendar and set reminders ahead of each.

The result:

  • Corporation back in good standing
  • Both deadlines on one calendar
  • No further default notices

Mississauga Holding Structure – Two Corporations

The problem: An operating company and a holding company had registers that no longer matched who owned the shares.

What we did: We reconciled the securities registers to the share certificates, updated the significant control registers and put both corporations on one plan.

The result:

  • Registers reconciled
  • ISC information filed
  • One calendar for both

Vaughan Property Owner – Land Register Missing

The problem: An Ontario corporation that owned two rental units had never kept the register of Ontario land interests.

What we did: We prepared the register from the property details the owner gave us and added it to the annual review.

The result:

  • Land register in place
  • Minute book complete
  • Ready for lender review

More Than a Filing Service

What a CPA Checks That a Filing Service Does Not

Start Your Intake Form

A compliance plan keeps a corporation alive. The decisions that make it easy or expensive to keep alive are checked every year.

Check 1

Two different dates

The federal return runs from the anniversary, the Ontario return and the T2 from the year end. Owners who think they are the same are the ones we revive.

Check 2

The share register

We compare the securities register with who actually owns the shares before the annual resolutions are signed.

Check 3

Family shareholdings

Dividends to family members are tested under section 120.4 before they go in the minute book.

Check 4

Associated corporations

A holding company or a second corporation can share the $500,000 small business deduction and doubles the filings.

Check 5

HST and payroll

HST registration at $30,000 and its return frequency, and a payroll account if salary is paid, go on the calendar.

Check 6

Section 85 records

Where a proprietorship was rolled in, the election and its schedule stay in the records permanently.

One Missed Return Starts the Clock

A federal corporation one year in default can be dissolved, and revival costs $250.00 plus the outstanding returns.

Corporate Compliance FAQs

What does a corporate compliance subscription cover?

The four things a corporation must do each year to stay in good standing: the annual return, notice of change filings, minute book maintenance and a written compliance calendar. The federal annual return is required by section 263 of the Canada Business Corporations Act, and the Ontario one by the Corporations Information Act. The T2 income tax return is a separate CRA engagement.

How much is the compliance subscription?

Our annual fee is quoted on request before the plan starts. Government fees are separate, at cost: the federal annual return is $12.00 online and the Ontario annual return is $0.00. Our $35.00 price is for incorporation, not for the subscription.

Is the subscription billed annually?

Yes, for a plan year of 12 months that starts when the first compliance calendar is issued. Government fees are billed as they arise, at cost, on their own lines.

When is my federal annual return filed?

Within the 60 days after the anniversary of incorporation, amalgamation or continuance, at $12.00 online. Corporations Canada takes the anniversary from its own record, and publishes a processing time of one day online.

When is my Ontario annual return filed?

Within six months of the corporation’s fiscal year end, in the Ontario Business Registry, at $0.00. The CRA stopped accepting it with the T2 on 15 May 2021, so it must be filed directly in the registry. It usually falls on a different date from the federal return.

How quickly must I report a change of director or address?

Within 15 days, both federally and in Ontario. The government fee is $0.00 online in both. The plan covers the changes you report to us, up to the number set in your engagement letter.

What happens if the annual return is not filed?

Under section 212 of the Canada Business Corporations Act, Corporations Canada can dissolve a federal corporation that is one year in default, after giving 120 days’ notice. In Ontario, failing to file can lead to cancellation under section 241 of the Business Corporations Act. Filing on time costs $12.00 federally and $0.00 in Ontario.

Do I still need a minute book?

Yes. Section 20 of the Canada Business Corporations Act requires the articles, by-laws, shareholder minutes and resolutions, director notices and a securities register to be kept, and accounting records for six years. Ontario corporations keep the same core records, plus a register of Ontario land interests since 10 December 2016.

Is the significant control register filed?

Federally, yes: section 21.1 of the Canada Business Corporations Act requires the register, and its information is filed with Corporations Canada with the annual return and within 15 days of a change. Ontario private corporations have kept their own register since 1 January 2023; it is not public but must be produced on request.

Does the plan include the annual meeting of shareholders?

It includes the written resolutions and financial statement approval an annual meeting produces. Section 133 of the Canada Business Corporations Act requires the first meeting within 18 months of incorporation, then within 15 months of the last and no later than six months after the financial year end. We prepare the documents; we do not chair the meeting or give legal advice on it.

Can I join the plan if my corporation is already behind?

Yes, but catch-up filings are quoted separately, and the plan covers the year ahead. If a federal corporation has already been dissolved for default, revival costs $250.00 at Corporations Canada, with a published processing time of 10 business days, and the outstanding returns follow.

What if my corporation is not federal or Ontario?

Other provinces are quoted separately, because the filing and fee differ. For example, a Quebec corporation files an annual updating declaration with an annual fee of $106.00. Tell us the jurisdiction on the intake form and we confirm the filing, deadline and fee first.
