Incorporate a Business in Calgary for $35
Incorporate your Calgary business in Alberta for $35.00, HST included. Alberta articles are lodged through an authorized registry agent, so the $291.75 government fee and the agent’s own service fee are shown on separate lines at cost. There is no Gondaliya CPA office in Alberta: your file is handled remotely by our Toronto office, and a CPA checks your share structure before anything is filed. Open Corporation for $35 is a department of Gondaliya CPA.
Alberta Incorporation for Calgary Owners, Handled Remotely by a CPA
Open Corporation for $35 is a department of Gondaliya CPA. We prepare your Alberta incorporation for a professional fee of $35.00, HST included. Alberta does not accept articles of incorporation filed directly by the public: every filing goes through an authorized registry agent, which charges the $291.75 government fee plus its own service fee. We show both at cost, separately. There is no Gondaliya CPA office in Calgary or anywhere in Alberta, so the work is done remotely by phone, email and secure file transfer from our Toronto office. A CPA reviews your share structure and year end before anything is lodged. Call 647-212-9559.
One point to settle first: an Alberta corporation’s registered office must be a physical location in Alberta. You supply that address, usually your business premises or your home in Calgary, because we do not have one there to lend you.

Why Calgary Business Owners Incorporate
Calgary is a head-office town. Calgary Economic Development counted 102 head offices of Canada’s largest companies in the city in 2021, 72 of them in oil and gas or field services. Around them sits a deep bench of engineers, project managers, landmen and field contractors who are paid by those companies, and the companies prefer to pay a corporation.
The pattern is familiar. A contractor is offered a project through an operator or a services firm, opens the vendor package, and finds the master service agreement, the insurance certificate and the vendor registration all expect a legal entity with its own business number. The start date belongs to the operator.
Professional, scientific and technical services make up the largest share of Calgary’s small businesses: 11,454 of them, or 20.8 percent, in Calgary Economic Development’s count based on 2020 Statistics Canada data. Consultants in that group incorporate to separate contract risk from personal assets and to keep profit inside a company taxed at Alberta’s small business rate.
That rate is low. Alberta taxes a Canadian-controlled private corporation at 2 percent provincially on its first $500,000 of active business income, a rate in place since 1 January 2017, and Alberta has no provincial sales tax. Only the 5 percent GST applies to most sales.
Construction and trucking follow close behind. Calgary Economic Development counted 6,104 construction businesses and 2,468 in transportation and warehousing, and the city’s position as a logistics hub, with both CPKC and CN headquartered here and the airport handling about three quarters of Alberta’s air cargo, keeps the second group growing.
Alberta removed its director residency requirement for business corporations on 29 March 2021, so an Alberta corporation may have directors who live anywhere. That makes Alberta workable for a founder who has just moved to Calgary, or one who has not arrived yet.
Municipal Licence Requirements in Calgary
The City of Calgary licenses named business types under Business Licence Bylaw 32M98. Not every business needs a licence, but every business operating from a location in Calgary needs location approval.
| Business type | Municipal licence required | Issuing body | Note |
|---|---|---|---|
| Contractor | Yes | City of Calgary | Contractor licence under Bylaw 32M98 |
| Automotive or repair business | Yes | City of Calgary | Separate automotive and repair licence types |
| Restaurant or brewery | Yes | City of Calgary | Fire and planning approvals form part of the review |
| Food service premises | Yes | City of Calgary | Distinct from the restaurant or brewery type |
| Mobile food vendor | Yes | City of Calgary | Separate from a fixed premises licence |
| Liquor service | Yes | City of Calgary | Municipal licence alongside the provincial liquor licence |
| Entertainment or event business | Yes | City of Calgary | Licensed under Bylaw 32M98 |
| Massage | Yes | City of Calgary | Licensed under Bylaw 32M98 |
| Pawnbroker | Yes | City of Calgary | Licensed under Bylaw 32M98 |
| Accountant, lawyer, doctor or other provincially regulated profession | No | Not applicable | Regulated by a provincial or federal body rather than the City |
| Home-based business | Location approval required | City of Calgary | Home Occupation Class 1 has no fee and allows at most three business visits a week and no non-resident employees. Class 2 allows one non-resident employee |
A Calgary business licence and an Alberta corporation are separate things, and one never replaces the other. The corporation is created under the Business Corporations Act (Alberta) and lodged through a registry agent. The City licence is permission to carry on a licensed activity at a location, issued under Business Licence Bylaw 32M98.
Location approval sits beside the licence. The City says every business operating from a location in Calgary must obtain location approval even where no licence is required, and Land Use Bylaw 1P2007 governs what may run where. Moving into a new space can need a development permit for a change of use, and a permitted change of use with no relaxations typically takes about five business days.
Applications are made online through the City’s apply.calgary.ca portal using a myID business account. We prepare the corporate documents the application needs. The licence application itself is yours to submit, because it depends on your premises.
There Is No Gondaliya CPA Office in Calgary
Open Corporation for $35 is a department of Gondaliya CPA.
Gondaliya CPA has no office in Calgary or anywhere in Alberta. Calgary files are handled remotely by our Toronto office at 55 Queen St E, Suite 1205, Toronto, Ontario, by phone, email and secure file transfer. Phone 647-212-9559, 9:00 AM to 8:30 PM, Monday to Sunday, Toronto time.
Because we have no Alberta premises, we cannot provide an Alberta registered office address. You supply a physical Alberta address for the registered office, and the registry agent lodges the filing in Alberta.

Case Studies: Calgary Incorporations
Calgary Engineer – Vendor Package Deadline
The problem: A Calgary process engineer was offered a contract through an energy services firm that would only pay an incorporated vendor.
What we did: We prepared the Alberta articles remotely, the client supplied a Calgary address for the registered office, and a registry agent lodged the filing.
The result:
- Alberta corporation in place
- Business number and GST account opened
- No visit to an office needed
Calgary Trucking Operator – Alberta or Federal
The problem: A Calgary owner-operator hauling into British Columbia asked whether a federal corporation would avoid registering in two provinces.
What we did: We explained that a federal corporation still registers in each province where it carries on business, and incorporated in Alberta, where the trucks and customers are.
The result:
- Alberta corporation filed
- Year end set away from peak season
- GST registration timed to first invoice
Newcomer Founder – Directors Abroad
The problem: A founder moving to Calgary wanted a co-director who still lived overseas.
What we did: Alberta has had no director residency rule since 29 March 2021, so both directors were named on the articles and the share classes were set for two owners.
The result:
- Two-director board
- Two share classes
- Alberta NUANS report ordered for the name
What It Costs to Incorporate in Calgary
Our fee is the same everywhere. Alberta government fees are collected by the registry agent, which also charges a service fee of its own, and each one is shown on a separate line at cost. See the full fee table or every 2026 government registry fee.
| Item | Amount | HST | Total | Who charges it |
|---|---|---|---|---|
| Incorporation prepared | $35.00 | Included | $35.00 | Open Corporation for $35, a department of Gondaliya CPA |
| Alberta Articles of Incorporation, government fee | $291.75 | None | $291.75 | Government of Alberta, collected by the registry agent |
| Registry agent service fee | Set by the agent and shown at cost | As charged | As charged | Authorized Alberta registry agent |
| Alberta annual return, government fee | $53.05 | None | $53.05 | Government of Alberta, plus the agent’s service fee |
A named Alberta corporation also needs an Alberta NUANS report, which reserves the name for 90 days and must be less than 91 days old when the articles are submitted. A numbered company needs none. Open Corporation for $35 is a department of Gondaliya CPA.
The same checks run on every file. In Calgary the answers usually turn on contractor agreements, Alberta’s low small business rate and whether the business will also work outside Alberta.
Alberta or federal
A federal corporation still registers extra-provincially in each province where it carries on business, so for most Calgary businesses Alberta is the simpler choice.
Registered office
It must be a physical Alberta address, and it is public. We confirm the address you will use before drafting.
Share structure
One class suits a solo contractor. Two owners, or an investor later, need classes set at the start.
Who holds the shares
Dividends to a spouse are tested against the tax on split income rules before any share is issued.
Year end and GST
Alberta has no provincial sales tax, so registration is for the 5 percent GST at the $30,000 threshold, or earlier to recover GST on start-up costs.
Employees
Employers in mandatory industries must open a WCB-Alberta account within 15 days of hiring their first worker.
A Calgary example. A Calgary project manager who had been paid on T4 slips for years was offered a contract through an engineering firm as an independent contractor with a single client. Before incorporating, we walked through the personal services business test, because a one-client corporation that looks like an employee loses the 2 percent small business rate. The client added a second client first, then incorporated.
