Incorporate in Quebec for $35, Prepared and Filed by a CPA Firm

Start your Quebec incorporation for $35.00, HST included. The Registraire des entreprises du Québec charges $397.00 for the certificate of constitution, and we pass that through at cost as a separate line. A CPA checks your name against the Charter of the French language and reviews your share structure before anything is filed.

AFFORDABLE Service to Incorporate a Business in Quebec

A Quebec corporation costs $432.00 in total at regular treatment: our $35.00 fee with HST included, plus the $397.00 the Registraire des entreprises du Québec charges for the certificate of constitution. The fee is the same whether your corporation is numbered or named. Open Corporation for $35 is a department of Gondaliya CPA.

Quebec is the one incorporation where the name comes before the tax planning. The name must meet the Charter of the French language, the ultimate beneficiaries are declared on a public register, and the initial declaration is due within 60 days. A CPA firm settles all three before you pay the filing fee. Register your Quebec corporation online today for $35, HST included.

Quebec Incorporation Services

  • A Chartered Professional Accountant reviews your share structure, your directors, your head office address and your proposed name before anything is filed with the Registraire des entreprises du Québec.
  • Preparation of the articles of constitution under the Business Corporations Act (Quebec), CQLR c. S-31.1, with the share classes, share transfer restrictions and any restriction on the corporation’s activities set out in the articles.
  • Setting up either a numbered Quebec corporation with a designating number or a named one, and telling you plainly which of the two suits you and why.
  • Checking your proposed name against the Charter of the French language, CQLR c. C-11, so you do not pay a filing fee on a name the Registraire will reject.
  • Advising whether the optional $27.00 name reservation is worth taking in your circumstances.
  • A written comparison of regular treatment at $397.00 against priority treatment, in French traitement prioritaire, at $595.50, so you decide on the $198.50 difference with the figures in front of you.
  • Filing the articles of constitution on your behalf, and delivery of your certificate of constitution and your Quebec enterprise number, in French the numéro d’entreprise du Québec or NEQ, by email.
  • Preparation and filing of the initial declaration, in French the déclaration initiale, due within 60 days of constitution and free at regular treatment.
  • A written itemization separating our $35.00 fee from the Registraire des entreprises du Québec fee.

Incorporating a Business in Quebec the Right Way

Quebec is the only incorporation where the name comes before the tax planning. The Charter of the French language applies to the name you trade under, and a rejected name stops the file. We settle the name, then the articles.

Ultimate beneficiaries are the second Quebec-specific step. We work out who crosses the 25 per cent threshold before the initial declaration is filed, because a wrong answer sits on the public register and has to be corrected there. Then the calendar, which is busier here than anywhere else: your fiscal year end drives both the federal T2 and the Quebec CO-17, and the annual updating declaration is usually filed with the CO-17.

Our Quebec Incorporation Services

Our professional fees include HST. Government fees are separate, itemised and charged exactly as the government charges them.

Everything a Quebec Incorporation Involves

Each step below is part of the filing we prepare, or a rule you live with once the corporation exists.

1

What It Costs to Incorporate in Quebec

Our fee is $35.00, HST included. The Registraire des entreprises charges $397.00 for the certificate of constitution.

  • $432.00 in total at regular treatment
  • The same fee for a numbered or a named corporation
  • What the $35.00 does not cover: every government fee
  • Every government fee is its own line, at cost
2

The Statute Your Corporation Is Formed Under

The Business Corporations Act, in French the Loi sur les sociétés par actions, CQLR c. S-31.1.

  • What a société par actions is
  • How it differs from an Ontario or federal corporation
  • The Act respecting the legal publicity of enterprises sets the fees
  • Registration on the Quebec enterprise register
3

The French-Language Name Requirement

A Quebec corporate name must comply with the Charter of the French language, CQLR c. C-11.

  • The distinctive element, the descriptive element and the legal ending
  • A French generic or descriptive term alongside any other-language word
  • Legal ending checked before you file
  • Bill 96 tightened signage and trademark display from 1 June 2025
4

A Numbered Quebec Corporation

The Registraire assigns a designating number in place of a name, in the format 9XXX-XXXX Québec inc.

  • You cannot choose your own number
  • No name check needed
  • Adopt a name later by certificate of amendment, $206.00
  • Often the fastest route to a bank account
5

Reserving a Name Before You File

An optional reservation holds a name before the articles are filed.

  • The $27.00 name reservation
  • When a reservation is worth it and when it is not
  • Why a name reservation is not a trademark
  • Not needed for a numbered corporation
6

Regular Treatment and Priority Treatment

Priority treatment, in French traitement prioritaire, adds 50 per cent to the government fee.

  • $397.00 regular against $595.50 priority
  • The extra $198.50 buys processing order, not a different certificate
  • Priority also applies to later declarations
  • We show you both before you choose
7

Directors, the Head Office and Your Addresses

A Quebec corporation needs at least one director and a head office in Quebec.

  • One director minimum, and natural persons only
  • Quebec imposes no director residency requirement
  • The head office, in French the siège, must be located in Quebec
  • We do not supply a Quebec address
8

The Annual Updating Declaration

The déclaration de mise à jour annuelle, filed every year with the Registraire.

  • $106.00, including the annual registration fee
  • Usually filed with your CO-17 corporation income tax return
  • Two missed declarations can lead to striking off
  • Free current updating declarations for mid-year changes
9

Records and Ultimate Beneficiaries

Since 31 March 2023, every Quebec enterprise declares its ultimate beneficiaries.

  • The minute book and the securities register
  • Ultimate beneficiaries, in French bénéficiaires ultimes, and the 25 per cent threshold
  • Declaring your three largest shareholders
  • Names are public; dates of birth are not

Case Studies: Quebec Incorporation

Montreal Studio – An English Name Refused

The problem: A Montreal design studio wanted to incorporate under a one-word English name and had not heard of the French-language rules.

What we did: We explained why an English word alone is refused, paired the name with a French descriptive term, confirmed the legal ending before filing, and filed the articles the day they were approved.

The result:

  • Named Quebec corporation filed at $432.00
  • Name accepted on the first filing
  • Initial declaration filed inside 60 days

Laval Contractor – Numbered First, Named Later

The problem: A Laval renovation contractor needed a bank account within the week but had not settled on a name.

What we did: We constituted a numbered Quebec corporation with a designating number, set up voting and non-voting classes for a spouse joining later, and noted that a name can be adopted later by certificate of amendment.

The result:

  • Numbered Quebec corporation filed at $432.00
  • Share classes ready for a second shareholder
  • NEQ sent with the certificate

Ottawa Consultant – Owners Outside Canada

The problem: An Ottawa consultant opening a Gatineau office had a co-owner living in France and was unsure who had to be declared as an ultimate beneficiary.

What we did: We confirmed that Quebec has no director residency requirement, identified both owners as ultimate beneficiaries above the 25 per cent threshold, and filed the initial declaration with the three largest shareholders listed.

The result:

  • Both owners appointed as directors
  • Ultimate beneficiaries declared correctly
  • GST and QST registration reviewed before invoicing

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

Quebec is the only incorporation where the name comes before the tax planning.

A rejected name stops the file, so the name is settled first.
Check 1

The French name

The name must meet the Charter of the French language and carry a proper legal ending. We settle it before the filing fee is paid.

Check 2

Ultimate beneficiaries

Who crosses the 25 per cent threshold is worked out before the initial declaration, because the answer sits on a public register.

Check 3

Share classes

Voting common, non-voting common and preferred are free to include now and cost a $206.00 amendment later.

Check 4

Family shareholdings

A dividend reaching a spouse, parent or adult child has to clear section 120.4 of the Income Tax Act, on hours worked and on 10 per cent of the votes and value.

Check 5

Three returns, one calendar

Your fiscal year end drives the T2 and the CO-17, and the annual updating declaration usually goes in with the CO-17.

Check 6

GST, QST and structure

Revenu Québec administers both GST and QST, with the $30,000 threshold triggering registration. Then salary against dividends, the shared $500,000 limit and whether a holding company is worth it yet.

Frequently Asked Quebec Incorporation Questions

What does your Quebec incorporation service cost in total?

Our Quebec incorporation service costs $432.00 in total: $397.00 to the Registraire des entreprises du Québec for the certificate of constitution and $35.00 to us, HST included. The $397.00 is the regular treatment fee and it is the same whether your corporation is numbered or named. A name reservation is an optional extra $27.00. We pass every government fee through at cost and show it as its own line on your invoice.

Do I have to have a French company name in Quebec?

Yes. A Quebec corporate name must comply with the Charter of the French language, which in practice means a distinctive element in another language has to be paired with a French generic or descriptive term. So an English word on its own is refused, while the same word with a French descriptive term in front of it can be accepted. We check your name before you pay the filing fee.

How long does the Registraire des entreprises du Québec take to constitute a corporation?

The Registraire sets its own processing time, and priority treatment moves your filing ahead in the queue for a higher fee. Our own preparation runs to two business days before filing, covering the CPA review, the name check and your approval of the articles. We file the same day you approve and forward your certificate and NEQ the day we receive them.

What is priority treatment and what does it cost?

Priority treatment, in French traitement prioritaire, adds 50 per cent to the regular government fee, taking the certificate of constitution from $397.00 to $595.50. That is $198.50 more, charged by the Registraire des entreprises du Québec and not by us. A current updating declaration is free at regular treatment but $53.00 with priority, and the annual updating declaration rises from $106.00 to $159.00.

Does Quebec require a Canadian-resident director?

No. Quebec imposes no director residency requirement, so a corporation constituted under the Business Corporations Act (Quebec) can have a board made up entirely of non-residents. One director is the minimum, and directors must be natural persons, so another corporation cannot sit on the board. This is why non-resident founders often choose Quebec over the federal Act, which still has a 25 per cent resident Canadian rule.

What is a NEQ and how do I get one?

A NEQ is the ten-digit Quebec enterprise number, in French the numéro d’entreprise du Québec. The Registraire des entreprises du Québec assigns it automatically when your corporation is entered on the enterprise register, so you do not apply for it separately and there is no separate fee. It is the identifier Revenu Québec and most banks ask for. We send it to you with your certificate of constitution.

Can I choose the number for a numbered Quebec company?

No. The Registraire des entreprises du Québec assigns the designating number and you cannot select it. The format is 9XXX-XXXX Québec inc. If you later want a name, you adopt one by certificate of amendment, which costs $206.00. Taking a designating number at the start avoids the name check entirely.

What is the annual updating declaration and what does it cost?

The annual updating declaration, in French the déclaration de mise à jour annuelle, is the yearly filing every registered Quebec enterprise makes, and the fee is $106.00, which includes the annual registration fee. Most corporations file it with the CO-17 corporation income tax return, which is due within six months after the fiscal year end. Priority treatment raises the fee to $159.00.

What happens if I miss the annual updating declaration?

Missing two consecutive annual updating declarations allows the Registraire des entreprises du Québec to strike the corporation from the enterprise register. A request to revoke a striking off costs $134.00. A free current updating declaration is also required when your directors, officers, addresses or ultimate beneficiaries change.

Do I need a physical Quebec address for the head office?

Yes. The head office of a Quebec corporation, in French the siège, must be located in Quebec, and we do not supply a Quebec address. Your corporate records are kept at the head office, including the minute book and the securities register.

Who must be declared as an ultimate beneficiary?

Since 31 March 2023 every enterprise registered in Quebec must declare its ultimate beneficiaries, in French bénéficiaires ultimes: anyone holding 25 per cent or more of the voting rights or of the fair market value of the shares, directly or indirectly, plus anyone with control in fact. Names are public; dates of birth are not. A corporation must also declare its three largest shareholders.

Is the initial declaration free?

Yes. The initial declaration, in French the déclaration initiale, is due within 60 days of constitution and carries no government fee when filed on time at regular treatment. We prepare and file it for you as part of our $35.00 service.

10 Smart Quebec Incorporation Tips That Save You Money

Settle the French name first

A name that fails the Charter of the French language stops the file. Check it before you pay $397.00.

Take a number if you are in a hurry

A designating number skips the name check, and a name can be adopted later by certificate of amendment.

Skip priority unless the day matters

Priority treatment costs $198.50 more and buys processing order, not a better certificate.

Reserve a name only when you need to wait

The $27.00 reservation is worth it only if you cannot file the articles straight away.

Draft three share classes on day one

Voting common, non-voting common and preferred cost nothing extra now and save a $206.00 amendment later.

Diary the 60-day initial declaration

It is free when filed on time. We file it for you, well inside the window.

Get the ultimate beneficiaries right

Anyone at 25 per cent or more of the votes or value is declared, and the names are public.

File the annual declaration with your CO-17

Most corporations file the $106.00 declaration with their Quebec return, so one date governs both.

Never miss two annual declarations

Two consecutive misses let the Registraire strike the corporation off the register.

Register for GST and QST together

Revenu Québec administers both, and registering early recovers tax on start-up purchases.
