Corporate Changes: Directors, Officers, Registered Office and Name

Tell us what changed and we tell you which filing it needs and when it is due. Give us your corporation number and the change you want recorded, and a CPA checks the registry record before anything is drafted. Director, officer and address changes are due within 15 days and cost $0.00 in government fees when filed on time. Open Corporation for $35 is a department of Gondaliya CPA.

Two Kinds of Corporate Change

Some changes only update the public record: a new director, a new officer, a new registered office address. Others amend the articles themselves: a new corporate name, or moving a federal corporation’s registered office to another province. Open Corporation for $35 is a department of Gondaliya CPA.

The first kind is a notice, filed within 15 days. The second needs a special resolution of the shareholders and produces a certificate of amendment. Knowing which one you have decides the paperwork, the fee and the deadline.

What a Corporate Change Includes

  • A registry record check first, so we work from what the public record actually says.
  • A written determination of whether your change is a notice or an amendment, before anything is drafted.
  • The federal change of director information, filed with Corporations Canada within 15 days under section 113 of the Canada Business Corporations Act.
  • The federal change of registered office address, filed within 15 days under section 19(4).
  • The Ontario Notice of Change under the Corporations Information Act, filed within 15 days.
  • The shareholders’ special resolution needed to amend the articles: two-thirds of the votes cast, or signed by all voting shareholders.
  • The directors’ resolutions appointing or removing officers and changing the registered office within the province.
  • A consent to act for an incoming director and a written resignation for an outgoing one.
  • Updated registers of directors and officers, and the significant control register where ownership changes too.
  • Articles of amendment for a name change, with the Ontario NUANS report where the corporation is Ontario.
  • Written confirmation of each filing, with the certificate of amendment where one is issued, ready for your minute book.

Changing directors

Adding, removing, or a director who resigns

Shareholders elect directors. Directors can fill a casual vacancy between meetings where the articles or by-laws allow it. A resignation takes effect in writing.

The federal 15-day deadline

Section 113(1) of the Canada Business Corporations Act requires notice of a change among the directors within 15 days. The online filing is $0.00.

The Ontario Notice of Change

An Ontario corporation files a Notice of Change under the Corporations Information Act within 15 days, also at $0.00.

Who is left on the board

A federal corporation still needs at least 25% resident Canadian directors under section 105(3) after the change. Ontario removed its residency rule in 2021.

Changing officers

Appointed by the directors

Officers are appointed by the board, not elected by shareholders, so the change is a directors’ resolution.

The titles your by-laws use

President, secretary, treasurer or others, as your by-laws provide.

What the registry records

Ontario records officers on its public record, so a change is a Notice of Change. The full detail lives in your minute book.

Changing the registered office

Moving within the same province

The directors can change the address by resolution under section 19(3), without amending the articles. Federally the online filing is $0.00.

Moving a federal corporation to another province

The province is stated in the articles, so this is an amendment under section 173(1)(b). Corporations Canada lists it at $0.00 when filed online.

The 15-day deadline

Notice of the new address is due within 15 days under section 19(4).

A post office box is not a registered office

The registered office must be a physical address. It is public, which is why many owners use their accountant’s address.

Changing the corporate name

Articles of amendment and a special resolution

A name change is an amendment under section 173(1)(a), approved by special resolution. Corporations Canada charges $200.00 to file it online.

Ontario: the NUANS report and the 90-day rule

An Ontario name change needs an Ontario-biased NUANS report dated no more than 90 days before filing, unless the new name is a number name. Ontario charges $150.00 for the articles of amendment.

When the new name starts

From the date on the certificate of amendment. The corporation number and business number stay the same.

Numbered to named, or named to numbered

Either direction is an amendment. Going to a number name needs no NUANS report.

The minute book resolutions each change requires

Director changes

Election or resignation, the consent to act, and the register of directors.

Officer changes

The directors’ resolution and the register of officers.

Registered office changes

The directors’ resolution under section 19(3).

Name changes

The shareholders’ special resolution and the amended articles. See minute book preparation, digital and physical.

What has to be updated after the registry

The significant control register

It tracks ownership and control, not directorships, so it changes only where shares or control move too. Federal updates are due within 15 days.

The Canada Revenue Agency

A name change keeps the same business number, but the legal name on each program account must be updated, and outgoing directors may need to be removed as authorized representatives.

Bank, contracts, insurance and licences

Signing authority, invoices, policies and permits should show the current name and people.

What happens when a change is never filed

A resigned director still shown

The public record keeps holding them out as a director of your corporation.

Notices sent to an address you left

Default notices go to the registered office on file. A federal corporation in default for a year can be dissolved under section 212.

An annual return on a stale record

It confirms the wrong information instead of correcting it. See annual return filing for federal and Ontario corporations.

Case Studies: Corporate Changes

Toronto Owner – A Director Who Left Two Years Ago

The problem: A former partner had resigned but was still listed as a director and as a signing officer.

What we did: We prepared the resignation and resolutions, filed the Notice of Change, and listed the bank and CRA updates the owner still needed.

The result:

  • Public record corrected
  • Minute book updated
  • Bank and CRA follow-ups listed

Ottawa Federal Corporation – Moving to Ontario

The problem: A federal corporation’s registered office was in Quebec but the business had moved to Ottawa.

What we did: We filed articles of amendment to change the province, then the new address within 15 days, with the directors’ resolutions for the book.

The result:

  • Province changed by amendment
  • Address filed on time
  • No government fee online

Mississauga Numbered Company – Taking a Name

The problem: A numbered company wanted to trade under a proper corporate name before signing a lease.

What we did: We ordered the Ontario NUANS report, passed the special resolution and filed the $150 articles of amendment the same day.

The result:

  • New name on the certificate
  • Same business number kept
  • Lease signed under the new name

What Is Not Included

  • The government fees themselves, payable at cost.
  • Any promise that a proposed name will be accepted. Registries refuse names confusing with existing names or trademarks.
  • Legal advice on a disputed removal, an oppression claim or a shareholder deadlock. We are a CPA firm, not a law firm.
  • Trademark searching, registration or opinions.
  • Rebranding: domains, signage, websites, licences and permits.
  • The T2, HST returns, payroll or bookkeeping.
  • Amendments in other provinces and extra-provincial updates after a name change.
  • Share issues, transfers, redemptions or reorganizations. Changing a director is not changing an owner.
  • Acceptance of a filing where the corporation is in default or dissolved.

Before Anything Is Filed

What a CPA Checks Before We File

Start Your Intake Form

A change on the form is usually the visible end of a decision with tax consequences.

Check 1

A director is not an owner

Adding a spouse as a director changes nothing about how dividends are taxed. Shares do.

Check 2

If shares move too

We check the class, the votes and the split income rules before they move.

Check 3

Who is left

A federal board still needs 25% resident Canadians, and the outgoing director may be a bank signer or CRA representative.

Check 4

A name change is a review point

Whether a holding company should sit above, and whether the year end still fits.

Check 5

HST and pay

The $30,000 threshold and salary against dividends for the coming year.

Check 6

Professional corporations

The college approves the new name before it is filed, not after.

Corporate Change FAQs

What is the difference between a notice of change and articles of amendment?

A notice of change updates the public record without touching the articles: directors, officers and the registered office address. Articles of amendment change the articles themselves, need a special resolution of the shareholders and produce a certificate of amendment. A name change is an amendment, at $200.00 federally online or $150.00 in Ontario.

How long do I have to report a change of directors?

15 days. Section 113(1) of the Canada Business Corporations Act requires a federal corporation to notify Corporations Canada within 15 days, and an Ontario corporation files a Notice of Change under the Corporations Information Act within 15 days. Both cost $0.00.

How long do I have to report a change of registered office address?

15 days, under section 19(4) of the Canada Business Corporations Act for a federal corporation, and under the Corporations Information Act in Ontario. Directors can move the office within the province by resolution, without amending the articles.

How do I change my corporation’s name?

Pass a special resolution of the shareholders, two-thirds of the votes cast or signed by all voting shareholders, and file articles of amendment. Corporations Canada charges $200.00 online. Ontario charges $150.00 and needs an Ontario NUANS report dated within 90 days unless the new name is a number name.

Do shareholders have to approve a change of directors?

Shareholders elect directors, so adding or replacing one is normally their decision, though directors can fill a casual vacancy where the articles or by-laws allow. Officers are different: the directors appoint them.

Does a name change give me a new corporation number or business number?

No. The corporation number and the CRA business number stay the same. The legal name on each CRA account is updated, and contracts signed under the old name still bind the same corporation.

Do I need a new NUANS report to change an Ontario corporate name?

Yes, an Ontario-biased NUANS report dated no more than 90 days before the articles are filed, unless the new name is a number name.

Can I move my federal registered office to another province without amending the articles?

No. The province is stated in the articles, so moving to another province is an amendment under section 173(1)(b). Corporations Canada lists it at $0.00 online. Moving within the same province needs only a directors’ resolution.

What resolutions go in the minute book when a director resigns?

The written resignation, a resolution recording it and any replacement, and an updated register of directors. If the director was also an officer, the board removes them from that office separately.

Is a registered office allowed to be a post office box?

No. It must be a physical address, and it is public. Many owners use their accountant’s address instead of their home.

Do I have to update the significant control register when directors change?

Only where the same person also holds or controls shares. The register tracks ownership and control, not board seats. Federal updates are due within 15 days.

What happens if I never file the change?

The public record keeps naming people and addresses that are wrong, and registry notices go to the old address. A federal corporation in default for a year can be dissolved under section 212 of the Canada Business Corporations Act. Filing on time costs $0.00.
