Extra-Provincial Registration: Registering Your Corporation in Another Province

Tell us where the corporation is incorporated and where it is now doing business, and we tell you whether that province requires registration and by when. A CPA checks the position before any registry fee is spent. Open Corporation for $35 is a department of Gondaliya CPA.

One Corporation, Several Provincial Registrations

Incorporating creates the corporation in one place. Each other province where it carries on business has its own registration, with its own fee, deadline and agent for service. Incorporating federally does not remove that step. Open Corporation for $35 is a department of Gondaliya CPA.

Registration does not create a second corporation, issue new shares or change your business number. It puts the same corporation on another province’s public register so it can operate there.

What Extra-Provincial Registration Includes

  • A written assessment of whether what you are doing in the second province meets its test for carrying on business.
  • For Ontario, confirmation of which filing you need: the $0 Extra-Provincial Initial Return or the $330 Extra-Provincial Licence.
  • A name check in the target province, and advice on whether an assumed name is needed there.
  • The certificate of status or proof of standing the receiving registry needs from your home jurisdiction.
  • Preparation of the registration application for that province.
  • Preparation of the appointment of an agent or attorney for service, where the province requires one.
  • Filing through the New West Partnership where your corporation qualifies, at no registry fee.
  • A directors’ resolution authorizing the registration and the agent appointment.
  • A calendar of what now falls due in the second province, including its annual return.
  • Written confirmation of the registration and its number, ready for your minute book.

What carrying on business in another province means

Each province writes its own test

There is no single national rule. Our extra-provincial registration guide sets out the general position.

The British Columbia test

Section 375(2) of the BC Business Corporations Act treats a company as carrying on business there if it is listed in a BC directory with a BC address or number, advertises with one, or keeps a resident agent, warehouse, office or place of business in BC.

What usually triggers it

A local address, phone number, warehouse, office, employee or agent.

What usually does not, on its own

Shipping goods to a customer in another province with no local address, agent or premises.

The agent for service requirement

Who can act

Usually a resident of that province or a corporation with an office there. Ontario requires one only for a corporation incorporated outside Canada.

What the agent receives

Legal documents and registry notices. The address is public, which is why many owners use their accountant.

Changes

If the agent moves or resigns, the appointment must be updated in that province.

Ontario

Federal or other Canadian corporations

File an Extra-Provincial Initial Return within 60 days of starting to carry on business in Ontario. The fee is $0, and it is processed in 2 business days online.

Corporations from outside Canada

Need an Extra-Provincial Licence before starting, at $330, processed in 5 business days online. They must appoint an Ontario agent for service.

After registration

Changes are reported by Notice of Change within 15 days. See federal incorporation and what it does not cover.

Western Canada and the New West Partnership

British Columbia

Register as an extraprovincial company within 2 months of starting business, at $350, and appoint an attorney for service.

New West Partnership

A corporation from British Columbia, Alberta, Saskatchewan or Manitoba can register in the other partner provinces at no registry fee.

Manitoba

A corporation from outside the partnership files an Application for Registration at $350 for a corporation with share capital, plus a $45 name reservation unless it registers under its number.

Alberta

Filings go through private registry agents, who add their own service fee to the government fee.

Quebec and Atlantic Canada

Quebec

A corporation formed outside Quebec registers with the Registraire des entreprises within 60 days of starting an activity there, and names a representative in Quebec if it has no address or establishment there.

Nova Scotia, New Brunswick, Newfoundland and Labrador, Prince Edward Island

Each has its own registration, fee and agent rule. We confirm the current fee and deadline with that registry before filing.

If you do not register

Loss of standing

An unregistered corporation can face fines and may be unable to bring a lawsuit in that province’s courts until it registers.

Cancellation

A registered corporation that stops filing its annual returns there can have its registration cancelled.

Late costs more

Catching up means the registration plus every missed annual return.

What you keep filing once registered

The annual return in that province

Most provinces require their own annual return from a registered extra-provincial corporation, in addition to the one at home. See annual return filing for federal and Ontario corporations.

Keeping details current

The agent for service and addresses must be kept up to date.

Cancelling

When you stop carrying on business there, cancel the registration so returns stop falling due.

The tax and payroll consequences

Permanent establishment

A leased warehouse or a salaried employee in the new province can create a permanent establishment. Taxable income is then split between provinces on Schedule 5 of the T2, using revenue and salaries in each.

Sales tax

British Columbia, Saskatchewan and Manitoba each run a provincial sales tax, and Quebec runs the Quebec sales tax. The place of supply rules decide which rate you charge.

Payroll and workers’ compensation

Source deductions follow the employee’s province, and each province has its own workers’ compensation board.

Quebec returns

A corporation with a permanent establishment in Quebec files a separate Quebec corporate tax return.

Extra-Provincial Registration FAQs

What does carrying on business in another province mean?

Having enough presence there that its statute requires you to register, and each province writes its own test. British Columbia, for example, looks at a local directory listing, advertising with a local address or number, or keeping a resident agent, warehouse, office or place of business there.

Does a federal corporation have to register in every province where it operates?

Yes. Federal incorporation creates the corporation but does not register it in any province. It registers in each province where it carries on business, under that province’s rules and fees.

Do I have to register in Ontario if my corporation is federal or from another province?

Yes, by filing an Extra-Provincial Initial Return within 60 days of starting to carry on business in Ontario. The fee is $0. A corporation from outside Canada instead needs a $330 Extra-Provincial Licence before it starts.

How long do I have to register in British Columbia?

Two months after starting to carry on business there. The fee is $350, and the company appoints an attorney for service.

What is an agent for service, and can I be my own?

The person or company in that province authorized to accept legal documents for the corporation. You can be your own only if you meet that province’s residency rule. The address is public.

What happens if I do not register?

Fines, possible loss of the right to sue in that province’s courts until you register, and cancellation if annual returns there are later missed.

Does one customer in another province mean I have to register?

Not by itself. The tests look at presence, such as an address, agent, office or warehouse, not where the buyer lives.

Does a remote employee in another province trigger registration?

Often, yes. An employee working there usually creates a business presence and a permanent establishment, and their payroll and workers’ compensation follow that province.

How much does extra-provincial registration cost?

It depends on the province. Ontario is $0 for a Canadian corporation and $330 for one from outside Canada. British Columbia and Manitoba are $350. A corporation from a New West Partnership province registers in the other partner provinces at no registry fee. Other provinces’ fees are confirmed before filing.

Does registering create a second corporation?

No. It is the same corporation, with the same shares and the same business number, now on another province’s register. It still files one T2.

Do I have to file an annual return in the province where I registered?

In most provinces, yes, in addition to the annual return at home. We set those dates out when you register.

Does extra-provincial registration mean I pay tax in that province?

Registration and tax are separate, but the same facts usually create a permanent establishment, which allocates part of your income to that province on Schedule 5 of the T2. A permanent establishment in Quebec also means a separate Quebec return.
