Incorporate in Ontario for $35, Prepared and Filed by a CPA Firm

Start your Ontario incorporation for $35.00, HST included. The Ontario Business Registry charges $300 for the Articles of Incorporation, and we pass that through at cost as a separate line. A CPA reviews your share structure before anything is filed.

AFFORDABLE Ontario Incorporation Services

A numbered Ontario corporation costs $335.00 in total: our $35.00 fee with HST included, plus the $300 Articles of Incorporation fee the Ontario Business Registry charges. Articles filed online are processed immediately, so the certificate and your Ontario Corporation Number usually arrive the same day. Open Corporation for $35 is a department of Gondaliya CPA.

What a CPA firm adds is the part the registry never checks: share classes drafted for the ownership you expect, family shareholdings tested against the tax on split income, and the Initial Return filed inside its 60 days.

  • Filing through the Ontario Business Registry, with the certificate and Ontario Corporation Number emailed to you.
  • Consent to Act as First Director prepared for each director to sign and keep with your records.

Why the Right Ontario Filing Matters

Ontario filings complete quickly, and that is exactly why the share structure is settled first. Once the articles are endorsed, a new class means Articles of Amendment and a further fee, so we draft for the ownership you expect rather than the one you have on the day. A single founder still gets voting common, non-voting common and a preferred class, because none of them cost anything to include now.

The second reason is the calendar. The Initial Return is due within 60 days of incorporation, every change of director, officer or address needs a Notice of Change within 15 days, and the annual return is due within six months of each fiscal year end. Since 15 May 2021 the Canada Revenue Agency no longer accepts the annual return with the T2, and corporations that still assume it does stop filing without realizing it.

Everything an Ontario Incorporation Involves

Each step below is part of the filing we prepare, or a rule you live with once the corporation exists.

1

What It Costs to Incorporate in Ontario

Our fee is $35.00, HST included. The Ontario Business Registry charges $300 for the Articles of Incorporation, the same online or by mail.

  • Numbered corporation: $335.00 in total
  • Named corporation: add a $25.00 Ontario-biased NUANS report, $360.00 in total
  • Initial Return and annual return: no government fee
  • Every government fee is its own line, at cost
2

Ontario or Federal Incorporation

Ontario protects your name in Ontario for $300. Federal incorporation costs $200 online and protects the name across Canada, but still needs registration in each province where you trade.

  • Ontario: no resident Canadian director rule
  • Federal: 25% of directors must be resident Canadians
  • Federal corporations in Ontario still file an Ontario Initial Return
  • A CPA weighs where you actually carry on business
3

Choosing Your Corporate Name

A numbered corporation needs no search, because the ministry assigns the next available number. A named one needs an Ontario-biased NUANS report dated within 90 days of filing.

  • Distinctive, descriptive and legal elements
  • Endings: Limited, Incorporated, Corporation, Ltd., Inc., Corp. and the French forms
  • 120 characters at most, including spaces and punctuation
  • A federal-biased NUANS report is not accepted
4

Directors, Officers and the Registered Office

A non-offering corporation needs at least one director under subsection 115(2) of the Business Corporations Act (Ontario), and directors must be individuals.

  • The resident Canadian director rule ended on 5 July 2021
  • Each director must be 18 or older, mentally capable and not an undischarged bankrupt
  • The registered office must be a physical Ontario address
  • A post office box alone is not accepted
5

Share Structure Decided Before We File

Adding a class later means Articles of Amendment, so we draft the classes for the ownership you expect within five years.

  • Voting common for the founder
  • Non-voting common for a spouse or later shareholder
  • Preferred shares for a future estate freeze
  • Family dividends tested under section 120.4 of the Income Tax Act
6

Filing Through the Ontario Business Registry

We prepare and submit the articles through the Ontario Business Registry. Online filings are processed immediately and the certificate issues the same day.

  • Certificate of incorporation emailed to you
  • Your Ontario Corporation Number
  • Your company key, which controls future filings and stays confidential
  • Paper filings take 15 business days
7

The Initial Return, Due Within 60 Days

Section 2 of the Corporations Information Act requires an Initial Return within 60 days of incorporation, reporting directors, officers and the registered office. There is no government fee.

  • Filed through the Ontario Business Registry
  • Older material still calls it Form 1
  • A Notice of Change is due within 15 days of any later change
  • We prepare and file it as part of the $35.00
8

The Ontario Annual Return

The annual return is due within six months of each fiscal year end, with no government fee, and is filed directly in the Ontario Business Registry.

  • No longer accepted with the T2 since 15 May 2021
  • Schedules 546 and 548 were discontinued
  • Persistent non-filing can lead to cancellation
  • Separate from your T2 corporate income tax return
9

Records the OBCA Makes You Keep

An Ontario corporation keeps a minute book at its registered office or another Ontario place the directors designate.

  • Articles, by-laws, minutes and resolutions
  • Registers of directors, officers and shareholders
  • Register of individuals with significant control, since 1 January 2023
  • Register of ownership interests in Ontario land

Case Studies: Ontario Incorporation

Toronto Consultant – A Co-Founder Living Abroad

The problem: A Toronto software consultant wanted to incorporate with a co-founder living in the United Kingdom, and had read that a quarter of the directors had to be resident Canadians.

What we did: We explained that the federal rule still applies but Ontario dropped its resident director requirement on 5 July 2021, incorporated a numbered Ontario corporation with both founders on the board, and filed the Initial Return within the 60 days.

The result:

  • Numbered Ontario corporation filed at $335.00
  • Both founders appointed as directors
  • Initial Return filed on time

Mississauga Retailer – A Name Search Bought Too Early

The problem: A Mississauga retailer had paid for a NUANS report months earlier, and the name they wanted was close to an existing business name.

What we did: We checked the name against the Ontario rules before ordering anything, adjusted the distinctive element, ordered a fresh Ontario-biased NUANS report dated inside the 90-day window, and filed the named corporation the same day.

The result:

  • Named Ontario corporation filed at $360.00
  • NUANS report used inside its 90 days
  • Share classes drafted for a later partner

Brampton Contractor – A Proprietorship Moving In

The problem: A Brampton contractor had traded as a sole proprietor for four years and assumed the accountant’s T2 would also cover the Ontario annual return.

What we did: We incorporated, planned a section 85 rollover of the equipment and goodwill at elected amounts, and put the Initial Return, annual return and T2 dates in one written calendar.

The result:

  • Numbered Ontario corporation filed at $335.00
  • Equipment rolled in without an immediate gain
  • Annual return filed separately from the T2

Before Anything Is Filed

What a CPA Checks Before You Incorporate

Start Your Intake Form

Ontario filings complete quickly, which is why the share structure is settled first.

Once the articles are endorsed, a new class means an amendment and a further fee.
Check 1

Share classes

Voting common, non-voting common and a preferred class cost nothing to include now, so a single founder still gets all three.

Check 2

Family shareholdings

A spouse or adult child on a non-voting class produces a usable dividend only where a section 120.4 exception applies, and for a services business that normally means hours actually worked.

Check 3

Two Ontario filings

The Initial Return is due within 60 days of incorporation. The annual return is due within six months of your fiscal year end, so the year end is chosen with both the T2 and that filing in mind.

Check 4

HST

HST at 13% becomes mandatory once taxable supplies pass $30,000 over four consecutive calendar quarters, and registering earlier recovers the tax on equipment and start-up costs.

Check 5

Salary or dividends

Salary builds RRSP room and needs a payroll account. Dividends need neither, and a holding company earns a second T2 only once retained cash is real.

Check 6

Group and conversion

The $500,000 small business deduction is shared with associated corporations, a regulated owner needs their college’s approval, and a converting proprietorship needs a section 85 election.

Frequently Asked Ontario Incorporation Questions

How much does it cost to incorporate in Ontario?

Incorporating a numbered Ontario corporation costs $335.00 in total: our fee of $35.00 with HST included, plus the $300 government filing fee charged by the Ontario Business Registry. The $300 is the same whether you file online or by mail, and we show it as its own line on your invoice. A named corporation also needs an Ontario-biased NUANS report, which we order for $25.00.

How long does it take to incorporate in Ontario?

Articles of Incorporation filed online through the Ontario Business Registry are processed immediately and the certificate is issued the same day. The province publishes 15 business days for articles filed by mail. Our own preparation takes 1 business day after your intake form and share structure are settled.

Do I need a NUANS report to incorporate in Ontario?

You need an Ontario-biased NUANS name search report for a named corporation, and it cannot be dated more than 90 days before the articles are filed. A federal-biased report is not accepted. A numbered corporation needs no NUANS report at all, because the ministry assigns the next available number.

Does an Ontario corporation need a Canadian resident director?

No. Ontario eliminated the requirement for at least 25 per cent of directors to be resident Canadians effective 5 July 2021, so the board of an OBCA corporation may be entirely non-resident. Federal corporations under the Canada Business Corporations Act still carry the 25 per cent rule, which is the most common reason a non-resident owner chooses Ontario over federal.

How many directors does an Ontario corporation need?

A non-offering corporation needs at least one director, and an offering corporation needs at least three, under subsection 115(2) of the Business Corporations Act (Ontario). Directors must be individuals, so another corporation cannot sit on the board. Under subsection 118(1) each director must be at least 18, mentally capable and not an undischarged bankrupt.

What is the Initial Return and when is it due?

The Initial Return confirms your directors, officers and registered office, and it is due within 60 days after incorporation under section 2 of the Corporations Information Act. There is no government fee. It is filed through the Ontario Business Registry, and older material still calls it Form 1.

When is the first Ontario annual return due after I incorporate?

Your first Ontario annual return is due within six months of your first fiscal year end, with no government fee, and it is filed directly in the Ontario Business Registry. Since 15 May 2021 the Canada Revenue Agency no longer accepts it with the T2 return, and Schedules 546 and 548 were discontinued. Persistent non-filing can lead to cancellation of the corporation.

What is a company key and why do I need one?

A company key is a code unique to your corporation, issued free by the Ministry of Public and Business Service Delivery and Procurement, and it is needed to file most transactions in the Ontario Business Registry. Keep it confidential, because anyone holding it can change your registered office, directors and officers. We request it for you.

Can I use my home address as the registered office?

Yes, provided it is a physical address in Ontario, because a post office box alone is not acceptable. The registered office appears on the public register, which is why many owners use an accountant’s address instead. It is also where your minute book and registers are kept unless the directors designate another Ontario place.

Should I incorporate in Ontario or federally?

Incorporate in Ontario when your business operates only in Ontario or your directors are not resident Canadians, because the $300 provincial fee buys a single registration with no residency rule. Federal incorporation costs $200 online, protects your name across Canada and still requires 25 per cent resident Canadian directors and an Ontario Initial Return.

What records must an Ontario corporation keep?

An OBCA corporation keeps a minute book holding the articles, by-laws, minutes, resolutions and the registers of directors, officers and shareholders. Since 1 January 2023 a private corporation must also keep a register of individuals with significant control, produced on request to authorities but not filed publicly. It must also keep a register of its ownership interests in Ontario land.

How long can my Ontario corporate name be?

An Ontario corporate name may not exceed 120 characters, including spaces and punctuation. It must end with Limited, Limitée, Incorporated, Incorporée or Corporation, or Ltd., Ltée, Inc. or Corp. Names that are merely descriptive, too general, or the same as an existing name are refused.

A numbered corporation needs no NUANS report and can be filed the same day. You can adopt a name later by Articles of Amendment.
