Partnership Registration in Ontario, Prepared and Reviewed by a CPA Firm

Two owners, one business, and one question worth answering first. A Chartered Professional Accountant confirms whether a general partnership, a limited partnership or a corporation fits what you are building, and explains joint and several liability in writing before either of you signs anything. The Ontario fee is $60 for a general partnership and $210 for a limited partnership, both for five years and passed through at cost. Open Corporation for $35 is a department of Gondaliya CPA.

You May Already Be a Partnership

Two people carrying on business together with a view to profit are partners under the Partnerships Act (Ontario), whether or not they signed anything or registered a name. Registering the firm name records the partnership. It does not create it. Open Corporation for $35 is a department of Gondaliya CPA.

That matters because each partner is personally liable for what the other signs. We register you correctly, and we tell you honestly when incorporating for $35.00 plus the $300 Ontario government fee is the better answer.

What Partnership Registration Includes

  • A conversation with a CPA on which partnership form applies, and whether a corporation would serve you better.
  • Confirmation of whether you must register the firm name at all, since a name made up only of the partners’ own names is treated differently.
  • An Ontario Business Registry name search, with a written warning where the name resembles an existing registration or trademark.
  • Preparation and filing of the general partnership registration for five years, at a government fee of $60.
  • Preparation and filing of a limited partnership declaration under the Limited Partnerships Act, at a government fee of $210 for five years.
  • Every partner’s legal name and address recorded as the registry requires, including the general and limited partners of a limited partnership.
  • The partnership’s own business number, with GST/HST and payroll accounts where needed.
  • A written note of the renewal date and the T5013 filing date that applies to your partners.
  • A written assessment of whether the partnership must file a T5013 return.
  • A tax and accounting review of your draft partnership agreement: profit split, capital accounts, draws, admission and exit.
  • A plain written explanation of joint and several liability for both partners.

What a partnership is, and how people start one without meaning to

Carrying on business in common with a view to profit

That is the legal test. Two friends who start selling together and split the money are partners, signed or not.

The Partnerships Act applies whether or not you signed anything

Without an agreement, the Act’s default rules decide profit shares, management and what happens when a partner leaves.

Registering a name does not create the partnership

Under section 2(3) of the Business Names Act, partners must register a firm name before trading under it. A name made up only of the partners’ own names does not need registering, under section 2(4).

General, limited and limited liability partnerships

The general partnership, $60

Every partner manages the business and carries unlimited personal liability. The firm name registration costs $60 for five years. If you will trade alone instead, see sole proprietorship registration.

The limited partnership, $210

At least one general partner with unlimited liability and at least one limited partner whose risk is limited to what they put in. The declaration costs $210 for five years.

The limited liability partnership, $60

Only professions whose governing law allows it, such as lawyers and accountants, can use one. It protects a partner from the other partners’ negligence, not from their own or from ordinary trade debts.

Which fits which situation

Two working owners: a general partnership or, more often, a corporation. Passive investors in real estate or film: a limited partnership. Regulated professionals: a limited liability partnership if their college allows it.

Registering a general partnership in Ontario

What the registry asks for

The firm name, the business activity, the business address, and each partner’s legal name and address.

The five-year term

The registration lasts five years from acceptance and must be renewed, at the same $60, before it expires.

What registration does not give you

No ownership of the name, no trademark protection, no licence to carry on a particular business, and no limit on liability.

Registering a limited partnership in Ontario

The declaration

Filed under the Limited Partnerships Act, naming the general partner, which is often a corporation.

The record of limited partners

The partnership keeps a record of its limited partners and what each contributed.

The five-year term and the $210 renewal

The declaration runs five years and is renewed at the same fee.

Joint and several liability, in plain terms

Any partner can bind the firm

Each partner is an agent of the firm, so a contract one partner signs in the ordinary course binds you both. Our comparison of a corporation and a partnership sets this out side by side.

One partner’s debt is every partner’s debt

A creditor can pursue any partner for the whole of a firm debt, not just their share. There is no separate legal person in between.

How a limited partner loses protection

A limited partner who takes part in controlling the business can be treated as a general partner.

What insurance covers

Insurance covers named risks. It does not cover a supplier account, a lease or a loan your partner signed.

The partnership agreement

What the Act gives you if you write nothing

Equal shares of profit and loss, equal management rights, and a partnership that can end when a partner leaves or dies.

The clauses a CPA asks about

Profit split, draws, capital accounts, admitting a new partner, and what happens on exit or death.

Who drafts it

A lawyer licensed in Ontario. We review the tax and accounting terms.

How partnership income reaches your personal tax return

Section 96

The partnership computes its income as if it were a separate person, then allocates it to the partners, who report it on their own returns. Business income stays business income.

Taxed on profit you left in the business

Tax follows the allocation, not the cash. A partner who draws nothing still reports their full share.

Capital accounts and adjusted cost base

Draws reduce the adjusted cost base of your interest. For a limited partner or a partner not actively engaged in the business, a negative adjusted cost base at year end is taxed as a capital gain. For an active general partner it is usually taxed when the interest is sold or ends.

HST, payroll and the partnership’s own business number

The partnership registers for GST/HST once taxable sales pass $30,000, and opens a payroll account if it pays employees who are not partners.

The T5013 partnership information return

The size tests

A T5013 is required where revenues plus expenses, both as absolute values, exceed $2 million, or assets exceed $5 million at cost.

Triggers regardless of size

A partnership with a corporation or a trust as a partner, a tiered partnership, one that invested in flow-through shares, or one the Minister asks to file.

Due dates

31 March after the calendar year where all partners are individuals, five months after the fiscal year end where all are corporations, and the earlier of the two for a mix.

The penalty

The greater of $100 and $25 a day, up to 100 days, so a maximum of $2,500.

When a partnership should incorporate instead

Liability

Usually the only reason that matters. A corporation stands between the business and your house. See unincorporated against incorporated, compared.

The small business deduction

A partnership’s partners pay personal rates. A Canadian-controlled private corporation pays 11.2% in Ontario from 1 July 2026 on the first $500,000 of active business income.

Section 85

An existing partnership business can be moved into a corporation without triggering accrued gains. See our section 85 rollover guide.

What the switch costs

Our $35.00 with HST included plus the $300 Ontario fee, or $200 federally. See Ontario incorporation and federal incorporation.

Case Studies: Partnerships

Toronto Designers – Registered, Then Reconsidered

The problem: Two designers wanted to register a firm name for $60 and start invoicing together.

What we did: We explained that each would be liable for contracts the other signed. They incorporated instead, with a share class for each.

The result:

  • Personal liability removed
  • Incorporated for $335.00 in total
  • Shareholder agreement drafted by their lawyer

Ottawa Property Investors – A Limited Partnership

The problem: Three investors wanted to fund a rental property without taking part in managing it.

What we did: We set up a limited partnership with a corporate general partner, filed the $210 declaration and confirmed a T5013 would be needed because a corporation was a partner.

The result:

  • Investors’ risk limited
  • Declaration filed for five years
  • T5013 date diarized

Brampton Partners – Taxed on Money Left Behind

The problem: Two partners left profit in the business and were surprised by their personal tax bills.

What we did: We explained section 96 allocation, set up capital accounts, and planned quarterly instalments so the next year held no surprise.

The result:

  • Allocation explained
  • Capital accounts tracked
  • Instalments planned

Before Anything Is Filed

What a CPA Checks Before You Register

Start Your Intake Form

A partnership is the structure people fall into rather than choose, so we start with whether you already have one.

Check 1

Who is a partner

A partner, an employee or a contractor paid a share of profit. Each changes payroll, liability and tax.

Check 2

The profit split

Whether it matches what each partner puts in, in money and in hours.

Check 3

Draws and capital

Tax follows allocation under section 96, not withdrawals.

Check 4

T5013

The $2 million and $5 million tests, and the corporate and trust partner triggers.

Check 5

Family partners

A spouse or adult child’s share is tested against section 120.4.

Check 6

The real question

No small business deduction and unlimited liability. Where either bites, incorporating is the better answer, and we say so.

Two Owners, One Business?

Tell us who the partners are and what each puts in, and a CPA confirms whether to register a partnership or incorporate.

Partnership Registration FAQs

Do I have to register a partnership in Ontario?

If you trade under a firm name, yes. Section 2(3) of the Business Names Act requires partners to register a firm name before using it, at $60 for five years. A name made up only of the partners’ own names does not need registering. Either way, the partnership exists in law as soon as you carry on business together.

How much does it cost to register a partnership in Ontario?

The government fee is $60 for a general partnership or a limited liability partnership, and $210 for a limited partnership, each for five years. Our own fee is quoted in writing first, with HST included, and every government fee is passed on at cost.

What is joint and several liability in a partnership?

A creditor can pursue any one partner for the whole of a partnership debt, not just their share. Each partner is an agent of the firm, so one partner’s signature can reach every partner’s personal assets. That is why most two-owner businesses eventually incorporate.

What is the difference between a general partnership and a limited partnership?

In a general partnership every partner manages and carries unlimited liability. A limited partnership has at least one general partner and at least one limited partner whose risk is limited to what they contributed, but a limited partner who takes part in control can lose that protection.

Does a partnership pay income tax?

No. Under section 96 of the Income Tax Act the partnership computes its income and allocates it to the partners, who report it on their own returns. A partnership has no small business deduction of its own.

Am I taxed on money I leave in the partnership?

Yes. You are taxed on your allocated share whether or not you withdrew it. Draws are not a deduction and not salary; they reduce the adjusted cost base of your partnership interest.

When does a partnership have to file a T5013 return?

When revenues plus expenses exceed $2 million or assets exceed $5 million, or at any time if it has a corporation or trust as a partner, is a tiered partnership, invested in flow-through shares, or is asked to by the Minister.

When is the T5013 due, and what happens if it is late?

By 31 March after the calendar year where all partners are individuals, five months after year end where all are corporations, and the earlier of the two for a mix. Filing late costs the greater of $100 and $25 a day, to a maximum of $2,500.

Do we need a written partnership agreement?

You should have one. Without it, the Partnerships Act’s default rules decide your profit split and what happens when a partner leaves, and those defaults rarely match what you agreed. A lawyer drafts it, and we review the tax and accounting terms.

What is a limited liability partnership, and can we use one?

A partnership where a partner is not personally liable for the other partners’ negligence. In Ontario it is open only to professions whose governing law allows it, such as lawyers and accountants. It costs $60 to register for five years.

When should a partnership incorporate instead?

Once personal liability matters, or once profit exceeds what the partners need to take out. A corporation pays 11.2% in Ontario from 1 July 2026 on the first $500,000 of active business income. Incorporating costs $335.00 in Ontario or $235.00 federally, including our $35.00.

Can we register a partnership if one partner lives outside Canada?

Yes. Ontario has no residency rule for partners. A non-resident partner allocated Canadian business income has Canadian filing and withholding obligations, so have a CPA review it before the first invoice.
